It is the plaintiff\rquote s case that }{\insrsid13569697\charrsid16741398 it rendered taxi}{\insrsid11037249\charrsid16741398 hire services to CHOGM delegates for five days and incurred the expenses }{ \insrsid13569697\charrsid16741398 claimed on}{\insrsid11037249\charrsid16741398 various items including motor stickers, }{\insrsid13569697\charrsid16741398 insurance,}{\insrsid11037249\charrsid16741398 fuel, drivers, tour guides, car }{ \insrsid13569697\charrsid16741398 washing,}{\insrsid11037249\charrsid16741398 uniforms and identity cards for drivers and tour guides as well as }{\insrsid13569697\charrsid16741398 lubricants. }{\insrsid11037249\charrsid16741398 Particulars are set out in the plaint and dealt with later on in this judgment. \par \par The plaintiff contends that its services were supposed to be paid for by Government since Government had issued it with }{\insrsid3352592\charrsid16741398 \'93}{\insrsid11037249\charrsid16741398 OFFICIAL}{\insrsid3352592\charrsid16741398 \'94}{ \insrsid11037249\charrsid16741398 pick and }{\insrsid12454791\charrsid16741398 drop stickers}{\insrsid11037249\charrsid16741398 which allowed free taxi services for CHOGM delegates }{\insrsid12454791\charrsid16741398 and it}{ \insrsid11037249\charrsid16741398 rendered the services in the name of the Government of Uganda. The plaintiff avers that when it notified the Government of its }{\insrsid12454791\charrsid16741398 claim,}{\insrsid11037249\charrsid16741398 the }{ \insrsid12454791\charrsid16741398 responsible Government}{\insrsid11037249\charrsid16741398 }{\insrsid12454791\charrsid16741398 officials refused}{\insrsid11037249\charrsid16741398 }{\insrsid12454791\charrsid16741398 to pay}{ \insrsid11037249\charrsid16741398 , contending that according to the tender }{\insrsid12454791\charrsid16741398 documents, the}{\insrsid11037249\charrsid16741398 plaintiff was supposed to be paid for the said }{\insrsid12454791\charrsid16741398 services by}{\insrsid11037249\charrsid16741398 CHOGM delegates and not by }{\insrsid12454791\charrsid16741398 Government. }{\insrsid11037249\charrsid16741398 It avers that it has as a result of the }{\insrsid12454791\charrsid16741398 Government}{ \insrsid11037249\charrsid16741398 officials}{\insrsid3352592\charrsid16741398 \rquote }{\insrsid11037249\charrsid16741398 conduct suffered both special and general damages, inconveniences and mental anguish, for which G}{ \insrsid3352592\charrsid16741398 overnment is vicariously liable}{\insrsid11037249\charrsid16741398 . }{\insrsid12454791\charrsid16741398 Hence}{\insrsid11037249\charrsid16741398 this suit}{\insrsid8657707\charrsid16741398 .}{ \insrsid11037249\charrsid16741398 \par \par }{\insrsid12454791\charrsid16741398 The defence filed}{\insrsid11037249\charrsid16741398 on behalf of Government is a blanket denial of the plaintiff}{\insrsid12454791\charrsid16741398 \rquote s claim}{\insrsid11037249\charrsid16741398 . In the alternative but without prejudice to the blanket denial, it is the case for the defendant that the plaintiff ought to have been paid by CHOGM delegates for the services rendered and not by }{\insrsid12454791\charrsid16741398 Government}{ \insrsid11037249\charrsid16741398 . The suit has no basis and should be }{\insrsid12454791\charrsid16741398 dismissed}{\insrsid11037249\charrsid16741398 with costs to the defendant. \par }{\insrsid9922099\charrsid16741398 \par }{\insrsid11037249\charrsid16741398 At the scheduling conference, }{\insrsid12454791\charrsid16741398 both parties agreed}{\insrsid11037249\charrsid16741398 }{\insrsid12454791\charrsid16741398 to the}{\insrsid11037249\charrsid16741398 fact that :

The plaintiff was awarded }{\insrsid12454791\charrsid16741398 a tender}{\insrsid11037249\charrsid16741398 for the provision of taxi hire services for CHOGM delegates during th}{\insrsid12454791\charrsid16741398 e 2007 CHOGM meeting in Kampala}{ \insrsid15538596\charrsid16741398 .}{\insrsid11037249\charrsid16741398 \par \par 2. The plaintiff rendered the services. \par \par 3. It was not paid for the services. \par \par The issues for determination by this Court were }{\insrsid8657707\charrsid16741398 therefore narrowed}{\insrsid11037249\charrsid16741398 down to: \par {\listtext\pard\plain\insrsid11037249\charrsid16741398 \hich\af0\dbch\af0\loch\f0 1.\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls1\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid11037249\charrsid16741398 Who was supposed to pay for the }{\insrsid8657707\charrsid16741398 services?}{\insrsid11037249\charrsid16741398 and, \par }\pard \qj \li360\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin360\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 \par {\listtext\pard\plain\insrsid11037249\charrsid16741398 \hich\af0\dbch\af0\loch\f0 2.\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls1\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid11037249\charrsid16741398 Quantum ? \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 \par }{\b\insrsid11037249\charrsid16741398 ISSUE NO. 1: Who was supposed to pay for the services? \par \par }{\insrsid11037249\charrsid16741398 The answer to this issue is key to the resolution of this }{\insrsid10030110\charrsid16741398 dispute. }{\insrsid11037249\charrsid16741398 It is a question of fact and law. The plaintiff pleaded in }{ \insrsid10030110\charrsid16741398 paragraphs 5}{\insrsid11037249\charrsid16741398 and 6 of the plaint }{\insrsid8657707\charrsid16741398 that:}{\insrsid11037249\charrsid16741398 \par \par }{\b\i\insrsid10030110\charrsid16741398 \'935}{\b\i\insrsid11037249\charrsid16741398 . The plaintiff notified the Government about the outstanding sum however to its dismay, the Government noti fied it that it was supposed to be paid by Chogm delegates for the services it }{\b\i\insrsid10030110\charrsid16741398 rendered,}{\b\i\ul\insrsid11037249\charrsid16741398 notwithstanding that the Government issued to it official stickers over which it was not supposed to charge any delegate for the services provided.(A copy of the letter from the Government is attached hereto as annexture \'93B\'94). \par \par }{\b\i\insrsid11037249\charrsid16741398 6.}{\b\i\insrsid4863893\charrsid16741398 }{\b\i\insrsid11037249\charrsid16741398 The plaintiff avers that it provided the services to the Government to transport Chogm delegates for 5 days and it was supposed to be paid by the Government since its stickers were official and whatever they did was in the name of the Government .\'94

\par \par }{\insrsid11037249\charrsid16741398 Annexture \'93B\'94 (Exhibit P2}{\insrsid1798428\charrsid16741398 ) is}{\insrsid11037249\charrsid16741398 a letter }{\insrsid1798428\charrsid16741398 from a Mr}{\insrsid11037249\charrsid16741398 . Itazi on behalf of the Permanent Secretary, Ministry of Works and Transport dated 29}{\super\insrsid11037249\charrsid16741398 th}{\insrsid11037249\charrsid16741398 November 2009 on the subject.}{\b\i\insrsid11037249\charrsid16741398 }{ \insrsid11037249\charrsid16741398 \par \par In a nutshell, and as stated earlier, the }{\insrsid1798428\charrsid16741398 plaintiff\rquote s}{\insrsid11037249\charrsid16741398 case is that Government was the one which was supposed to pay }{\insrsid1798428\charrsid16741398 it for}{ \insrsid11037249\charrsid16741398 the services it }{\insrsid1798428\charrsid16741398 rendered to}{\insrsid11037249\charrsid16741398 CHOGM }{\insrsid1798428\charrsid16741398 delegates.}{\insrsid11037249\charrsid16741398 \par \par The defendant on its part maintained in paragaraph 6 of its written statement of defence that : \par \par }{\b\i\insrsid11037249\charrsid16741398 \'93}{\b\i\insrsid6103823\charrsid16741398 \'85\'85\'85\'85\'85\'85}{\b\i\insrsid11037249\charrsid16741398 the de fendant contends that the plaintiff ought to have been paid by CHOGM delegates for the services rendered \'93}{\insrsid11037249\charrsid16741398 \par \par In civil suits the burden of proof lies squarely on the plaintiff to prove its case on the balance of probabilities. Manyindo D. C. J as he then was}{\insrsid7625814\charrsid16741398 , }{\insrsid11037249\charrsid16741398 held in the case of }{ \b\insrsid11037249\charrsid16741398 Jovelyn Barugahare vs Attorney General,}{\insrsid11037249\charrsid16741398 }{\b\insrsid11037249\charrsid16741398 SCCA No. 28 of 1993 }{\insrsid11037249\charrsid16741398 that where the plaint discloses questions of fact they had to be proved by evidence . He who asserts must also }{\insrsid4993118\charrsid16741398 affirm. }{\insrsid11037249\charrsid16741398 Section }{\insrsid15141675\charrsid16741398 101 of the}{ \insrsid11037249\charrsid16741398 Evidence }{\insrsid15141675\charrsid16741398 Act provides}{\insrsid11037249\charrsid16741398 }{\insrsid15141675\charrsid16741398 that:}{\insrsid11037249\charrsid16741398 \par \par }{\b\i\insrsid11037249\charrsid16741398 \'93 (1) Whosoever desires any Court to give judgment as to any legal right or liability dependent on the existence of facts which he on she asserts must prove that those facts exist. \par }{\insrsid11037249\charrsid16741398 \par }{\b\i\insrsid11037249\charrsid16741398 (2) When a person is bound to prove the existence of any }{\b\i\insrsid7146716\charrsid16741398 fact,}{\b\i\insrsid11037249\charrsid16741398 it is said that the burden of }{\b\i\insrsid7146716\charrsid16741398 proof lies}{\b\i\insrsid11037249\charrsid16741398 }{\b\i\insrsid7146716\charrsid16741398 on that}{\b\i\insrsid11037249\charrsid16741398 person.\'94 \par \par }{\insrsid11037249\charrsid16741398 Section 102 of the same Act provides that: \par \par }{\b\i\insrsid11037249\charrsid16741398 \'93The burden of proof in a suit or proceedings lies on that person who would fail if no evidence at all were given on either side .\rquote \rquote \par }{\insrsid11037249\charrsid16741398 \par In a bid to prove its }{\insrsid4993118\charrsid16741398 case,}{\insrsid11037249\charrsid16741398 the plaintiff relied on: \par {\listtext\pard\plain\f3\insrsid11037249\charrsid16741398 \loch\af3\dbch\af0\hich\f3 \'b7\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls2\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid11037249\charrsid16741398 A letter from Mr}{\insrsid4993118\charrsid16741398 .}{\insrsid11037249\charrsid16741398 C. The plaintiff responded to the }{\insrsid11951622\charrsid16741398 advertisement and}{\insrsid11037249\charrsid16741398 paid 20,000 for the bid documents. It submitted its bids on 20}{\super\insrsid11037249\charrsid16741398 th}{\insrsid11037249\charrsid16741398 September 2007}{\insrsid14100751\charrsid16741398 . }{ \insrsid11037249\charrsid16741398 The bids were opened on 27}{\super\insrsid11037249\charrsid16741398 th}{\insrsid11037249\charrsid16741398 September that year. The plaintiff was successful and was awarded the tender by the letter from Mr}{ \insrsid11951622\charrsid16741398 .}{\insrsid11037249\charrsid16741398 Muganzi the Permanent }{\insrsid11951622\charrsid16741398 Secretary,}{\insrsid11037249\charrsid16741398 Exhibit P1. According to the bid documents the plaintiff was supposed to charge the delegates but there was provision that }{\insrsid11951622\charrsid16741398 Government may}{\insrsid11037249\charrsid16741398 amend the }{ \insrsid11951622\charrsid16741398 said document}{\insrsid11037249\charrsid16741398 . He knew that the Government had amended the }{\insrsid3019400\charrsid16741398 bid }{\insrsid11037249\charrsid16741398 document because the letter from the }{ \insrsid11951622\charrsid16741398 Permanent}{\insrsid11037249\charrsid16741398 Secretary which awarded the tender talked of issuing an LPO. They accepted the offer on the 30}{\super\insrsid11037249\charrsid16741398 th}{\insrsid11037249\charrsid16741398 of September that year. They waited in }{\insrsid11951622\charrsid16741398 vain to}{\insrsid11037249\charrsid16741398 sign the }{\insrsid13591485\charrsid16741398 contract. }{\insrsid11037249\charrsid16741398 Instead Mr}{ \insrsid2044286\charrsid16741398 .}{\insrsid11037249\charrsid16741398 Itazi invited them for a meeting where they discussed and Government gave them common user rates to be applied during the CHOGM period. Then they attended security }{ \insrsid13591485\charrsid16741398 meetings where}{\insrsid11037249\charrsid16741398 they were shown different stickers (Exhibits P3 and 4) : \par {\listtext\pard\plain\f3\insrsid3347051\charrsid16741398 \loch\af3\dbch\af0\hich\f3 \'b7\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls4\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid3347051\charrsid16741398 PRIVATE -}{\insrsid11037249\charrsid16741398 were to }{\insrsid3347051\charrsid16741398 be issued}{\insrsid11037249\charrsid16741398 to companies that had to charge delegates. \par {\listtext\pard\plain\f3\insrsid11037249\charrsid16741398 \loch\af3\dbch\af0\hich\f3 \'b7\tab}OFFICIAL-}{\insrsid3347051\charrsid16741398 }{\insrsid11037249\charrsid16741398 were to be issued to companies that were to be paid by Government. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 \par The plaintiff }{\insrsid3347051\charrsid16741398 was issued}{\insrsid11037249\charrsid16741398 }{\insrsid3347051\charrsid16741398 with OFFICIAL}{\insrsid11037249\charrsid16741398 stickers. Government then told them to label their vehicles with their respective company logos, and }{\insrsid3347051\charrsid16741398 to provide}{\insrsid11037249\charrsid16741398 uniforms for their }{\insrsid3347051\charrsid16741398 staff,}{ \insrsid15150867\charrsid16741398 and they complied}{\insrsid11037249\charrsid16741398 .}{\insrsid15150867\charrsid16741398 }{\insrsid11037249\charrsid16741398 They had to be }{\insrsid3347051\charrsid16741398 accredited,}{ \insrsid11037249\charrsid16741398 that is, to go through a thorough security check and be issued with }{\insrsid3347051\charrsid16741398 identification tags}{\insrsid11037249\charrsid16741398 . Ministry of Works and Transport officials introduced t}{ \insrsid16124572\charrsid16741398 hem to the accreditation office}{\insrsid11037249\charrsid16741398 }{\insrsid16124572\charrsid16741398 where}{\insrsid11037249\charrsid16741398 the registration numbers of the plaintiff\rquote s vehicles }{ \insrsid3347051\charrsid16741398 were recorded}{\insrsid11037249\charrsid16741398 by the accreditation officials. Government had given the list of hotels where to park }{\insrsid5271158\charrsid16741398 vehicles,}{\insrsid11037249\charrsid16741398 and the plaintiff sent the vehicles bearing the stickers to those hotels. After that, the plaintiff transported }{\insrsid16124572\charrsid16741398 CHOGM delegates}{\insrsid11037249\charrsid16741398 for five days. During that period Government notified the delegates }{\insrsid5271158\charrsid16741398 by letters that}{\insrsid11037249\charrsid16741398 the visitors using those hotels were entitled to free bus }{\insrsid5271158\charrsid16741398 shuttles. }{\insrsid11037249\charrsid16741398 Exhibit P4 is a copy of the one for Makerere University Hotel. Similar letters wer e issued and addressed to different hotels. Thereafter, the plaintiff wrote to the Ministry of Works and Transport for payment. }{\insrsid5271158\charrsid16741398 The plaintiff\rquote s}{\insrsid11037249\charrsid16741398 was surprised when the }{ \insrsid5271158\charrsid16741398 officials instead}{\insrsid11037249\charrsid16741398 told them that they were supposed to be paid by the delegates and not by }{\insrsid5271158\charrsid16741398 Government. }{\insrsid11037249\charrsid16741398 They convened a meeting which Mr}{\insrsid5271158\charrsid16741398 . Itazi }{\insrsid7560424\charrsid16741398 C}{\insrsid5271158\charrsid16741398 ha}{\insrsid7560424\charrsid16741398 rl}{\insrsid5271158\charrsid16741398 e}{ \insrsid7560424\charrsid16741398 s}{\insrsid11037249\charrsid16741398 .}{\insrsid5271158\charrsid16741398 }{\insrsid11037249\charrsid16741398 The plaintiff referred to the letter of award where the }{\insrsid16124572\charrsid16741398 Permanent Secretary} {\insrsid11037249\charrsid16741398 had mentioned the LPO and the }{\insrsid16124572\charrsid16741398 \'93}{\insrsid11037249\charrsid16741398 OFFICIAL}{\insrsid16124572\charrsid16741398 \'94}{\insrsid11037249\charrsid16741398 pick and drop sticker which had been issued to }{\insrsid10243104\charrsid16741398 them by}{\insrsid11037249\charrsid16741398 Government officials. They said they would handle the matter administratively. On the 13}{ \super\insrsid11037249\charrsid16741398 th}{\insrsid11037249\charrsid16741398 January 2008, Mr}{\insrsid7560424\charrsid16741398 .}{\insrsid11037249\charrsid16741398 Itazi called another }{\insrsid7560424\charrsid16741398 meeting.}{ \insrsid11037249\charrsid16741398 }{\insrsid7560424\charrsid16741398 When PW1}{\insrsid11037249\charrsid16741398 went to attend the meeting he waited in vain, no one turned }{\insrsid7560424\charrsid16741398 up. }{\insrsid11037249\charrsid16741398 The Government also failed to pay the plaintiff to-date despite repeated }{\insrsid12995076\charrsid16741398 requests, which}{\insrsid11037249\charrsid16741398 is why they are in court. \par \par During cross-examination, }{\insrsid7737393\charrsid16741398 when the}{\insrsid11037249\charrsid16741398 witness was referred to Exhibit D2 enti}{\insrsid7737393\charrsid16741398 tled \'93REGISTRATION OF PROVIDERS\'94,}{\insrsid11037249\charrsid16741398 }{\insrsid7737393\charrsid16741398 he admitted}{\insrsid11037249\charrsid16741398 that the advertisement required bidders to obtain specific documents from the Ministry of Works and Transport including the Registration of }{ \insrsid14634507\charrsid16741398 Providers document}{\insrsid11037249\charrsid16741398 , and he got the same. He further admitted that part 6.3 of the bid document provided that }{\b\i\insrsid7560424\charrsid16741398 \'93}{ \b\i\insrsid14634507\charrsid16741398 the}{\b\i\insrsid11037249\charrsid16741398 registered service providers shall charge for their services in Uganda shillings}{\insrsid11037249\charrsid16741398 .\rquote whi ch means that the service providers including the plaintiff were supposed to charge the delegates in Uganda shillings. \par \par During re- examination, the witness was asked why they did not charge the }{\insrsid7737393\charrsid16741398 delegates. }{\insrsid11037249\charrsid16741398 His answer was that they did not charge the delega tes because of clause (k) of Appendix A to the same document. The clause reads: \par }{\insrsid14710935\charrsid16741398 \par \par }{\insrsid11037249\charrsid16741398 \par }{\b\i\ul\insrsid11037249\charrsid16741398 \'93(k) We understand that you may amend the scope}{\b\i\insrsid11037249\charrsid16741398 }{\insrsid11037249\charrsid16741398 \par }{\b\i\insrsid11037249\charrsid16741398 and value of any contracts to be bid or cancel the short listing process at any time and that you are either bound to accept any application that you may receive nor invite the short listed applicants to bid for the }{\b\i\insrsid10707658\charrsid16741398 contracts,}{\b\i\insrsid11037249\charrsid16741398 which are the subject of this short listing, without incurring liability to the applicants;}{\b\i\insrsid10707658\charrsid16741398 \'94 }{\i\insrsid3761440\charrsid16741398 (}{\insrsid11037249\charrsid16741398 the underlining is added for emphasis)

\par \par According to the witness this is the clause he was referring to when he stated that that there was a}{\insrsid11075879\charrsid16741398 provision}{\insrsid11037249\charrsid16741398 in the bid document that allowed Government to amend the terms of the bid document and Government did indeed amend the said document vide the letter of award Exhibit P1 which talked of issuing an LPO. The rest of the witnesses repeated the same story.

\par \par The defendant also adduced oral and documentary evidence in order to rebut the allegations by the plaintiff. \par \par }{\insrsid9710525\charrsid16741398 The first }{\insrsid11037249\charrsid16741398 de}{\insrsid9710525\charrsid16741398 fence witness was George Ocheng}{\insrsid11037249\charrsid16741398 , the Director of }{\insrsid14379007\charrsid16741398 S}{ \insrsid11037249\charrsid16741398 ecurity who }{\insrsid7503170\charrsid16741398 was responsible}{\insrsid11037249\charrsid16741398 for accreditation during CHOGM (D}{\insrsid7503170\charrsid16741398 W}{\insrsid11037249\charrsid16741398 1). He confirmed that the plaintiff was indeed one of the companies registered by the }{\insrsid4546704\charrsid16741398 transport sub}{\insrsid11037249\charrsid16741398 -committee to provid}{\insrsid4546704\charrsid16741398 e transport. Various stickers }{\insrsid11037249\charrsid16741398 , tendered as Exhibits D5(}{\insrsid1276409\charrsid16741398 i}{\insrsid11037249\charrsid16741398 ) to (iv) , were issued from his office for security reasons in order to enable them to control security and to allow the various transport service providers including the plaintiff to access security restricted areas. This was after evaluating the companies in respect of who and where they would drive. The stickers had different colours for different areas: \par \par {\listtext\pard\plain\f3\insrsid11037249\charrsid16741398 \loch\af3\dbch\af0\hich\f3 \'b7\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls5\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid11037249\charrsid16741398 Exhibit D5 (1) }{\insrsid4546704\charrsid16741398 were red}{\insrsid11037249\charrsid16741398 . These were to }{\insrsid4546704\charrsid16741398 allow parking}{\insrsid11037249\charrsid16741398 }{ \insrsid4546704\charrsid16741398 at Christ}{\insrsid11037249\charrsid16741398 The King Church or Shimoni Grounds only. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 \par {\listtext\pard\plain\f3\insrsid11037249\charrsid16741398 \loch\af3\dbch\af0\hich\f3 \'b7\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls5\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid11037249\charrsid16741398 Exhibit D 5(2) were green. They were meant to access all areas within the Kampala business centre for the Business Forum. \par }\pard \qj \li360\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin360\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 \par {\listtext\pard\plain\f3\insrsid11037249\charrsid16741398 \loch\af3\dbch\af0\hich\f3 \'b7\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls5\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid11037249\charrsid16741398 Exhibit D5}{\insrsid10105847\charrsid16741398 }{\insrsid11037249\charrsid16741398 (3) were blue and were for V. I. P s to access all venues. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 \par {\listtext\pard\plain\f3\insrsid11037249\charrsid16741398 \loch\af3\dbch\af0\hich\f3 \'b7\tab}}\pard \qj \fi-360\li720\ri0\sl360\slmult1\widctlpar\jclisttab\tx720\aspalpha\aspnum\faauto\ls5\adjustright\rin0\lin720\itap0\pararsid13569697 { \insrsid11037249\charrsid16741398 Exhibit D5 (4) }{\insrsid4546704\charrsid16741398 were red}{\insrsid11037249\charrsid16741398 . They }{\insrsid4546704\charrsid16741398 were to}{\insrsid11037249\charrsid16741398 enable H. O. G (Heads Of }{ \insrsid4546704\charrsid16741398 Governments)}{\insrsid11037249\charrsid16741398 }{\insrsid4546704\charrsid16741398 convoys to}{\insrsid11037249\charrsid16741398 only pick and drop Heads of Governments, but not to park. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 There were other }{\insrsid4546704\charrsid16741398 stickers including}{\insrsid11037249\charrsid16741398 Exhibit P3 relied on by the plaintiff . Those stickers were yellow and were designated \'93OFFICIAL}{\insrsid10105847\charrsid16741398 \'94, \'93}{\insrsid11037249\charrsid16741398 pick and drop\'94, that is in }{\insrsid10105847\charrsid16741398 respect of}{\insrsid11037249\charrsid16741398 an official who was being }{\insrsid10105847\charrsid16741398 picked or}{\insrsid11037249\charrsid16741398 collected from and dropped }{\insrsid10105847\charrsid16741398 in a}{ \insrsid11037249\charrsid16741398 designated restricted area. A vehicle bearing this class of sticker was not allowed to park in the }{\insrsid10105847\charrsid16741398 restricted area}{\insrsid14580981\charrsid16741398 . \'93Restricted areas}{ \insrsid11037249\charrsid16741398 \rquote \rquote where areas where other members of public were not allowed to access for security reasons. Before issuing the stickers he met the leaders }{\insrsid14580981\charrsid16741398 of all}{ \insrsid11037249\charrsid16741398 transport providers and gave them instructions on the meaning of the stickers and how far each type would enable them to drop and pick delegates. He informed them }{\insrsid14580981\charrsid16741398 that delegates}{ \insrsid11037249\charrsid16741398 were entitled to hire private taxis in }{\insrsid14580981\charrsid16741398 addition to}{\insrsid11037249\charrsid16741398 the official ones availed by Government. \par \par The firms were }{\insrsid14580981\charrsid16741398 registered,}{\insrsid11037249\charrsid16741398 including the plaintiff. He was involved in the exercise. He had to vet them to ensure that they were aware of their obligations to the delegates including the issue of char ges and the stickers which only allowed them to access certain areas that security allowed. \par \par During briefings he also informed the transport firms that they were informed by CHOGM organizers while on official trip in London and during site visits in Kampala as well as by the CHO}{\insrsid10697661\charrsid16741398 GM official handbook Exhibit D4} {\insrsid11037249\charrsid16741398 , }{\insrsid10697661\charrsid16741398 t}{\insrsid11037249\charrsid16741398 hat the Government would provide free bus shuttles to delegtes and how to the delegates would hire taxis. Indeed Government did offer free 30 to 40 seater bus shuttles to delegates. According to this witness, the }{\insrsid14580981\charrsid16741398 plaintiff\lquote s}{\insrsid11037249\charrsid16741398 officials were simply over enthusiastic and suffered from over expectation from CHOGM. They misunderstood the concept of transport hire services for }{\insrsid14580981\charrsid16741398 CHOGM and}{ \insrsid11037249\charrsid16741398 they got very many vehicles for which they never got }{\insrsid14580981\charrsid16741398 customers.}{\insrsid11037249\charrsid16741398 \par }{\insrsid16337115\charrsid16741398 \par }{\insrsid11037249\charrsid16741398 The witness stuck to his story during cross-examination. When he was asked }{\insrsid14495218\charrsid16741398 about \'93}{\insrsid11037249\charrsid16741398 PRIVATE}{\insrsid14495218\charrsid16741398 \'94 }{ \insrsid15753461\charrsid16741398 stickers,}{\insrsid11037249\charrsid16741398 he explained that these were made to support private taxi hire service companies because they had complained that the \'93OFFICIAL\'94 stickers were not advertising }{ \insrsid15753461\charrsid16741398 them.}{\insrsid11037249\charrsid16741398 \par \par D}{\insrsid15753461\charrsid16741398 W}{\insrsid11037249\charrsid16741398 2 was Mr}{\insrsid14495218\charrsid16741398 .}{\insrsid11037249\charrsid16741398 George William }{\insrsid14495218\charrsid16741398 Okurut the}{\insrsid11037249\charrsid16741398 Chief Mechanical Engineer with the Ministry of Works and Transport. He told court that the Ministry of Works and Transport advertised and invited bids for the supply of taxi hire services during CHOM. Interested bidders got pre-qualification documents entitled Registration of }{\insrsid14495218\charrsid16741398 Providers (}{\insrsid11037249\charrsid16741398 Exhibit D2) from the said Ministry. He also confirmed that the plaintiff was among the firms which got the said documents on payment of shs. 20,000 and bided for the provision of taxi hire services for CHOGM. Clause 1.2 on page 6 of the said document headed }{\b\i\insrsid11037249\charrsid16741398 \'93Sources of funds\'94}{\insrsid11037249\charrsid16741398 stated that the service providers including the plaintiff were supposed to charge the CHOGM delegates. Clause 2.4 on page 9 of the document stated that the cost of applying for the tender included legal fees and insurance. \par \par Regarding his personal involvement, the witness stated that he was involved in transport management and coordinated transport vehicles. Government offered free bus shuttle to and from the hotels for delegates but Government never offered free taxi services to delegates. Delegates were free to use any other transport including taxi hi}{\insrsid13248621\charrsid16741398 re, but they were to pay for it}{\insrsid11037249\charrsid16741398 .}{ \insrsid4026483\charrsid16741398 }{\insrsid11037249\charrsid16741398 They were notified through the CHOGM notebooks and a letter addressed to th e Hotels (ExhibitP4) rented by delegates. The shuttle buses had scheduled routes to the venue, airport and hotels. They never vetted the plaintiff\rquote s vehicles as the transport }{\insrsid13309120\charrsid16741398 committee;}{ \insrsid11037249\charrsid16741398 they only ve}{\insrsid10513\charrsid16741398 tted vehicles used by delegates}{\insrsid11037249\charrsid16741398 .}{\insrsid4026483\charrsid16741398 }{\insrsid11037249\charrsid16741398 They never issued sticker s, it was a security issue. All stickers were issued by the security committee. Exhibit P1 is the Notification of the Tender Award. There was a meeting thereafter, where hire rates were discussed. The result of negot}{\insrsid4026483\charrsid16741398 iations were submitted to }{\insrsid10969631\charrsid16741398 the Ministry\rquote s}{\insrsid11037249\charrsid16741398 contracts committee for approval but the said committee advised that each service provider should charge his own rate. No common user rate was agreed with the plaintiff. No contract was signed with the plaintiff.}{\b\i\insrsid11037249\charrsid16741398 } {\insrsid11037249\charrsid16741398 No LPO was issued to the plaintiff because the procurement was for services for which service providers were to charge their customers directly. The Ministry issued the le}{\insrsid4591010\charrsid16741398 tter mentioning an LPO in error}{\insrsid11037249\charrsid16741398 .}{\insrsid4591010\charrsid16741398 }{\insrsid11037249\charrsid16741398 The only binding document was the bidding document. He attended the meeting to clarify on th e issue of payment called by his director Mr. Itazi after CHOGM. Government was clear, the services in }{\insrsid15624150\charrsid16741398 question were}{\insrsid11037249\charrsid16741398 to be charged to delegates, }{\insrsid15624150\charrsid16741398 and therefore}{\insrsid11037249\charrsid16741398 Government should not meet the costs of the plaintiff\rquote s transport.}{\b\i\insrsid11037249\charrsid16741398 }{\insrsid11037249\charrsid16741398 \par \par During cross-examination, the witness insisted that the LPO was mentioned in the notification letter by error. \par }{\insrsid15363063\charrsid16741398 \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid15363063 {\insrsid15363063\charrsid16741398 Learned counsel for the plaintiff Mr. Luzige also rested his submissions on this clause and the \'93OFFICIAL \'94 pick and drop stickers issued to his client as well as the letter dated 18}{\super\insrsid15363063\charrsid16741398 th}{\insrsid15363063\charrsid16741398 November 2007. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid13569697 {\insrsid11037249\charrsid16741398 \par Learned Counsel for the defendant submitted that the plaintiff is bound by the bid documents. The documents stated that the taxi fares were to be }{\insrsid15624150\charrsid16741398 borne by the}{\insrsid11037249\charrsid16741398 delegates and not by Government. There was no contract and no LPO was issued . Clause 2 (k) was never amended. Consequently}{\insrsid15624150\charrsid16741398 , Government}{\insrsid11037249\charrsid16741398 did not }{\insrsid15624150\charrsid16741398 breach any}{\insrsid11037249\charrsid16741398 contract. The issuing of stickers was also }{\insrsid15624150\charrsid16741398 not a}{\insrsid11037249\charrsid16741398 term of the bid documents. The stickers were for security accreditation. Further the letter dated 18}{\super\insrsid11037249\charrsid16741398 th}{\insrsid11037249\charrsid16741398 November 2007(Exhibit P 4) was never addressed to the }{ \insrsid15624150\charrsid16741398 plaintiff\rquote s}{\insrsid11037249\charrsid16741398 . The plaintiff had to abide by the bidding documents. \par \par }{\insrsid16337115\charrsid16741398 Has the plaintiff discharged the burden to the required standard in the instant case}{\insrsid5652701\charrsid16741398 ?}{\insrsid16337115\charrsid16741398 \par \par }{\insrsid11037249\charrsid16741398 Upon careful consideration of}{\insrsid5652701\charrsid16741398 the pleadings}{\insrsid11037249\charrsid16741398 , the evidence and submissions on this issue, I find that the terms of clause 1.2 which stated that \'93 1.2.1 Registered firms shall }{\insrsid4602283\charrsid16741398 directly charge}{\insrsid11037249\charrsid16741398 for taxis and marine hire services from the users}{\insrsid4602283\charrsid16741398 \'94 }{\insrsid11037249\charrsid16741398 (c}{ \insrsid4602283\charrsid16741398 ustomers) are very clear and un}{\insrsid11037249\charrsid16741398 equivocal and have to be given their literal mean ing in their interpretation. This clause was not amended as the plaintiff would like this court to believe. No evidence was adduced by the plaintiff to prove this assertion. Further, the letter of notification of the award reads: \par \par }{\b\i\insrsid11037249\charrsid16741398 \'93REGISTRATION OF TAXI HIRE SERVICES DURING CHOGM 2007 CONTRACT NO. Dw1, for } {\insrsid2366602\charrsid16741398 instance}{\insrsid11037249\charrsid16741398 , explained that the\'94 }{\b\i\insrsid11037249\charrsid16741398 OFFICIAL\'94}{\insrsid11037249\charrsid16741398 }{\b\i\insrsid11037249\charrsid16741398 \'93 Pick And Drop\'94} {\insrsid11037249\charrsid16741398 stickers were issued in respect of officials who were to be picked and dropped in areas designated by security.}{\insrsid2366602\charrsid16741398 }{\insrsid11037249\charrsid16741398 This is the normal practice in cases of such important gatherings involving VIPs of various }{\insrsid11029391\charrsid16741398 categories. }{\insrsid11037249\charrsid16741398 The issuance of such stickers do not amount to and no evidence was led by the plaintiff to prove that it amounted to the issuance of LPOs or a contact with the plaintiff for free services which would}{\insrsid11029391\charrsid16741398 then be paid for by Government. }{\insrsid11037249\charrsid16741398 In the absence of any plausible evidence adduced by the plaintiff to prove that the terms of the bid document were amended, I accept the documentary evidence adduced }{ \insrsid11029391\charrsid16741398 by the}{\insrsid11037249\charrsid16741398 defendant\rquote s counsel as well as the oral testimony by the defendant\rquote }{\insrsid8144561\charrsid16741398 s}{\insrsid11037249\charrsid16741398 }{ \insrsid11029391\charrsid16741398 witnesses which}{\insrsid11037249\charrsid16741398 was uncontroverted by the plaintiff and hold that the CHOGM delegates were the ones who were }{\insrsid11029391\charrsid16741398 supposed to}{ \insrsid11037249\charrsid16741398 pay the }{\insrsid11029391\charrsid16741398 plaintiff for}{\insrsid11037249\charrsid16741398 }{\insrsid11029391\charrsid16741398 taxi hire}{\insrsid11037249\charrsid16741398 services rendered to them during the CHOGM meeting in KAMPALA in }{\insrsid11029391\charrsid16741398 2007 and}{\insrsid11037249\charrsid16741398 not the Government. Other costs include shs.12,2}{ \insrsid15564603\charrsid16741398 48,000 for 816 sets of uniforms}{\insrsid2970779\charrsid16741398 ,}{\insrsid15564603\charrsid16741398 }{\insrsid2970779\charrsid16741398 shs.2,397,000}{\insrsid2179082\charrsid16741398 /=}{ \insrsid2970779\charrsid16741398 for 799 pieces of identity cards, shs.340,000 for 17 identity cards, and shs.10, 320,000 for 256 sets of motor stickers . The plaintiff also claimed shs. 4, 785,000}{\insrsid2179082\charrsid16741398 /=}{ \insrsid2970779\charrsid16741398 plus shs.21, 935,000, for insurance. The plaintiff did not produce evidence to support its claim at all, apart from a Debit Note from Excel Insurance Company Ltd issued in the 13}{\super\insrsid2970779\charrsid16741398 th }{\insrsid2970779\charrsid16741398 September 2007. It was incumbent upon the plaintiff to adduce sufficient evidence such as receipts to prove the said expenditure since the plaintiff\lquote s counsel submitted that they were reimbursable expenditures implying that the plaintiff had already spent the monies claimed and was only asking Government for reimbursement. \par \par The special damages cannot be awarded in the circumstances as th}{\insrsid7679547\charrsid16741398 e were not proved}{\insrsid2970779\charrsid16741398 .}{\insrsid7679547\charrsid16741398 }{\insrsid2970779\charrsid16741398 It is a genera lly accepted principle that special damages must not only be specifically pleaded but strictly proved as well.
