No. 753 of 2007 on the 21}{ \super\insrsid12393520\charrsid4019833 st}{\insrsid12393520\charrsid4019833 September, 2007 and the alleged service had been affected on a receptionist of the Applicant company who only stamped the summons with }{\insrsid4019833\charrsid4019833 the Applicant\rquote s}{\insrsid12393520\charrsid4019833 Stamp on the 13}{\super\insrsid12393520\charrsid4019833 th}{\insrsid12393520\charrsid4019833 September 2007 awaiting receipt by the Applicant\rquote s Managing Director. \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid12393520\charrsid4019833 \hich\af0\dbch\af0\loch\f0 2.\tab}Upon receipt of summons from the said employee}{\insrsid11763452\charrsid4019833 ,}{\insrsid3944272\charrsid4019833 a}{ \insrsid12393520\charrsid4019833 one Agatha Bugenyi}{\insrsid11763452\charrsid4019833 ,}{\insrsid12393520\charrsid4019833 on the 21}{\super\insrsid12393520\charrsid4019833 st}{\insrsid12393520\charrsid4019833 September 2007}{ \insrsid11221551\charrsid4019833 ,}{\insrsid12393520\charrsid4019833 the Applicant\rquote s Managing Director promptly in}{\insrsid11763452\charrsid4019833 s}{\insrsid3944272\charrsid4019833 tr}{\insrsid12393520\charrsid4019833 u}{ \insrsid11763452\charrsid4019833 ct}{\insrsid12393520\charrsid4019833 ed }{\insrsid11221551\charrsid4019833 the Applicant\rquote s}{\insrsid12393520\charrsid4019833 lawyers M/S Nangwala, Rexida & Co Advocates to defend the Applicant. \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid12393520\charrsid4019833 \hich\af0\dbch\af0\loch\f0 3.\tab}The Applicant}{\insrsid11763452\charrsid4019833 \rquote }{\insrsid12393520\charrsid4019833 s lawyers immediately filed a Written Statement of defence on }{\insrsid11221551\charrsid4019833 the 4}{\super\insrsid11221551\charrsid4019833 th}{\insrsid11221551\charrsid4019833 October 2007 within the fifteen day}{\insrsid3944272\charrsid4019833 s}{ \insrsid11221551\charrsid4019833 from 21}{\super\insrsid11221551\charrsid4019833 st}{\insrsid11221551\charrsid4019833 September 2007.}{\insrsid12393520\charrsid4019833 \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid11221551\charrsid4019833 \hich\af0\dbch\af0\loch\f0 4.\tab}}{\insrsid11221551\charrsid4019833 The Applicant has a good defence to the suit in the sense that:- \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4019833 {\insrsid11221551\charrsid4019833 \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid11221551\charrsid4019833 \hich\af0\dbch\af0\loch\f0 (a)\tab}}\pard \qj \fi-420\li780\ri0\sl360\slmult1\widctlpar \jclisttab\tx780\aspalpha\aspnum\faauto\ls3\adjustright\rin0\lin780\itap0\pararsid4019833 {\insrsid11221551\charrsid4019833 The Applicant does not owe the Respondent any duty or legal or other relationship and the suit is misconceived and bad in law.

\par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid11221551\charrsid4019833 \hich\af0\dbch\af0\loch\f0 (b)\tab}The Applicant only had fiduciary relationship with YWCA as an account}{\insrsid3944272\charrsid4019833 holder }{ \insrsid11763452\charrsid4019833 and }{\insrsid11348225\charrsid4019833 as }{\insrsid3944272\charrsid4019833 a trustee}{\insrsid11221551\charrsid4019833 for its funds and operation of the alleged account to which i t lawfully and rightly carried out its duties. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4019833 {\insrsid11221551\charrsid4019833 \par The application is supported by }{\insrsid3944272\charrsid4019833 three affidavits. One sworn by }{\insrsid11221551\charrsid4019833 Agatha Bugenyi, a receptionist of the Applicant company, another }{\insrsid4019833\charrsid4019833 by A}{ \insrsid11221551\charrsid4019833 Reza Kalan the Applicant\rquote s Managing Director and the third by Kemigisha As sumpta an advocate with M/S Nangwala, Rexida & Co Advocates. The Respondent filed two affidavits in reply. One deponed by Leah Kiseri, the Ag. Executive Director of the Uganda Young Women\rquote s Christian Association (YMCA) and the second by Gaswaga Julius a Court Process Server. \par \par Rep}{\insrsid3944272\charrsid4019833 rese}{\insrsid11221551\charrsid4019833 nt}{\insrsid3944272\charrsid4019833 ation}{\insrsid11221551\charrsid4019833 was Mr. Rexida for the applicant and Mr. Kitumba-Magala for the Respondent. \par \par I}{\insrsid4019833 n}{\insrsid11221551\charrsid4019833 his submission Counsel for the Applicant submitted that the Exparte Judgement entered against the Applicant was upon an ineffective servi ce of the summons. He urged that service on a receptionist or a secretary in a company is not effective service. He contended that effective service was on 21}{\super\insrsid11221551\charrsid4019833 st}{\insrsid11221551\charrsid4019833 September 2007 when }{\insrsid4019833\charrsid4019833 the Principal}{\insrsid11221551\charrsid4019833 Officer of the Company received the summon}{\insrsid3944272\charrsid4019833 s}{\insrsid11221551\charrsid4019833 . That the Wr itten Statement of Defence was filed within 15 days and thus in time. On the other }{\insrsid1009790\charrsid4019833 hand Counsel for the Respondent argued that there was proper service upon the legal officer o}{\insrsid3944272\charrsid4019833 f}{ \insrsid1009790\charrsid4019833 the applicant. He referred to the affidavit in reply sworn by Gaswaga Julius. Alternatively Counsel argued that the summons were left a}{\insrsid3944272\charrsid4019833 t}{\insrsid1009790\charrsid4019833 the registered office or business place of the Applicant.}{\insrsid11221551\charrsid4019833 \par }{\insrsid1009790\charrsid4019833 \par Order 9 }{\insrsid4019833\charrsid4019833 rule 12}{\insrsid1009790\charrsid4019833 of the Civil Procedure Rules gives court unlimited or unrestricted discretion to set aside an exparte judgement. Howev er, Court can only set aside an exparte judgment under the rule if the Applicant:- \par \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid1009790\charrsid4019833 \hich\af0\dbch\af0\loch\f0 (a)\tab}}\pard \qj \fi-405\li1485\ri0\sl360\slmult1\widctlpar \jclisttab\tx1485\aspalpha\aspnum\faauto\ls2\ilvl1\adjustright\rin0\lin1485\itap0\pararsid4019833 {\insrsid1009790\charrsid4019833 satisfies Court that there is a reasonable explanation }{\insrsid4019833\charrsid4019833 why the}{ \insrsid1009790\charrsid4019833 exparte ju}{\insrsid3944272\charrsid4019833 d}{\insrsid1009790\charrsid4019833 gement was entered against him. \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid3944272\charrsid4019833 \hich\af0\dbch\af0\loch\f0 (b)\tab}}{\insrsid3944272\charrsid4019833 h}{\insrsid1009790\charrsid4019833 as produced }{\insrsid4019833\charrsid4019833 to Court}{ \insrsid1009790\charrsid4019833 evidence that he has a prima facie defence to the claim. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4019833 {\insrsid1009790\charrsid4019833 \par See: }{\i\ul\insrsid1009790\charrsid4019833 Ma}{\i\ul\insrsid4460628\charrsid4019833 saka Farmers and Produce Ltd Vs Aloysius Tamale & Anor (1992 \endash 93) HCB 203}{\insrsid4460628\charrsid4019833 .}{\insrsid1009790\charrsid4019833 \par }{\insrsid4460628\charrsid4019833 \par The Court record shows that the Deputy Registrar of this Court pursuant to the Registrar}{\insrsid3944272\charrsid4019833 \rquote s}{\insrsid4460628\charrsid4019833 powers under Order 50 rule 2 of the Civil Procedure Rules entered judgment against }{ \insrsid3944272\charrsid4019833 t}{\insrsid4460628\charrsid4019833 he Applicant pursuant to Order 9 rule 11(2) to the Civil Procedure Rules for failure to file a defence. Judgement was entered o}{\insrsid11763452\charrsid4019833 n}{ \insrsid4460628\charrsid4019833 }{\insrsid4019833\charrsid4019833 the basis}{\insrsid4460628\charrsid4019833 of an affidavit of service dated 20}{\super\insrsid4460628\charrsid4019833 th}{\insrsid4460628\charrsid4019833 September 2007, wherein the process server, Gaswaga Julius states that on 13}{\super\insrsid4460628\charrsid4019833 th}{\insrsid4460628\charrsid4019833 September 2007 he proceeded to effect Court process upon }{\insrsid4019833\charrsid4019833 the Applicant}{\insrsid4460628\charrsid4019833 Company at Crane Chambers, Legal Department on 2}{\super\insrsid4460628\charrsid4019833 nd}{\insrsid4460628\charrsid4019833 Floor}{\insrsid9386810\charrsid4019833 . }{\insrsid4019833 The 5}{ \super\insrsid4019833\charrsid4019833 th}{\insrsid4019833 paragraph}{\insrsid4460628\charrsid4019833 states: \par \par }\pard \qj \li567\ri567\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin567\lin567\itap0\pararsid4019833 {\insrsid4460628\charrsid4019833 \'93That a Secretary in the legal}{\insrsid3944272\charrsid4019833 department of Crane Bank Ltd. r}{ \insrsid4460628\charrsid4019833 eceived both the plaint and a copy of the summons to file defence and acknowledge}{\insrsid3944272\charrsid4019833 d}{\insrsid4460628\charrsid4019833 service and a }{\insrsid3944272\charrsid4019833 p}{ \insrsid4460628\charrsid4019833 hotostat copy of the same i}{\insrsid2954196\charrsid4019833 s}{\insrsid4460628\charrsid4019833 herewith attached as proof to that effect.\'94 \par }\pard \qj \li0\ri567\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin567\lin0\itap0\pararsid4019833 {\insrsid4460628\charrsid4019833 \par The exparte judgement was entered on 3}{\super\insrsid4460628\charrsid4019833 rd}{\insrsid4460628\charrsid4019833 October 2007. The }{\insrsid4019833\charrsid4019833 Applicant filed}{\insrsid4460628\charrsid4019833 a Written Statement of Defence on 4}{ \super\insrsid4460628\charrsid4019833 th}{\insrsid4460628\charrsid4019833 October, 2007. \par \par }{\insrsid12132880\charrsid4019833 I}{\insrsid3944272\charrsid4019833 n}{\insrsid12132880\charrsid4019833 Gaswaga }{\insrsid4019833\charrsid4019833 Julius\rquote affidavit}{\insrsid12132880\charrsid4019833 in reply he states:}{ \insrsid4460628\charrsid4019833 \par }{\insrsid12132880\charrsid4019833 \par }\pard \qj \li567\ri567\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin567\lin567\itap0\pararsid4019833 {\insrsid3944272\charrsid4019833 \'934. The Applicant contends that service on her was not effective service . The Respondent on the other hand contends that there was proper service on the Legal Officer of the Applicant Company, one Nalwanga Prosy}{\insrsid5647570\charrsid4019833 . }{\insrsid6365913\charrsid4019833 Alternatively that summons were left at the business premises of the Applicant. \par \par First and foremost to obtain judgment in default the plaintiff must first satisfy the Registrar that the summons in the suit had been effectively served on the defendant against whom judgment is being sou}{\insrsid10058722\charrsid4019833 ght. As regards service on corporations Order 29 rule 2}{\insrsid2954196\charrsid4019833 of the Civil Procedure Rules}{\insrsid10058722\charrsid4019833 provides:-}{\insrsid6365913\charrsid4019833 \par }\pard \qj \li567\ri567\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin567\lin567\itap0\pararsid4019833 {\insrsid10058722\charrsid4019833 \par \'93Subject to any statutory provision regulating service of process, when the suit is against a corporation, the summons may be served.- \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid10058722\charrsid4019833 \hich\af0\dbch\af0\loch\f0 (a)\tab}}\pard \qj \fi-360\li567\ri567\sl360\slmult1\widctlpar \jclisttab\tx567\aspalpha\aspnum\faauto\ls4\adjustright\rin567\lin567\itap0\pararsid4019833 {\insrsid10058722\charrsid4019833 on the secretary or any director or other principal officer of the corporation; or \par {\listtext\pard\plain\lang2057\langfe1033\langfenp1033\insrsid10058722\charrsid4019833 \hich\af0\dbch\af0\loch\f0 (b)\tab}by leaving it or sending it }{\insrsid15082079\charrsid4019833 by post}{\insrsid10058722\charrsid4019833 addressed to }{ \insrsid15082079\charrsid4019833 the corporation}{\insrsid10058722\charrsid4019833 at the registered office, or if there is no registered office, then at }{\insrsid15082079\charrsid4019833 the place}{\insrsid10058722\charrsid4019833 where the corporation carrie}{\insrsid3944272\charrsid4019833 s}{\insrsid10058722\charrsid4019833 on business.\'94 \par }\pard \qj \li567\ri567\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin567\lin567\itap0\pararsid4019833 {\insrsid5647570\charrsid4019833 \par }\pard \qj \li0\ri57\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin57\lin0\itap0\pararsid4019833 {\insrsid3944272\charrsid4019833 Under sub}{\insrsid5647570\charrsid4019833 -rule 2 (a) above ser}{\insrsid5452726\charrsid4019833 vice must be on a secretary}{\insrsid3944272\charrsid4019833 ,}{\insrsid5452726\charrsid4019833 any director or other principal officer of the }{\insrsid12717757\charrsid4019833 corporation. In his affidavit sworn in opposition to this application the Process Server says that he had effected service on the Legal Officer of the Applicant Company one Nalwanga P}{\insrsid3944272\charrsid4019833 r}{\insrsid12717757\charrsid4019833 osy who directed him to hand the papers to Agatha Bugenyi. A legal officer in my view qualified for a principal }{\insrsid3944272\charrsid4019833 officer }{\insrsid12717757\charrsid4019833 of the Company, most especially in cases like this one where papers being served were legal documents. I however find it st}{\insrsid6645083\charrsid4019833 ran}{\insrsid12717757\charrsid4019833 ge }{\insrsid6645083\charrsid4019833 that in the affidavit of service upon }{\insrsid15082079\charrsid4019833 which the}{\insrsid6645083\charrsid4019833 exparte j udgement was based there is no mention of service on either the Legal officer or the said Nalwanga Prosy. The affidavit of service talks of only a Secretary in the legal department. It is this secretary who is stated to have received and acknowledge}{ \insrsid11213254\charrsid4019833 d}{\insrsid6645083\charrsid4019833 service. This must have been Agatha Bugenyi talked about in the Process Servers}{\insrsid2318164\charrsid4019833 affidavit in reply. The Secretary envisaged in sub-rule 2(a) above must be a principal officer, not a Secretary at the level of a receptionist. In }{\i\ul\insrsid2318164\charrsid4019833 Kampala City Council Vs Apollo Hotel Corporation (1985) HCB77}{ \insrsid2318164\charrsid4019833 Odoki J. (as he then was) held that under Order 26 rule 2(a) (now Order 29) such process must be served on senior officer}{\insrsid11213254\charrsid4019833 s}{\insrsid2318164\charrsid4019833 of the corporation who are responsible for the management of the corporation and therefore who are in a position to take action on behalf of the corporation}{\insrsid9787642\charrsid4019833 . The Blacks Law Dictionary 7}{ \super\insrsid9787642\charrsid4019833 th}{\insrsid9787642\charrsid4019833 Ed page 1355 defines \'93Secretary\'94 to mean: \par }\pard \qj \li0\ri851\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin851\lin0\itap0\pararsid4019833 {\insrsid9787642\charrsid4019833 \par }\pard \qj \li567\ri851\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin851\lin567\itap0\pararsid4019833 {\insrsid9787642\charrsid4019833 \'93A corporation officer in charge of official }{\insrsid8221480\charrsid4019833 correspondence, minutes of board meetings, and records of stock ownership and transfer.\'94}{\insrsid9787642\charrsid4019833 \par }{\insrsid8221480\charrsid4019833 \par }\pard \qj \li0\ri851\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin851\lin0\itap0\pararsid4019833 {\insrsid11213254\charrsid4019833 And }{\insrsid8221480\charrsid4019833 \'93Corporation officer\'94 as \par \par }\pard \qj \li567\ri851\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin851\lin567\itap0\pararsid4019833 {\insrsid15082079\charrsid4019833 \'93An}{\insrsid8221480\charrsid4019833 officer of a corporation, such as }{ \insrsid12923177\charrsid4019833 a CEO, president, }{\insrsid11213254\charrsid4019833 s}{\insrsid12923177\charrsid4019833 ecretary or treasurer.\'94}{\insrsid8221480\charrsid4019833 \par }{\insrsid12923177\charrsid4019833 \par }\pard \qj \li0\ri851\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin851\lin0\itap0\pararsid4019833 {\insrsid12923177\charrsid4019833 Section}{\insrsid11213254\charrsid4019833 1}{\insrsid12923177\charrsid4019833 (y) of the }{ \insrsid11213254\charrsid4019833 C}{\insrsid12923177\charrsid4019833 ompanies Act defines \'93Officer\'94 in relation to a }{\insrsid15082079\charrsid4019833 body corporate}{\insrsid12923177\charrsid4019833 to include \'93 A director, manager or secretary.\'94 \par \par \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4019833 {\insrsid2318164\charrsid4019833 The officer served as per the affidavit of serv}{\insrsid11213254\charrsid4019833 ice}{ \insrsid2318164\charrsid4019833 on which the exparte judgment was based was a mere secretary in }{\insrsid11213254\charrsid4019833 the }{\insrsid2318164\charrsid4019833 legal department who did }{\insrsid15082079\charrsid4019833 not qualify}{ \insrsid2318164\charrsid4019833 for }{\insrsid15082079\charrsid4019833 a principle}{\insrsid2318164\charrsid4019833 officer of the company. It was this affidavit intended to satisfy the Registrar t hat there was effective service and therefore which should have properly described the Officer served }{\insrsid10321699\charrsid4019833 so as to prove that she satisfied the provision of }{\insrsid5392134\charrsid4019833 sub-rule 2 (a). }{ \insrsid11213254\charrsid4019833 T}{\insrsid5392134\charrsid4019833 he affidavit did not satisfactorily describe the secretary so served. In }{\insrsid12935940\charrsid4019833 the circumstances}{\insrsid5392134\charrsid4019833 the statements in the affidavit in reply that service was effected on }{\insrsid11213254\charrsid4019833 the}{\insrsid5392134\charrsid4019833 Legal Officer of the Applicant, }{\insrsid11213254\charrsid4019833 one Nalwanga Prosy appears a}{ \insrsid5392134\charrsid4019833 n }{\insrsid12935940\charrsid4019833 afterthought designed}{\insrsid5392134\charrsid4019833 to defeat }{\insrsid12935940\charrsid4019833 the averments}{\insrsid5392134\charrsid4019833 in both Agatha Bugenyi and A Raze Kalan\rquote s respective affidavits that summons were served on Agatha Bugenyi a receptionist.}{\insrsid9787642\charrsid4019833 In }{\i\ul\insrsid9787642\charrsid4019833 Sherali Bandali Jaffer and others Vs Yefusa Weraga Seggane (1972) 2 ULR 108}{\insrsid9787642\charrsid4019833 summons to be served on a limited liability company were left with an office attendant. }{\insrsid11213254\charrsid4019833 }{ \insrsid4283764\charrsid4019833 It was held that service on an office attendant was not effective under Order 26 }{\insrsid15886956\charrsid4019833 (}{\insrsid11213254\charrsid4019833 now }{\insrsid15886956\charrsid4019833 29) rule 2(a) CPR. In the circumstances of this case I fi}{\insrsid12935940\charrsid4019833 n}{\insrsid15886956\charrsid4019833 d that there was no effective service on a principal officer of the Applicant company.}{\insrsid4283764\charrsid4019833

\par }{\insrsid15886956\charrsid4019833 \par It now remains to consider whether it was service under rule 2(b) of the said order. Under this arm of the rule summons may be served by leaving it at or by sending it by post to the registered office of the corporation or i}{ \insrsid12935940\charrsid4019833 f}{\insrsid15886956\charrsid4019833 there is no registered }{\insrsid1984434\charrsid4019833 office, then at the place where the corporation carries on business. The summons were }{\insrsid12935940\charrsid4019833 clearly on}{\insrsid1984434\charrsid4019833 13}{\super\insrsid1984434\charrsid4019833 th}{\insrsid1984434\charrsid4019833 September 2007 left with Agatha Bugenyi at her }{\insrsid12935940\charrsid4019833 place of}{\insrsid1984434\charrsid4019833 work with the applicant. Therefore it is not disputed that the summons were left at }{\insrsid12935940\charrsid4019833 the }{\insrsid1984434\charrsid4019833 Applicant}{\insrsid12935940\charrsid4019833 \rquote }{\insrsid1984434\charrsid4019833 s place of business. I have looked at the summons issue}{\insrsid12935940\charrsid4019833 d}{\insrsid1984434\charrsid4019833 in the instant suit. They were addressed to the applicant and two others. Sub-rule 2(b) requires the summons so addressed to the defendant to be left at the Registered Office of the defendant. I ha}{\insrsid12935940\charrsid4019833 ve studied the affidavits of service by Gaswaga Julius }{\insrsid1984434\charrsid4019833 and }{\insrsid12935940\charrsid4019833 his}{\insrsid1984434\charrsid4019833 affidavit in reply. None of the two affidavits state that the place where the summons were left with Agatha Bugenyi was the applicant\rquote s registered office. }{\insrsid5008575\charrsid4019833 The registered office of the corporation envisaged under }{\insrsid12935940\charrsid4019833 the rule}{\insrsid5008575\charrsid4019833 must }{\insrsid12935940\charrsid4019833 b}{\insrsid5008575\charrsid4019833 e such office as is r egistered pursuit to the provisions of section}{\insrsid12935940\charrsid4019833 s}{\insrsid5008575\charrsid4019833 107 and 108 of the }{\insrsid12935940\charrsid4019833 C}{\insrsid5008575\charrsid4019833 ompanies Act. Though the place where the summons were left could pass for a place where the Applicant company carries o}{\insrsid12935940\charrsid4019833 n}{\insrsid5008575\charrsid4019833 business; to satisfy the requirements of the sub-rule, if there is no registered office, then that fact ought to have been deponed to. It is only then that service in the alternative by leaving it at the place where }{\insrsid12935940\charrsid4019833 the applicant}{\insrsid5008575\charrsid4019833 carries on business would have been effective and good. It is trite that he who }{\insrsid6557184\charrsid4019833 alleges}{\insrsid5008575\charrsid4019833 }{\insrsid6557184\charrsid4019833 ha s a duty to satisfy the court on a balance of probabilities that which he asserts. If the applicant has a registered office the}{\insrsid9386810\charrsid4019833 n}{\insrsid6557184\charrsid4019833 service elsewhere not being its registered office would be bad and not effective. In absence of }{\insrsid15082079\charrsid4019833 any averment}{\insrsid6557184\charrsid4019833 as to informatio n relating to the Applicant registered office I find that the respondent has failed to discharge that burden. In the premises the Respondent failed to show that there was effective service of the summons on the applicant in the manner provi}{ \insrsid12935940\charrsid4019833 ded by O}{\insrsid6557184\charrsid4019833 rder 29 of the Civil Procedure Rules. See }{\i\ul\insrsid6557184\charrsid4019833 Harriet Nankabirwa Vs Uganda Ecume}{\i\ul\insrsid12935940\charrsid4019833 r}{ \i\ul\insrsid6557184\charrsid4019833 ical Church Loan Fund Ltd HCT-00-CC-MA-No 241 of 2004}{\insrsid9386810\charrsid4019833 . }{\insrsid6557184\charrsid4019833 Both Agatha }{\insrsid15082079\charrsid4019833 Bugenyi and}{\insrsid6557184\charrsid4019833 A Reza Kalan in their respective affidavits in support }{\insrsid12935940\charrsid4019833 state}{\insrsid6557184\charrsid4019833 that Agatha Bugenyi gave the summons to Reza Kalan on 21}{\super\insrsid6557184\charrsid4019833 st}{ \insrsid6557184\charrsid4019833 September 2007. Reza Kalan is described as the Managing Direc}{\insrsid686079\charrsid4019833 tor of the Applicant Company thu}{\insrsid6557184\charrsid4019833 s within the officers envisaged by Order 29 rule 2 (a) CPR. Service of summons is intended to bring to the notice of the party served that a suit has been filed against him}{\insrsid686079\charrsid4019833 /her}{\insrsid6557184\charrsid4019833 and to required such party to file his/her Written Statement of defence within the prescribed time. Considering all the above I find that the summons in this case were effectively received by the Applicant Company on 21}{ \super\insrsid6557184\charrsid4019833 st}{\insrsid6557184\charrsid4019833 September 2007 which was th}{\insrsid686079\charrsid4019833 erefore}{\insrsid6557184\charrsid4019833 the effective date of service. }{\insrsid15886956\charrsid4019833 \par }{\insrsid6557184\charrsid4019833 \par }{\insrsid686079\charrsid4019833 The}{\insrsid6557184\charrsid4019833 Applicant must also show that he has a prima facie defence to the Respondent\rquote s }{\insrsid16453907\charrsid4019833 claim. Court}{\insrsid686079\charrsid4019833 \rquote }{ \insrsid16453907\charrsid4019833 s discretionary power is intended to }{\insrsid15082079\charrsid4019833 promote the}{\insrsid16453907\charrsid4019833 ends of justice. In }{\i\ul\insrsid16453907\charrsid4019833 Jannadas Sodha Vs Gor dhandas Hemraj (1952) 7 ULR 11. }{\i\insrsid16453907\charrsid4019833 Justice Ainl}{\i\insrsid686079\charrsid4019833 e}{\i\insrsid16453907\charrsid4019833 y}{\insrsid16453907\charrsid4019833 stated: }{\insrsid6557184\charrsid4019833 \par }\pard \qj \li0\ri851\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin851\lin0\itap0\pararsid4019833 {\insrsid16453907\charrsid4019833 \par }\pard \qj \li567\ri851\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin851\lin567\itap0\pararsid4019833 {\insrsid16453907\charrsid4019833 \'93\emdash The nature of the action should be considered, the defence if one has been brought to the notice of the Court, however irregularly, should be considered, the question as whether the plaintiff ca n reasonably be compensated by costs for any delay occasioned should be considered and finally }{\insrsid686079\charrsid4019833 ---}{\insrsid16453907\charrsid4019833 it should always be }{\insrsid686079\charrsid4019833 remembered that}{ \insrsid16453907\charrsid4019833 to deny the subject a hea}{\insrsid686079\charrsid4019833 ring should be the last resort o}{\insrsid16453907\charrsid4019833 f the court---.\'94 \par \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid4019833 {\insrsid16453907\charrsid4019833 Reference was made to the above statement}{\insrsid686079\charrsid4019833 with approval}{ \insrsid16453907\charrsid4019833 in }{\i\ul\insrsid16453907\charrsid4019833 Sebei District Administration Vs Gas}{\i\ul\insrsid686079\charrsid4019833 u}{\i\ul\insrsid16453907\charrsid4019833 hali & Other}{\i\ul\insrsid7480467\charrsid4019833 s}{ \i\ul\insrsid16453907\charrsid4019833 (1968) EA 300}{\insrsid16453907\charrsid4019833 . \par \par In }{\insrsid686079\charrsid4019833 the instant}{\insrsid16453907\charrsid4019833 case the }{\insrsid686079\charrsid4019833 Respondent,}{\insrsid16453907\charrsid4019833 Kabuye Victoria, filed the suit against the Applicant, }{ \insrsid686079\charrsid4019833 Stanbic Bank Uganda Ltd.}{\insrsid16453907\charrsid4019833 and Harriet Nansikombi Kawalya Kagwa. She described herself as a Treasurer on the Board of Directors of the Uganda }{\insrsid686079\charrsid4019833 Women\rquote s Christian}{\insrsid6322285\charrsid4019833 Association of Uganda and states that she is suing on the board}{\insrsid686079\charrsid4019833 \rquote }{\insrsid6322285\charrsid4019833 s behalf vide a Board Resolution dated 6}{ \super\insrsid6322285\charrsid4019833 th}{\insrsid6322285\charrsid4019833 September 2007. The Respondent}{\insrsid686079\charrsid4019833 \rquote s claim}{\insrsid6322285\charrsid4019833 in the plaint is that on 4}{\super\insrsid6322285\charrsid4019833 th}{\insrsid6322285\charrsid4019833 February 2006 she opened up an account with }{\insrsid686079\charrsid4019833 the }{\insrsid6322285\charrsid4019833 Applicant No. }{\insrsid686079\charrsid4019833 0}{\insrsid6322285\charrsid4019833 14420250300 with a clear mandate of how the account was to be operated which includes the President of the Board of Directors, the Treasurer of the Board of Director}{\insrsid7480467\charrsid4019833 s}{\insrsid6322285\charrsid4019833 and the Executive Director who is }{\insrsid686079\charrsid4019833 the principal signatory}{\insrsid6322285\charrsid4019833 to the}{\insrsid3087622\charrsid4019833 }{\insrsid6322285\charrsid4019833 Account. The respondent }{ \insrsid3087622\charrsid4019833 contends that the Applicant deliberately refused to operate the Account in accordance with the mandate thereby causing the Association inconveniences, embarrassments, financial loses and damage. }{ \insrsid16453907\charrsid4019833 \par }{\insrsid3087622\charrsid4019833 The applicant ha}{\insrsid14841479\charrsid4019833 d}{\insrsid3087622\charrsid4019833 on 4}{\super\insrsid3087622\charrsid4019833 th}{\insrsid3087622\charrsid4019833 October 2007 filed a }{ \insrsid686079\charrsid4019833 Written Statement}{\insrsid3087622\charrsid4019833 of Defence. The same copy }{\insrsid14841479\charrsid4019833 i}{\insrsid3087622\charrsid4019833 s annexed to A. Reza Kalan\rquote s affidavit in support of the application. The Applicant therein denies owing }{\insrsid686079\charrsid4019833 the respondent}{\insrsid14841479\charrsid4019833 any duty or}{\insrsid3087622\charrsid4019833 any legal relationship to the Respondent. The }{\insrsid686079\charrsid4019833 Applicant contends}{\insrsid3087622\charrsid4019833 that it only has a fiduciary relationship with YMCA as an account }{\insrsid14841479\charrsid4019833 holder}{\insrsid3087622\charrsid4019833 and is a trustee to the Association}{\insrsid14841479\charrsid4019833 \rquote }{\insrsid3087622\charrsid4019833 s funds with a duty }{\insrsid14841479\charrsid4019833 to }{\insrsid3087622\charrsid4019833 ensure the proper operation of its account. That it has lawfully and rightfully blocked the ope}{\insrsid14841479\charrsid4019833 ration of the account in lin}{\insrsid3087622\charrsid4019833 e with its own obligations. \par \par The nature of the case involves very serious issues relating to the management and administration of}{\insrsid14841479\charrsid4019833 funds of a public organisation}{\insrsid3087622\charrsid4019833 . It involves serious principals of banking relating } {\insrsid8604386\charrsid4019833 to the bank-customer relationship. The duties and obligation}{\insrsid14841479\charrsid4019833 s}{\insrsid8604386\charrsid4019833 of a bank towards its customer. It also involves the issue }{ \insrsid15432916\charrsid4019833 of}{\insrsid8604386\charrsid4019833 Respondent}{\insrsid14841479\charrsid4019833 \rquote s}{\insrsid8604386\charrsid4019833 locus }{\insrsid15495021\charrsid4019833 in}{\insrsid8604386\charrsid4019833 fil}{ \insrsid15495021\charrsid4019833 ing}{\insrsid8604386\charrsid4019833 this suit. I agree with Mr. Rexida that the}{\insrsid15495021\charrsid4019833 s}{\insrsid8604386\charrsid4019833 e }{\insrsid15495021\charrsid4019833 are}{ \insrsid8604386\charrsid4019833 serious matters which deserve to be resolved on merit. In }{\i\ul\insrsid8604386\charrsid4019833 Fr. Francis Payer Vs Kawalya Mwebe and Others HCCS No. 194/ 94 (1995) IV KALR 143}{\insrsid8604386\charrsid4019833 Kir}{ \insrsid15495021\charrsid4019833 eju}{\insrsid8604386\charrsid4019833 J. having }{\insrsid3087622\charrsid4019833 }{\insrsid8604386\charrsid4019833 found that it was apparent that the defendant were in fact served with the summons to enter appearance went on to hold that justice however, required defendants who had show}{\insrsid15495021\charrsid4019833 n}{\insrsid8604386\charrsid4019833 an interest in being heard be given the opportunity. In the instant case the }{\insrsid15495021\charrsid4019833 A}{\insrsid8604386\charrsid4019833 pplicant}{\insrsid15495021\charrsid4019833 \rquote }{\insrsid8604386\charrsid4019833 s Managing Director became aware of the existence of the suit against the Applicant on 21}{\super\insrsid8604386\charrsid4019833 st}{\insrsid8604386\charrsid4019833 September 2007. He on 25}{\super\insrsid8604386\charrsid4019833 th}{ \insrsid8604386\charrsid4019833 }{\insrsid15495021\charrsid4019833 September 2007}{\insrsid8604386\charrsid4019833 without any delay, instructed M/S Nangwala Re}{\insrsid3240768\charrsid4019833 x}{\insrsid8604386\charrsid4019833 ida & Co Advocates to file the Applicants Written Statement of Defence which was }{\insrsid6827129\charrsid4019833 done on 4}{\super\insrsid6827129\charrsid4019833 th}{\insrsid6827129\charrsid4019833 October 2007. The conduct of the Applicant}{ \insrsid15495021\charrsid4019833 \rquote }{\insrsid6827129\charrsid4019833 s Managing Director and lawyers clearly show that the applicant is interested in being hear}{\insrsid15495021\charrsid4019833 d}{\insrsid6827129\charrsid4019833 . }{ \insrsid3087622\charrsid4019833 \par }{\insrsid6827129\charrsid4019833 \par All in all I find this an appropriate case where the exparte judgment should be set aside. Therefore the exparte judgment against the Applicant in H. C,. C. S. No. 753 of 2007 is hereby set aside and the Applicant is granted leave to file a Written Statement of Defence.
