In consequence the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239\charrsid16601239 respondent}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239\charrsid16601239 contends}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239 that the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 petitioner has no interest to bring thi}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239 s action which is incompeteiit \par }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 Four }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239\charrsid16601239 issues}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 were framed and canva ssed in epistolary submissions by both }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239\charrsid16601239 counsels}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 The first issue which is considered pivotal is whether the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239\charrsid16601239 petitioner}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239 has capacity and or locus standi}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 to petition for the winding up of the first respondent In this regard, it }{\rtlch\fcs1 \ai\af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 is }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239 contended}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 by the Petitioner that he is entitled to bring this petition under section 224 of the Companies Act by virtue of his having subscribed to the memorandum and articles of Association of NOBLE. By so doing the petitioner became a member and a contributory even if no shares ma y}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid9571905 have been }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16601239 allotted to him. To the petitioner, this was merely a notification of change and}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239 of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 particulars }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid5470130 thereof}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 and did not operate to forfeit or tran}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239 sfer the shares held by him in }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Noble. }{\rtlch\fcs1 \ab\ai\af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 For }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 the}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Respondent it was strongly contended that by this document and date the petitioner relinqui}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16601239 shed all his interest in the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Company and as such could not present th}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 is petition. It was submitted }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 that the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid5470130 document}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 was voluntar}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 y and was a clear and unequivocal representation to the public and to t}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 he company and as such he is }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 estopped }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 from asserting the contrary. I}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid16190104 t was contended further that }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 pursuant to this an allotment was made in July }{\rtlch\fcs1 \ab\ai\af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 1993. }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 The case }{\rtlch\fcs1 \af0 \ltrch\fcs0 \ul\insrsid16190104 of Henry }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\ul\insrsid16057220\charrsid5470130 Kawalya vs Dan Semakadde, }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Company Cause 8 of 1990 was cited to say that where a petitioner had signed a doc}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 ument stating that \'93he }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 relinquishes any claims in regard to equity participation in the business of Uganda Commodities Exports Ltd in futur}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 e business\'94 he had ceased his }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 membership. As such the decision in that case must follow since the facts were on all fours with the present one.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 The case of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \b\insrsid16190104\charrsid16190104 Noordin Bandali vs }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16057220\charrsid16190104 Lombank}{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16057220\charrsid5470130 Tanganyika Ltd (1963) EA 304 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 was cited to urge court to come to the same conclusion as that in the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \ul\insrsid16057220\charrsid5470130 Kawalya }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 case }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 o}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 n the issue of estoppel and petitioners cessation of membership }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 in Noble. Counsel for }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 the Respondent was of the strong view }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 that no linkage or appendage }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 should be perceived in the replacement of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 the petitioner by his wife Mrs. }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Kaur and further that since all shares ha}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 d since been allotted none were}{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16057220\charrsid5470130 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 available for reallotment a result brought about by th e reliance }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid5470130 the }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16190104\charrsid5470130 respondent}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 placed on petitioner\rquote s action to}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 withdraw from the company in }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 January 1984. It was also strongly contend}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 ed that all annual returns, 15 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid5470130 members\rquote }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 registers, share certificates etc had e}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 xcluded the possibility that }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 the petitioner was a member of Noble hav}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 ing himself withdrawn. As this }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 was the case it was concluded that no person would consider the petitioner a member or a contributory a}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 s his names had been excluded }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 following his own withdrawal. Further that the remedy being pursued by the petitioner was not available to him having got out of the purview of \line }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid5470130 the}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 company altogether. The respondent then suggested alternative remedies such as rectification of the register but not the presentation}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 of a petition for winding up. \par }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 On this issue, considering the circumstanc}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 es of this case, it is my view that the form of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Notification that is the bo}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 ne of contention was self- expl}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 anato}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 ry.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 By its nature, it is a notification to the Registr}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 ar of a decision}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 of the company or officers and the particula rs in therein. In this case there was no evidence of an earlier or concurrent decision which was being notified. As such this Court is not in a position to put its fingers on the particular }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid5470130 reso}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 lution}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 or resolve except to give the document its plain meanin g. And that meaning is this that in January 1984 the petitioner retired from the Board of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 Noble and his wife replaced him. He ceased to be a director or }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid16190104 a member}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 of the Board of Noble and that is }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 it. }{\rtlch\fcs1 \ab\ai\af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 I }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 have not}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 seen an earlier form giving the particulars o f directors or secretaries but this in my view is also of little consequence He could not retire, resign or vacate a position unless he was in such a position previously. But as to membership of the company the petitioner could only surrender his shares i n the company by transferring them or forfeiting them or otherwise But he could not be divested of his shares by this Notice without any fur}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 ther evidence of such divestitur}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 e that truly can create }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid5470130 estopp}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 el}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 in fact or in law. The case of }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16057220\charrsid16190104 Henry Kawalya }{\rtlch\fcs1 \af0 \ltrch\fcs0 \b\insrsid16057220\charrsid16190104 vs }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16057220\charrsid16190104 Dan}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \b\insrsid16057220\charrsid16190104 Sema}{\rtlch\fcs1 \af0 \ltrch\fcs0 \b\insrsid16190104\charrsid16190104 kadde}{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 (supr}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 a}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 ) was without doubt properly decided since there was a clear document of a witnessed resignation from the company by the petitioner in that case. That case did not }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 involve a prescribed form of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Notification I respectfully agree with the conclusion of Justice }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104 Byamugi}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 sha C. K., who also set out clearly the meaning of a }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid16190104 contributory}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 when deciding if a party had locus standi to bring a winding up petition. 5 However in absence of evidence of a}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid16190104 clear surrender of membership }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 (meaning shareholding) in a document for}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid16190104 that purpose or any record of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 company\rquote s transactions prior to the cont}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid16190104 ested form of Notice there is }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 no way that I can say that the petitioner in this case became divested of his shares as Stipulated in the compan}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16190104\charrsid16190104 ies memorandum and articles of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid16190104 Association. The signature on the form seemed like magic that could wish away the unwan}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid6694707 ted petitioner from Noble. \par }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 I have come to }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 conclusion that while}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid6694707\charrsid6694707 the petitioner ceased to be a }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 director he has all along retained membership of the company despite a 1993 allotment as we shall see. And the question of estoppel even }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 if it }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 could have arisen, which is not the case became sufficiently overruled b y evidence given on oath by the second respondent in more recent Court proceedings as will become clear. He is now in }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid6694707 Canada}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 .\'94 The letter }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 in }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 question was then exhibited and marked as exhibit P.2. The next exhibit, a building contract with Sietco marked exh. }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid6694707 P.3}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 was also received by the trial court when the Respondent testified that \'93Jasper Sandhu signed }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 on }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 behalf of Noble Builders. This is the director }{\rtlch\fcs1 \ai\af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 who }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 l}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid6694707 eft for Canada}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 \'94 The second petitioner testified further \'93we were also buying materials. Either Jasper Sandhu or myself would buy the materials.\'94 The \line }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 defence }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 witness in those proceedings Bai}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 Rukun DWI then tes}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 tified: \'931 met the directors of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 Noble Builders. }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 They were Jasper and Raghbir.\'94 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 This meeting according to the witness }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 was in 1987. He went on. \'93I}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 do not know what happened between Raghbi}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 r and Jasper after April 1 988.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 Jasperwas not very easily seen. The company is just for Ragh}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 bir.\'94 Then \'93In the begi}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 nni}{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 ng we}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 paid to Noble }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 Builders US $ 120,000.00 as an }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 advance. This was 10% of the contract. }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 It is normal. US $ 67,000 were }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 transferred into Jasper and Raghbir}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 \rquote }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 s London Account.\'94 And \'93Jasper prepared a list of materials and we submitted it}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 to the Consultants for review.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 All the materials were paid for by us. Raghbir & Jasper were borrowing from us even small, small money. They borrowed US $ }{\rtlch\fcs1 \ab\ai\af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 150 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 from us.\'94 \par }\pard \ltrpar\s15\qj \li0\ri0\sb100\sa240\sbauto1\sl360\slmult1\widctlpar\wrapdefault\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\ipgp1\pararsid16601239 {\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 From the abo}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 ve evidence given on oath in legal proceedings between Noble and Sietco, by the second respondent, which evidence was corroborated by a defence witness, it was clear that t he petitioner was a member of the Company and its director who left for Canada. The issue of estoppel arising }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 from }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 the 1984 not}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 ification of change of director}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 ship in the company cannot arise and was effectively reversed. On the other hand it would be clear er that the second respondent is }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 effectively}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 estopped from}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid10179640 denying that the pet}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 itioner is a member and or contr}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 i}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 bu}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid10179640 tory }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid5470130 in}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 Noble. It would appear that the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 second respondent would like to}{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16057220\charrsid5470130 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 concede the fact when it suits him. He does this in Court and elsewher e, I but would not wish to do so in these pr}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 esent proceedings. This would }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 permit oppoI1unisi and callousness common among certain types of investors in Uganda to corrupt the truth}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 and the Court process. This }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 cannot be accepted to prevail and instead }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 the respondent must be held by }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 his testimony on oath to say that if Noble were to be wound tip the public could as of 1995 and even there}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid5470130 after}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 consider }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 the petitioner liable in case }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 of winding up of Noble. The affidavits and the annextures filed b}{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 y the respondent in the present }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 proceedings are sufficiently undermined by the evidence in the Sietco case if not destroyed altogether. }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 It follows that any}{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \b\insrsid16057220\charrsid5470130 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 dealings in the shares of the company as they are}{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 inconsistent }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 with the}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 petitioner\rquote s }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 original and legal interests in Noble have ha}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 d no effect on these interests }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 and I would readily grant a declaration to t}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 his effect. In short, it is my }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 holding that, as a consequence the petitioner}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 has capacity and locus standi }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 to bring this petition. An order of recti}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 fication of the register would }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 equally be given to give effect to this position and to nullify all the documents filed with the Registrar to defea}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 t the petitioner\rquote s title. All }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 these acts by the 1 Respondent and other}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 s as are disclosed in the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 affidavits (including his own affida}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 vits) are only consistent with }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 character of a }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid5470130 delinquent}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid5470130 director I wo}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 uld declare Mr. Raghbir such a }{\rtlch\fcs1 \ab\af0 \ltrch\fcs0 \insrsid10179640\charrsid15609884 delinquent}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640\charrsid15609884 d}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid10179640 irector.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid15609884 \par }{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid15609884 Following from the above and the abundant evidence of systematic and sometimes selective exclusion of the petitioner from the mem bership of the company and its organs much of the evidence being pleaded in opposition to this petition by the respondents, it is clear that the petitioner has been oppressed, }{\rtlch\fcs1 \ai\af0 \ltrch\fcs0 \insrsid16057220\charrsid15609884 unfairly }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid15609884 treated and p}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid9571905 rejudiced. Besides his nominee}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid15609884 (}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid15609884\charrsid15609884 Mrs.}{\rtlch\fcs1 \af0 \ltrch\fcs0 \insrsid16057220\charrsid15609884 Kaur) being removed from the Board effectively leaving the second respondent sole director, the second respondent has substituted the petitioner with his own appointees purportedly increased share capital, allotted all the shares, shut out the petitioner from all company me etings made annual returns to this effect, and virtually ran the company in 10 particular disregard to the petitioner the Company Constitution and to the Law. Further the affairs of the First Respondent have bee n c1ear1 run by the second respondent in a natively oppressive manner that is unfair and prejudicial to the petitioner.
