\par \par BEFORE: }{\b\ul\insrsid6189355\charrsid2378722 THE HONOURABLE MR. JUSTICE YOROKAMU BAMWINE \par \par R U L I N G: \par }{\b\insrsid6189355\charrsid2378722 \par }{\insrsid6189355\charrsid2378722 The plaintiff\rquote s }{\insrsid6696943\charrsid2378722 case}{\insrsid6189355\charrsid2378722 against the defendant is that it (the plaintiff) entered into a contract with the defendant to purchase 50}{ \insrsid6696943\charrsid2378722 ,}{\insrsid6189355\charrsid2378722 000 tonnes of cement at a cost of Shs.17,600,000,000= to be delivered in agreed }{\insrsid2378722\charrsid2378722 installments}{\insrsid6189355\charrsid2378722 and that the defendant}{ \insrsid340495\charrsid2378722 has refused and/or failed to supply the cement thereby causing loss to the plaintiff. When the suit came up for a scheduling conference on 7/6/200 7, Mr. Ecimu for the defendant made an oral application to Court to have Uganda Revenue Authority, \lquote the URA\rquote , joined as a co-defendant. His view is that this will assist the Court to effectually and completely adju}{ \insrsid16076620\charrsid2378722 dicate upon and settle all questions involved in the suit. The plaintiff does not agree.}{\insrsid6189355\charrsid2378722 \par }{\insrsid16076620\charrsid2378722 \par Generally speaking, 0.1 r. 10 (2) gives Court wide powers to strike or add parties to suits. This can be at any stage of the proceedings. However, such an addition cannot be for the sake of it. There mus t be a compelling reason to do so. Authorities over the years have it that a party may be joined in a suit, not because there is a cause of action against it, but because that party\rquote s presence is necessary in order to enable the Court effectually and completely adjudicate upon and settle all the questions involved in the course of the matter.}{\insrsid7086023\charrsid2378722 I construe the Supreme Court decision in }{ \b\ul\insrsid7086023\charrsid2378722 DAPCB \endash Vs- Jaffer Brothers Ltd SCCA No. 9 of 1998}{\insrsid7086023\charrsid2378722 in that context.}{\insrsid16076620\charrsid2378722 \par }{\insrsid7086023\charrsid2378722 \par The principles on which such application can be allowed were, in my view, well articulated in }{\b\ul\insrsid7086023\charrsid2378722 Coffee Works (Mugambi) Ltd \endash Vs- Kayemba HCCS No. 505 of 1963 (M. B. 56/64).}{\insrsid7086023\charrsid2378722 In that case the plaintiff claimed a certain sum of money from the defendant being money had and received. The defendant by his own Written Statement of Defence}{\insrsid11039031\charrsid2378722 claimed that he had over paid the sum in question to the person whom he sought to add as a co-defendant. Sheridan, J. held that:}{\insrsid7086023\charrsid2378722 \par }\pard \qj \fi-720\li720\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin720\itap0\pararsid2378722 {\insrsid11039031\charrsid2378722 (i)\tab the plaintiff was entitled to choose the person against whom he wished to proceed and leave out any person against whom he did not wish to proceed. \par (ii)\tab there is no jurisdiction under the rule to order the addition of parties as defendants where the matter was not liable to be defeated by non-joinder; when they were not persons who ought to have been sued in the first instance; and where their presence was not necessary to enable the Court effectively to adju}{\insrsid2378722 di}{\insrsid11039031\charrsid2378722 cate on all questions involved. \par (iii)\tab the defendant would not generally be added against the plaintiff\rquote s wish. \par (iv)\tab Third Party notice in such a case was usually the proper course. \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid2378722 {\insrsid13193262\charrsid2378722 In the instant case, the plaintiff\rquote s case against the defendant is based on an alleged contract. It is for breach of the said contract.}{\insrsid8416790\charrsid2378722 The plaintiff is said to have agreed to buy a stated amount of cement from the defenda nt and the defendant is said to have agreed to sell the same to the plaintiff. After partial performance, the deal went bad. }{\insrsid6696943\charrsid2378722 Except for the }{\insrsid8416790\charrsid2378722 investigations said to have been lau}{ \insrsid6696943\charrsid2378722 n}{\insrsid8416790\charrsid2378722 ched by URA regarding }{\insrsid6696943\charrsid2378722 alleged mis-application of the contract cement}{\insrsid8416790\charrsid2378722 , it was all entirely a matter between the plaintiff and the defendant. In my view, to effectually and completely }{\insrsid15807263\charrsid2378722 adju}{\insrsid2378722 di}{\insrsid15807263\charrsid2378722 cate}{\insrsid8416790\charrsid2378722 upon and settle the question of the alleged breach}{\insrsid6696943\charrsid2378722 and the parties obligations under the contract}{\insrsid8416790\charrsid2378722 , this Court would not require URA\rquote s prese nce before it as a party. Its presence as a witness for either party would suffice. The matter as I see it is not liable to be defeated by non-joinder of URA. If anything, from the pleadings, URA is a complete stranger to the contract. The plaintiff h as chosen to proceed against the party it thinks has wronged it. So it shall be. The defendant can take out Third Party notice proceedings against the intended co-defendant, if they think that the circumstances warrant it. Otherwise I see the defendant \rquote s application as a move to further delay the determination of a dispute grounded as it were on a contract to which URA is a stranger in terms of privity. }{\insrsid13193262\charrsid2378722 \par }{\insrsid8416790\charrsid2378722 \par For the reasons stated above, I would disallow the application. I would order that the suit be det ermined on the merits between the plaintiff and the defendant as parties to the impugned contract. I notice that a scheduling conference is already set for the 28}{\super\insrsid8416790\charrsid2378722 th}{\insrsid8416790\charrsid2378722 of August 2007. So it shall be. Costs shall abide the outcome of the suit.
