\i\insrsid2164629\charrsid6559324 certificate of title to the said facility but he was neither a director nor a share holder in the second defendant\rquote s company and he was Ignorant of Its day to day operation when the second defendant defaulted in its payment of the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 principal}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 ed property on 30}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\super\insrsid12528770\charrsid6559324 th}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 September 1992, and 5}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\super\insrsid12528770\charrsid6559324 th}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 A2, and } {\rtlch\fcs1 \ai\af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 A3. }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 The option}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 taken by the bank to advertise}{ \rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 his }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 property for sale by public auction without first }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 referring}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 the matter to }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 court}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 deprived}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 defendant}{ \rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 had no express provision of sale by }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 public}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 auction without first }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid12528770\charrsid6559324 referring}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 to court and even if there were courts jurisdiction could not be ousted by a provision }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 shillings and it has many developments like }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 buildings} {\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 whose value for exceeds the amount demanded as an outstanding loan}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 of 4,500,000/= shillings}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 that before}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 the sale could take place the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 value of the mortgaged property had to be as }{ \rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 ascertained}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 by the court due for payment established }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 in a court of law and that was not done in instant case. \par }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 He continued that when he learnt of }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 second}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 defendants default he}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 had already paid to the first }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 defendant }{\rtlch\fcs1 \ai\af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 35,000}{\rtlch\fcs1 \ai\af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 /= }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 to}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 wards the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 reduction}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 , and he undertakes to }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 pay the}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 defendant till the debt is}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 finally extinguished. \par T}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 hat under clause 1 of the terms of the contract}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 of guarantee with the first defendant the bank was under contractual obligation to demand in }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid16390365\charrsid6559324 writing}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 for payment of the sums of money directly owing from the second defendant. A copy of the }{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 receipt issued by the General past office to that effect was attached to the a}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid14171635\charrsid6559324 ffidavit and marked Annexture \'93A\'94. \par T}{\rtlch\fcs1 \af0 \ltrch\fcs0 \i\insrsid2164629\charrsid6559324 hat }{\rtlch\fcs1 \af0 \ltrch\fcs0
