Then the applicant should have served a notice of the filing on the respondent. The Rule 11 would come into play. This rule provides that: \par \par }\pard \qj \li0\ri0\sl360\slmult1\widctlpar\aspalpha\aspnum\faauto\adjustright\rin0\lin0\itap0\pararsid591863 {\i\insrsid15752949\charrsid9249053 \'93}{\i\insrsid2633448\charrsid9249053 11. }{\i\insrsid15752949\charrsid9249053 An application to enforce an award as a decree of court under section 35 of the Act, shall not be made, if no objections to the award are lodged, }{\i\ul\insrsid15752949\charrsid9249053 until the }{\i\ul\insrsid9457266\charrsid9249053 expiration}{ \i\ul\insrsid15752949\charrsid9249053 of ninety days after notice of the filing or registering of the award}{\i\ul\insrsid16217169\charrsid9249053 }{\i\ul\insrsid591863\charrsid9249053 has been served upon the}{\i\insrsid591863\charrsid9249053 party against whom the award is to be enforced and if objections are lodged, until the objection have been dealt with by the }{\i\insrsid11078463\charrsid9249053 C}{\i\insrsid591863\charrsid9249053 ourt.\'94 \par }{\insrsid591863\charrsid9249053 \par The award, if ever there was one, because the one on court record is not an award at all, should have been filed and been given a number, after which the respondent\rquote s Counsel would have had the benefit of filing the application to set it aside. The 90 days have therefore not yet elapsed}{\insrsid14104136\charrsid9249053 , since }{\insrsid591863\charrsid9249053 }{\insrsid14104136\charrsid9249053 t}{ \insrsid591863\charrsid9249053 he Applicant has not complied with the necessary requirement for enforcing arbitral awards. \par \par The Respondent still has time within which to set aside the award, and should be given an opportunity to have its application for setting aside the award considered in the interest of justice. }{\insrsid16321557\charrsid9249053 It is true}{ \insrsid591863\charrsid9249053 , the rules are at variance with the Act regarding the time for setting aside an award under Section 34(3) and Rule 7, but court cannot prefer one over the other, because both of them are legal. Court would have to take a position whereby both of them are accommodated. The Rules support the enforcement of the principal legislation. They cannot be divorced from one another. The Applicant should first extract an award in FORM V under the Second Schedule, register it in cou rt, get a number and then serve it on the Respondent, then the 90 days under Rule 11 would begin to run. Otherwise this application is premature. It should be dismissed with costs. \par }{\insrsid6709896\charrsid9249053 \par }{\insrsid591863\charrsid9249053 Mr. }{\insrsid6709896\charrsid9249053 Barnabas }{\insrsid591863\charrsid9249053 Tumusingize}{\insrsid6709896\charrsid9249053 disagreed with her. His}{\insrsid591863\charrsid9249053 submission is that the Ap plicant has fulfilled the requirements of Section 35. Section 36 is only an enabling section, which has guided him to make the said application. \par The issue of filing of an award in court was provided for under Section 9(2) of the old Arbitration Act and under Rule 2 of the old Rules (Cap 55}{\insrsid14384159\charrsid9249053 )}{\insrsid591863\charrsid9249053 . }{\insrsid14384159\charrsid9249053 T}{ \insrsid591863\charrsid9249053 here }{\insrsid14384159\charrsid9249053 it }{\insrsid591863\charrsid9249053 is clear that there is a basis for the rule that requires filing because there is a Section and therefore the rule is giving effect to the Section.} {\insrsid14384159\charrsid9249053 }{\insrsid591863\charrsid9249053 In the new ACA, there is no equivalent to Section 9, yet the rules are the same. \par \par On the issue of the 90 days, }{\insrsid14384159\charrsid9249053 Mr. Tumusi}{\insrsid3157548\charrsid9249053 n}{\insrsid14384159\charrsid9249053 gize }{\insrsid3157548\charrsid9249053 argued that}{\insrsid14384159\charrsid9249053 , }{ \insrsid591863\charrsid9249053 if you look at the old Arbitration Act, it did not provide for the time frame within which an application for setting aside}{\insrsid14384159\charrsid9249053 an award}{\insrsid591863\charrsid9249053 would be made. It only gave powers under Section 12. That is why in the old Rules there was rule 7 which was based on Section 9(2) of the old Act and which gave 8 weeks within which to apply to set aside an award filed under Section 9(2) of the said Act.

\par \par Filing an award was therefore crucial under the old Arbitration Act because it determined or triggered off the time within which setting aside would commence, and that was 8 weeks after the notice of filing had been served. \par \par The other important rule was Rule 14 which provided that an application to enforce an award as a decree under Section 13 (1) of the Act shall not be made }{\insrsid3409683\charrsid9249053 i}{\insrsid591863\charrsid9249053 f no objections to the award are lodged, till the expiration of eight weeks after notice of fi}{\insrsid7412252\charrsid9249053 l}{\insrsid591863\charrsid9249053 ing thereof has been served upon the party against whom the award is to be enfor ced, and if objections are lodged, till the objections have been dealt with by the court. Rules 2, 7 and 14 are actually reproduced in the new Arbitration Rules word for word, but most importantly is that unlike the old Act, the new ACA provides for time within which you can apply to set aside an arbitral award. The new ACA actually provides the time within which to set aside an award and Section 34(1) sets out the grounds for setting aside. \par \par Further, it is a cardinal conce}{\insrsid6650552\charrsid9249053 p}{\insrsid591863\charrsid9249053 t of statutory interpretation that where there is a conflict between a schedule and an earlier clause in the }{\insrsid1062450\charrsid9249053 m}{ \insrsid591863\charrsid9249053 ain Act, the earlier clause in the Act pr}{\insrsid1062450\charrsid9249053 evails}{\insrsid591863\charrsid9249053 as against the schedule. (See Statute Law 7}{\super\insrsid591863\charrsid9249053 th}{ \insrsid591863\charrsid9249053 edition by S. D. G. Edgar at pg. 225). \par \par }{\insrsid1062450\charrsid9249053 I}{\insrsid591863\charrsid9249053 t is also a cardinal rule of statutory interpretation that }{\insrsid1062450\charrsid9249053 where a s}{\insrsid591863\charrsid9249053 ection of the Act is clear and unambiguous, and there is }{\insrsid5470634\charrsid9249053 a }{\insrsid591863\charrsid9249053 conflict with a schedule, the }{\insrsid5470634\charrsid9249053 s}{\insrsid591863\charrsid9249053 ection}{ \insrsid5470634\charrsid9249053 of the}{\insrsid591863\charrsid9249053 Act prevails. In this case, Section 34(3)}{\insrsid5470634\charrsid9249053 of the ACA}{\insrsid591863\charrsid9249053 is clear. You get the award; you apply to }{ \insrsid5470634\charrsid9249053 s}{\insrsid591863\charrsid9249053 et it aside within 30 days. The reasons for setting aside are well laid out.}{\insrsid4401012\charrsid9249053 After which it can be enforced under S.35 of the ACA.}{ \insrsid591863\charrsid9249053 \par \par The award also conforms to the Act. Section 31(4) of the ACA}{\insrsid4401012\charrsid9249053 which }{\insrsid591863\charrsid9249053 says }{\insrsid4401012\charrsid9249053 that }{\insrsid591863\charrsid9249053 an arbitral award shall be made in }{ \insrsid15024488\charrsid9249053 writing}{\insrsid591863\charrsid9249053 and shall be signed by the arbitrator or arbitrators. Sub section 6 says the award shall state the reasons }{\insrsid15024488\charrsid9249053 upon which}{ \insrsid591863\charrsid9249053 it is based. It }{\insrsid15024488\charrsid9249053 is therefore}{\insrsid591863\charrsid9249053 unfathomable for }{\insrsid15024488\charrsid9249053 M}{\insrsid591863\charrsid9249053 rs Rwakoojo to }{ \insrsid15024488\charrsid9249053 equate}{\insrsid591863\charrsid9249053 an award to a form that is given in}{\b\insrsid591863\charrsid9249053 }{\insrsid591863\charrsid9249053 the rules. An }{\insrsid4401012\charrsid9249053 A}{ \insrsid591863\charrsid9249053 rbitral award is something much more compre}{\insrsid13387773\charrsid9249053 hensive tha}{\insrsid4401012\charrsid9249053 n}{\insrsid13387773\charrsid9249053 the form referred to.}{\insrsid591863\charrsid9249053 \par }{\insrsid13387773\charrsid9249053 \par Even if the arbitrator did not call it an award, that alone does not disqualify it from being called an award because even if you get a decree for instance, and you call it an order, it does not become one or vice versa. \par \par As for forms, these are not cast in stone, therefore you cannot say that because a document has not conformed to a form }{\insrsid530362\charrsid9249053 in the schedule}{\insrsid13387773\charrsid9249053 it must therefore be rejected. }{ \insrsid530362\charrsid9249053 In any case, }{\insrsid13387773\charrsid9249053 Section 72 does not say that the use of the forms is mandatory. \par \par Mrs Rwakoojo should}{\insrsid4610147\charrsid9249053 have followed the wisdom of the applicant in the }{\insrsid263081\charrsid9249053 case of }{\insrsid4610147\charrsid9249053 Kilembe Mines }{\insrsid3157548\charrsid9249053 Ltd \endash vs-BM steel Ltd, HCMC No. 2/05 which she relied on, }{\insrsid4610147\charrsid9249053 and }{\insrsid15024488\charrsid9249053 applied to}{\insrsid4610147\charrsid9249053 set aside}{\b\insrsid4610147\charrsid9249053 }{\insrsid4610147\charrsid9249053 within 30 days}{\insrsid263081\charrsid9249053 }{\insrsid3157548\charrsid9249053 as the applicant did in that case}{\insrsid263081\charrsid9249053 }{\insrsid4610147\charrsid9249053 . She has failed to do so. The award was delivered on the 18}{ \super\insrsid4610147\charrsid9249053 th}{\insrsid4610147\charrsid9249053 day of September 2008. Time started to run then, and it is now more th}{\insrsid13527544\charrsid9249053 a}{\insrsid4610147\charrsid9249053 n 30 days. This application was filed in compliance with section 36 of the ACA. Where the Act is clear as to what ought to be done, it is not necessary to go to the ru les. The application is therefore properly before this court and should be granted as prayed.}{\insrsid13387773\charrsid9249053 \par }{\insrsid1779987\charrsid9249053 \par The main issues for determination by this court are in my view, whether there is a proper award and if so, whether the application for its recognition and enforcement is pre-mature or not. \par }{\b\insrsid1779987\charrsid9249053 \par }{\insrsid1779987\charrsid9249053 The document annexed to the application as \lquote C\rquote is really an award, although it is entitle}{\insrsid6509375\charrsid9249053 d}{\insrsid6241723\charrsid9249053 \'93}{\insrsid1779987\charrsid9249053 Arbitration }{\insrsid3804141\charrsid9249053 C}{\insrsid1779987\charrsid9249053 ause }{\insrsid3804141\charrsid9249053 R}{\insrsid15491715\charrsid9249053 uling\'94}{\insrsid6707319\charrsid9249053 .}{\insrsid15491715\charrsid9249053 }{ \insrsid6707319\charrsid9249053 T}{\insrsid15491715\charrsid9249053 his is because it complies with the }{\insrsid6707319\charrsid9249053 definition}{\insrsid15491715\charrsid9249053 i}{\insrsid6707319\charrsid9249053 n}{\insrsid15491715\charrsid9249053 S.2(b) and the criteria set down in Section 31 of the ACA as far as the form and contents of an award is concerned.}{\insrsid1779987\charrsid9249053 \par }{\insrsid15491715\charrsid9249053 Section 2(b) reads: \par }{\i\insrsid15491715\charrsid9249053 \'93}{\i\insrsid423900\charrsid9249053 Arbitration}{\i\insrsid15491715\charrsid9249053 award}{\i\insrsid423900\charrsid9249053 \'94 means}{\i\insrsid15491715\charrsid9249053 any award of an arbitral tribunal and includes an arbitral award\'94 \par }{\insrsid15491715\charrsid9249053 \par Section 31 provides that an award shall be in writing }{\insrsid15024488\charrsid9249053 and}{\insrsid15491715\charrsid9249053 shall be signed by the arbitrator. It shall state the }{\insrsid9638534\charrsid9249053 reasons}{ \insrsid15491715\charrsid9249053 }{\insrsid15024488\charrsid9249053 upon which}{\insrsid15491715\charrsid9249053 it is based unless the }{\insrsid15024488\charrsid9249053 parties agreed}{\insrsid9638534\charrsid9249053 otherwise. It shall also state the date and place of arbitration and a signed copy shall be delivered to each party. I cannot }{\insrsid2583217\charrsid9249053 therefore }{\insrsid9638534\charrsid9249053 fault the former Princip}{ \insrsid2583217\charrsid9249053 al}{\insrsid9638534\charrsid9249053 }{\insrsid2583217\charrsid9249053 J}{\insrsid9638534\charrsid9249053 udges\rquote award. It meets all the above criteria. It is therefore an award.}{\insrsid15491715\charrsid9249053

\par }{\insrsid9638534\charrsid9249053 \par Form V is not an award; it is a summary of the contents of an award. It is not even referred to in the main Act. It is }{\insrsid15024488\charrsid9249053 therefore}{\b\insrsid15024488\charrsid9249053 }{\insrsid15024488\charrsid9249053 unclear under}{ \insrsid13268240\charrsid9249053 to me}{\insrsid9638534\charrsid9249053 which section}{\insrsid15024488\charrsid9249053 of the A}{\insrsid9316246\charrsid9249053 C}{\insrsid15024488\charrsid9249053 A i}{\insrsid14906756\charrsid9249053 t sprang from. It is like a decree and not a }{\insrsid15024488\charrsid9249053 judgment}{\insrsid14906756\charrsid9249053 . It }{\insrsid3673416\charrsid9249053 is consequently}{\insrsid7030375\charrsid9249053 }{\insrsid14906756\charrsid9249053 of no use in the absence of the detailed arbitral award because it doesn\rquote t even show the reasons for the award.}{\insrsid9638534\charrsid9249053 \par }{\insrsid14906756\charrsid9249053 \par The fact that the award has not been registered and given a serial number is a mere technicality. The main Act is clear and }{\insrsid7687984\charrsid9249053 unambiguous}{\insrsid14906756\charrsid9249053 . At the end of the p}{ \insrsid398726\charrsid9249053 roceedings, an award is given by the arbitrator. If a party is unhappy with the outcome, it shall file an application to set aside the award within 30 days on the grounds set out in the }{\insrsid7278642\charrsid9249053 Act (}{\insrsid398726\charrsid9249053 See. S. 34 ACA)}{\insrsid7278642\charrsid9249053 .}{\insrsid398726\charrsid9249053 }{\insrsid7278642\charrsid9249053 Where}{\insrsid398726\charrsid9249053 the 30 days ha}{\insrsid9261371\charrsid9249053 ve}{ \insrsid398726\charrsid9249053 expired or an application to set aside an }{\insrsid7278642\charrsid9249053 award has}{\insrsid398726\charrsid9249053 been ref}{\insrsid5985671\charrsid9249053 us}{\insrsid398726\charrsid9249053 ed, then the award shall be enforced in the same manner as if it where a decree of the court, subject to section 35 of the Act.}{\insrsid14906756\charrsid9249053 \par }{\insrsid398726\charrsid9249053 The }{\insrsid15024488\charrsid9249053 rules provide}{\insrsid398726\charrsid9249053 }{\insrsid15024488\charrsid9249053 for 90}{\insrsid398726\charrsid9249053 days and both counsel for the applicant and respondent }{ \insrsid15024488\charrsid9249053 have acknowledged}{\insrsid398726\charrsid9249053 that this is }{\insrsid4202833\charrsid9249053 indeed }{\insrsid6454416\charrsid9249053 in}{\insrsid398726\charrsid9249053 conflict with the 30 days provided for by the Act. As Mr}{\insrsid5262962\charrsid9249053 .}{\insrsid398726\charrsid9249053 Tumusingize}{\insrsid528787\charrsid9249053 rightly pointed out, and I had occasion to cross check the prov isions of the old Arbitration}{\insrsid10230134\charrsid9249053 Act and rules he }{\insrsid15024488\charrsid9249053 cited}{\insrsid9261371\charrsid9249053 ,}{\insrsid15024488\charrsid9249053 it}{\insrsid10230134\charrsid9249053 appears this is a result of cutting and p}{\insrsid4202833\charrsid9249053 asting}{\insrsid10230134\charrsid9249053 the provisions of the old rules onto the new rules }{\insrsid15024488\charrsid9249053 without ensuring}{\insrsid10230134\charrsid9249053 that there }{\insrsid15024488\charrsid9249053 was no}{\insrsid10230134\charrsid9249053 conflict between them}{\insrsid15098598\charrsid9249053 and the ACA}{\insrsid10230134\charrsid9249053 . It }{\insrsid5985646\charrsid9249053 h}{ \insrsid10230134\charrsid9249053 as therefore }{\insrsid5985646\charrsid9249053 l}{\insrsid10230134\charrsid9249053 ed to this confusion and in the absence of any ambiguity in the Act, the }{\insrsid16545766\charrsid9249053 A}{ \insrsid10230134\charrsid9249053 ct prevails over the rules}{\insrsid9261371\charrsid9249053 .}{\insrsid10230134\charrsid9249053 S. Section 72 of the ACA does not say so. \par \par It reads: \par }{\b\insrsid1968268\charrsid9249053 \'9372 Forms \par }{\i\insrsid1968268\charrsid9249053 The forms set out in the second schedule to this Act or forms similar to them, with such variations as the circumstance of each case require, may be used for the respective purposes in that schedule and if used shall not be called in question\'94

Consequently, the application is not premature; the award was delivered on the 18}{\super\insrsid1968268\charrsid9249053 th}{\insrsid1968268\charrsid9249053 September 2008, in the presence of the respondent \rquote s Counsel, Mrs}{\b\insrsid1968268\charrsid9249053 }{\insrsid1968268\charrsid9249053 Rwokooj}{\insrsid5464251\charrsid9249053 o}{\insrsid1968268\charrsid9249053 .}{\insrsid6953897\charrsid9249053 }{\insrsid1968268\charrsid9249053 She had 30 days from that date within which to apply to set aside the award if she so wished.}{\insrsid11731921\charrsid9249053 }{\insrsid9390400\charrsid9249053 By the time this application was heard}{\b\insrsid9390400\charrsid9249053 }{ \insrsid9390400\charrsid9249053 by this court }{\insrsid4145165\charrsid9249053 on the}{\insrsid9390400\charrsid9249053 11}{\super\insrsid9390400\charrsid9249053 th}{\insrsid9390400\charrsid9249053 December 2008, the 30 days had long since lapsed and no such application had been filed before this court.
