It is close to five years since Abu Dhabi Global قوﺳ ﻲﻓ لﻣﻌﻟا ءدﺑ ذﻧﻣ ﺎﺑﯾرﻘﺗ تاوﻧﺳ سﻣﺧ تﺿﻣ دﻘﻟ .1 Market (“ADGM”) opened for business. This قوﺳ تﺎطﻠﺳﻟ تﺣﺎﺗأ مﻠﻌﻣﻟا اذھ .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ milestone provided an opportunity for the مﻗر ﻲﺑظوﺑأ نوﻧﺎﻗ ﺔﻌﺟارﻣﻟ ﺔﺻرﻔﻟا ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ ADGM Authorities to review Abu Dhabi Law No. كﻠﺗ نﻣﺿ نﻣو .("سﯾﺳﺄﺗﻟا نوﻧﺎﻗ") 2013 ﺔﻧﺳﻟ (4) 4 of 2013 (the “Founding Law”). As part of that ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ تﺣرﺗﻗا ،ﺔﻌﺟارﻣﻟا review, ADGM Courts proposed amendments ززﻌﺗ نأ ﺎﮭﻧﺄﺷ نﻣ ﻲﺗﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ ﻰﻠﻋ تﻼﯾدﻌﺗ to the Founding Law to enhance ADGM’s قوﺳ ﻲﻓ تﺎﻋزﺎﻧﻣﻟا ﺔﯾوﺳﺗﻟ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ رﺎطإ dispute resolution framework in ADGM. .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ 2. The amendments to the Founding Law are ﻲﻓ تدرو ﻲﺗﻟا) سﯾﺳﺄﺗﻟا نوﻧﺎﻗ ﻰﻠﻋ تﻼﯾدﻌﺗﻟا لوﺎﻧﺗﺗ .2 contained in Law No 12 of 2020 and are referred ا ذھ ﻲﻓ ﮫﯾﻟإ رﺎﺷﻣﻟاو 2020 ﺔﻧﺳﻟ (*) مﻗر نوﻧﺎﻘﻟا to in this Guide as the “Amended Founding نﺎﻣﺛ ﻲﺳﯾﺋر لﻛﺷﺑ .("لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ" ـﺑ لﯾﻟدﻟا Law”. They principally deal with eight matters ﻲﺑظوﺑأ قوﺳ ﻲﻓ تﺎﻋزﺎﻧﻣﻟا ﺔﯾوﺳﺗﺑ ﻖﻠﻌﺗﺗ لﺋﺎﺳﻣ relating to dispute resolution in ADGM. :لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ ،صوﺻﺧﻟا ﮫﺟو ﻰﻠﻋ .ﻲﻣﻟﺎﻌﻟا Specifically, the Amended Founding Law: (a) confirms ADGM’s status as an “opt in” ﺔﻘطﻧﻣﻛ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ ﺔﻧﺎﻛﻣ دﻛﺄﯾ . أ jurisdiction; ،"ةرﺎﺗﺧﻣ" صﺎﺻﺗﺧا (b) confirms the nature of ADGM Courts’ مﻛﺎﺣﻣﻟ ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا ﺔﻌﯾﺑط دﻛﺄﯾ .ب jurisdiction as being “exclusive” in "يرﺻﺣ" صﺎﺻﺗﺧﺎﻛ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ relation to certain claims and disputes; ،تﺎﻋزﺎﻧﻣﻟاو ىوﺎﻋدﻟا ضﻌﺑ صوﺻﺧﺑ (c) allocates cases involving the ﻲﺗﻟا ﺎﯾﺎﺿﻘﻟﺎﺑ ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻟا صﺻﺧﯾ .ج interpretation of any articles of the ﻲﺑظوﺑأ قوﺳ مﺎظﻧ ﻲﻓ داوﻣ ﺔﯾأ رﯾﺳﻔﺗﺑ ﻖﻠﻌﺗﺗ Global Market Regulations to the Court of ،ﻲﻣﻟﺎﻌﻟا First Instance; (d) prevents ADGM Courts’ judgments being مﻛﺎﺣﻣ نﻋ ةردﺎﺻﻟا مﺎﻛﺣﻷا مادﺧﺗﺳا ﻊﻧﻣﯾ .د used for the enforcement of non-ADGM مﺎﻛﺣأو 2مﺎﻛﺣﻷا ذﯾﻔﻧﺗﻟ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ judgments1 and awards in other ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ جرﺎﺧ ةردﺎﺻﻟا مﯾﻛﺣﺗﻟا jurisdictions; ،ىرﺧﻷا صﺎﺻﺗﺧﻻا ﻖطﺎﻧﻣ ﻲﻓ 1 This is subject to one limited exception set out in paragraph 11. .11 ةرﻘﻔﻟا ﻲﻓ درﯾ ددﺣﻣ ءﺎﻧﺛﺗﺳﻻ ﺔﻟﺎﺳﻣﻟا هذھ ﻊﺿﺧﺗ 2 2 (e) codifies into law the enforcement ةرﻛذﻣ ﻲﻓ نﯾﺑﻣﻟا ﻲﺛﯾﻔﻧﺗﻟا لﻣﻌﻟا رﺎطإ نﻧﻘﯾ .ـھ framework set out in the Memorandum of ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ نﯾﺑ ﺔﻣرﺑﻣﻟا مھﺎﻔﺗﻟا Understanding between ADGM Courts 11 ﺦﯾرﺎﺗﺑ ﻲﺑظوﺑأ ءﺎﺿﻘﻟا ةرﺋادو ﻲﻣﻟﺎﻌﻟا and Abu Dhabi Judicial Department ،نوﻧﺎﻗ ﺔﻐﯾﺻﺑ 2018 رﯾارﺑﻓ dated 11 February 2018; (f) confirms ADGM Courts’ status as courts ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ ﺔﻧﺎﻛﻣ دﻛﺄﯾ .و of the Emirate; ،ةرﺎﻣﻺﻟ مﻛﺎﺣﻣﻛ (g) provides that judgments made by ADGM قوﺳ مﻛﺎﺣﻣ مﺎﻛﺣأ ردﺻﺗ نأ ﻰﻠﻋ صﻧﯾ .ز Courts shall be issued in the name of the ةرﺎﻣإ مﻛﺎﺣ وﻣﺳ مﺳﺎﺑ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ Ruler of Abu Dhabi; and و ،ﻲﺑظوﺑأ (h) gives effect to the protection of ‘Netting ذﯾ ﻔﻧﺗ دﻧﻋ "ﺔﺻﺎﻘﻣﻟا تﺎﯾﻗﺎﻔﺗا" ﺔﯾﺎﻣﺣ رﻓوﯾ .ح Agreements’ in relation to the مﯾﻛﺣﺗﻟا مﺎﻛﺣأو رﻣاوﻷاو تارارﻘﻟاو مﺎﻛﺣﻷا enforcement of non-ADGM judgments, .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ جرﺎﺧ ةردﺎﺻﻟا decisions, orders and awards. ADGM’s “opt in” jurisdiction "ةرﺎﺗﺧﻣ" صﺎﺻﺗﺧا ﺔﻘطﻧﻣ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ 3. Articles 13(8) and (9) of the Amended Founding نوﻧﺎﻗ نﻣ (9)13 مﻗر ةدﺎﻣﻟاو (8)13 مﻗر ةدﺎﻣﻟا دﻛؤﺗ .3 Law confirm ADGM’s status as an “opt in” ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ ﺔﻧﺎﻛﻣ ﻰﻠﻋ لدﻌﻣﻟا سﯾﺳﺄﺗﻟا jurisdiction. That is, parties with no connection نﻛﻣﯾ ﮫﻧأ ﻰﻧﻌﻣﺑ ."ةرﺎﺗﺧﻣ" صﺎﺻﺗﺧا ﺔﻘطﻧﻣﻛ to ADGM can agree to have their civil or ﻲﺑظوﺑأ قوﺳﺑ ﺔﻗﻼﻋ ﺔﯾأ مﮭطﺑرﺗ ﻻ ﻲﺗﻟا فارطﻸﻟ commercial claims or disputes determined by ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ ﻰﻟإ ءوﺟﻠﻟا ﻰﻠﻋ قﺎﻔﺗﻻا ﻲﻣﻟﺎﻌﻟا ADGM Courts, or by way of arbitration seated in ﻲﺑظوﺑأ قوﺳ ﻲﻓ مﯾﻛﺣﺗﻟا ﻰﻟإ ءوﺟﻠﻟا وأ ،ﻲﻣﻟﺎﻌﻟا ADGM. The Founding Law previously provided وأ ﺔﯾﻧدﻣﻟا مﮭﺗﺎﻋزﺎﻧﻣ وأ مھاوﺎﻋد ﻲﻓ تﺑﻠﻟ ،ﻲﻣﻟﺎﻌﻟا for this, but the amendments provide increased ،ًﺎﻘﺑﺳﻣ كﻟذ ﻰﻠﻋ سﯾﺳﺄﺗﻟا نوﻧﺎﻗ صﻧ دﻗو .ﺔﯾرﺎﺟﺗﻟا clarity in relation to ADGM’s “opt in” ﻖﻠﻌﺗﯾ ﺎﻣﯾﻓ حوﺿوﻟا نﻣ ًادﯾزﻣ تﻼﯾدﻌﺗﻟا تﻓﺎﺿأ نﻛﻟو jurisdiction and deal with any doubt about ،"ةرﺎﺗﺧﻣ" صﺎﺻﺗﺧا ﺔﻘطﻧﻣﻛ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳﺑ whether there is a nexus requirement for ﻲﺑظوﺑأ قوﺳﺑ طﺎﺑﺗرا دوﺟو طرﺷ لوﺣ كﺷ يأ لﯾزﺗو arbitrations seated in ADGM. .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ ﻲﻓ مﯾﻛﺣﺗﻟا دﻘﻌﻟ ﻲﻣﻟﺎﻌﻟا 4. Parties wishing to “opt in” to ADGM’s ﻲﺑظوﺑأ قوﺳ "رﺎﯾﺗﺧﺎﺑ" ﺔﺑﻏارﻟا فارطﻷا ﻰﻠﻋ بﺟﯾ .4 jurisdiction for dispute resolution must do so in تﺎﺑﺛإ مﮭﺗﺎﻋزﺎﻧﻣ ﺔﯾوﺳﺗﻟ صﺎﺻﺗﺧا ﺔﻘطﻧﻣﻛ ﻲﻣﻟﺎﻌﻟا writing. The preferred way to do this is for ﻲھ رﺎﯾﺗﺧﻻا كﻟذ تﺎﺑﺛﻹ ﺔﻘﯾرط لﺿﻓأو .ًﺎﯾطﺧ كﻟذ parties to include an appropriate dispute .مھدوﻘﻋ ﻲﻓ تﺎﻋزﺎﻧﻣﻟا ﺔﯾوﺳﺗ لوﺣ بﺳﺎﻧﻣ دﻧﺑ دارﯾإ resolution clause in their contract ﻲﺑظوﺑأ قوﺳ "رﺎﯾﺗﺧا" ًﺎﺿﯾأ فارطﻸﻟ نﻛﻣﯾ ،ﮫﻧأ ﻻإ documentation; however, parties can also وأ ىوﻋدﻟا ءوﺷﻧ دﻌﺑ صﺎﺻﺗﺧا ﺔﻘطﻧﻣﻛ ﻲﻣﻟﺎﻌﻟا agree to “opt in” to ADGM’s jurisdiction after .عازﻧﻟا the claim or dispute has arisen. “Exclusive” nature of ADGM Courts’ jurisdiction ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣﻟ "يرﺻﺣﻟا" ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا 5. Article 13(7) of the Amended Founding Law ﻰﻠﻋ لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ نﻣ (7)13 مﻗر ةدﺎﻣﻟا صﻧﺗ .5 provides that the Court of First instance “shall ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا" ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻠﻟ نوﻛﯾ نأ :ﺔﯾﻟﺎﺗﻟا لﺋﺎﺳﻣﻟا ﻲﻓ "يرﺻﺣﻟا 3 have exclusive jurisdiction” in relation to the following matters: (a) civil or commercial claims and disputes ﻲﺗﻟا ﺔﯾرﺎﺟﺗﻟا وأ ﺔﯾﻧدﻣﻟا تﺎﻋزﺎﻧﻣﻟاو ىوﺎﻋدﻟا . أ involving the Global Market or any of the نﻣ يأ وأ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ نوﻛﯾ Global Market Authorities or any of the نﻣ يأ وأ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑا قوﺳ تﺎطﻠﺳ Global Market Establishments; ،ﺎﮭﯾﻓ ًﺎﻓرط ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ تﺎﺳﺳؤﻣ (b) civil or commercial claims and disputes ﺔﯾرﺎﺟﺗﻟا وأ ﺔﯾﻧدﻣﻟا تﺎﻋزﺎﻧﻣﻟاو ىوﺎﻋدﻟا .ب arising out of or relating to a contract هذﯾﻔﻧﺗ وأ ﮫﻣارﺑإ مﺗ دﻘﻌﺑ ﺔﻘﻠﻌﺗﻣﻟا وأ نﻋ ﺔﺋﺷﺎﻧﻟا entered into, executed or performed in ﻲﺑظوﺑأ قوﺳ ﻲﻓ ًﺎﯾﺋزﺟ وأ ًﺎﯾﻠﻛ هؤادأ وأ whole or in part in the Global Market, or a تذﻔﻧ وأ تﻣرﺑأ ﺔﻠﻣﺎﻌﻣﺑ ﺔﻘﻠﻌﺗﻣﻟا وأ ،ﻲﻣﻟﺎﻌﻟا transaction entered into or performed in وأ ،ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ ﻲﻓ ًﺎﯾﺋزﺟ وأ ًﺎﯾﻠﻛ whole or in part in the Global Market, or to قوﺳ ﻲﻓ ًﺎﯾﺋزﺟ وأ ًﺎﯾﻠﻛ تﺛدﺣ ﺔﻌﻗاوﺑ ﺔﻘﻠﻌﺗﻣﻟا an incident that occurred in whole or in ،ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ part in the Global Market; (c) any appeal against a decision or a نﻋ ردﺎﺻ ءارﺟإ وأ رارﻗ يأ ﻲﻓ نﻌط يأ .ج procedure issued by any of the Global ًﺎﻘﻓو ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ تﺎطﻠﺳ نﻣ يأ Market Authorities according to the ،ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﺎظﻧﻟ Global Market Regulations; (d) any request, claim or dispute which the مﻛﺎﺣﻣﻟ نوﻛﯾ عازﻧ وأ ىوﻋد وأ بﻠط يأ .د Global Market’s Courts has the ﻲﺋﺎﺿﻗ صﺎﺻﺗﺧا ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ jurisdiction to consider under the Global ﻲﺑظوﺑأ قوﺳ مﺎظﻧ بﺟوﻣﺑ ﮫﯾﻓ رظﻧﻠﻟ Market Regulations; ،ﻲﻣﻟﺎﻌﻟا (e) any issues as to the interpretation of any مﺎظﻧ ﻲﻓ داوﻣ ﺔﯾأ رﯾﺳﻔﺗﺑ ﻖﻠﻌﺗﺗ لﺋﺎﺳﻣ ﺔﯾأ .ـھ articles of the Global Market Regulations. .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ 6. The Founding Law previously provided that the ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻟا صﺗﺧﺗ نأ ًﺎﻘﺑﺎﺳ سﯾﺳﺄﺗﻟا نوﻧﺎﻗ صﻧ .6 Court of First instance “shall solely consider or نﻣ عوﻧﻟا اذھ ﻲﻓ "تﺑﻟا و رظﻧﻟﺎﺑ ﺎھرﯾﻏ نود" decide” on these types of matters3. Article لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ نﻣ (7)13 مﻗر ةدﺎﻣﻟا .4لﺋﺎﺳﻣﻟا 13(7) of the Amended Founding Law provides وأ ىوﺎﻋدﻟا عاوﻧأ لوﺣ ﺢﯾﺿوﺗﻟا نﻣ دﯾزﻣﻟا فﺎﺿأ greater clarity on the types of claims or ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا نﻣﺿ ﻊﻘﺗ ﻲﺗﻟا تﺎﻋزﺎﻧﻣﻟا disputes that fall within the exclusive .ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻠﻟ يرﺻﺣﻟا jurisdiction of the Court of First Instance. 7. The change in terminology to “shall have ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا ﺎﮭﻟ نوﻛﯾ" ةرﺎﺑﻋ تﻣدﺧﺗﺳا دﻗ .7 exclusive jurisdiction” was in keeping with the نوﻧﺎﻗ صﻧ ﻲﻓ ﺔﻣدﺧﺗﺳﻣﻟا ةرﺎﺑﻌﻟا نﻣ ًﻻدﺑ "يرﺻﺣﻟا language that common law parties and ﺔﻓوﻟﺄﻣﻟاو ﺔﻣدﺧﺗﺳﻣﻟا ﺔﻐﻠﻟا ﻊﻣ ﻲﺷﺎﻣﺗﻠﻟ كﻟذو ،سﯾﺳﺄﺗﻟا practitioners were used to, and familiar with, لﺋﺎﺳﻣ لوﺣ مﺎﻌﻟا نوﻧﺎﻗ ﻲﺳرﺎﻣﻣﻟ و فارطﻸﻟ on the issue of jurisdiction. A similar amendment is included in Article نوﻧﺎﻗ نﻣ (10)13 مﻗر ةدﺎﻣﻟا ﻲﻓ ﮫﺑﺎﺷﻣ لﯾدﻌﺗ درو دﻗو .8 13(10) of the Amended Founding Law insofar as فﺎﻧﺋﺗﺳﻻا ﺔﻣﻛﺣﻣﻟ نوﻛﯾ نأ ﻰﻠﻋ صﻧﯾ لدﻌﻣﻟا سﯾﺳﺄﺗﻟا it provides that the Court of Appeal shall have ﻲﻓ تﺑﻟاو رظﻧﻠﻟ "يرﺻﺣﻟا ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا" “exclusive jurisdiction” to consider and decide نﻋ ةردﺎﺻﻟا رﻣاوﻷا وأ مﺎﻛﺣﻷا ﻰﻠﻋ ﺔﻣدﻘﻣﻟا نوﻌطﻟا on appeals made against the judgments or .ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻟا orders issued by the Court of First Instance. Interpretation of Global Market Regulations ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﺎظﻧ رﯾﺳﻔﺗ 9. Article 13(7) of the Amended Founding Law ﻰﻠﻋ لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ نﻣ (7)13 مﻗر ةدﺎﻣﻟا صﻧﺗ .9 provides that the Court of First Instance shall ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻠﻟ نوﻛﯾ نأ have exclusive jurisdiction in relation to any مﺎظﻧ ﻲﻓ داوﻣ ﺔﯾأ رﯾﺳﻔﺗﺑ ﻖﻠﻌﺗﺗ لﺋﺎﺳﻣ ﺔﯾأ ﻲﻓ يرﺻﺣﻟا issues as to the interpretation of any articles of .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ the Global Market Regulations. 10. Previously, these issues were to be dealt with رظﻧﻠﻟ صﺎﺻﺗﺧﻻا دﻧﺳأ ،ﻖﺑﺎﺳﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻘﻟا ﻲﻓ .10 by the Court of Appeal. This amendment was تﻣﺗ دﻗو .فﺎﻧﺋﺗﺳﻻا ﺔﻣﻛﺣﻣ ﻰﻟإ لﺋﺎﺳﻣﻟا هذھ ﻲﻓ made to reflect the practical reality that issues ﺢﺟرﯾ يذﻟا ﻲﻠﻣﻌﻟا ﻊﻗاوﻟا سﻛﻌﯾﻟ لﯾدﻌﺗﻟا اذھ ﺔﻏﺎﯾﺻ of statutory interpretation are more likely to be ﻰﻠﻋ نﯾﻧاوﻘﻟا رﯾﺳﻔﺗﺑ ﺔﻘﻠﻌﺗﻣﻟا لﺋﺎﺳﻣﻟا ﻊﻣ لﻣﺎﻌﺗﻟا dealt with at first instance level in the cases ىدﻟ ﻊﻓرﺗ ﻲﺗﻟا ىوﺎﻋدﻟا ﻲﻓ ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻟا ىوﺗﺳﻣ that come before ADGM Courts, with the Court ﺔﻣﻛﺣﻣ ظﺎﻔﺗﺣا ﻊﻣ ،ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ of Appeal retaining exclusive jurisdiction to ﻲﻓ تﺑﻠﻟ يرﺻﺣﻟا ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻﺎﺑ فﺎﻧﺋﺗﺳﻻا decide on any appeals from judgments or نﻋ ةردﺎﺻﻟا رﻣاوﻷا وأ مﺎﻛﺣﻷا ﻰﻠﻋ مدﻘﺗ نوﻌط ﺔﯾأ orders of the Court of First Instance (including لوﺎﻧﺗﺗ ﻲﺗﻟا لﺋﺎﺳﻣﻟا كﻟذ ﻲﻓ ﺎﻣﺑ) ﺔﯾﺋادﺗﺑﻻا ﺔﻣﻛﺣﻣﻟا those that deal with matters of statutory .(نﯾﻧاوﻘﻟا رﯾﺳﻔﺗ interpretation). ADGM Courts’ judgments not to be used as an ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ نﻋ ةردﺎﺻﻟا مﺎﻛﺣﻷا مادﺧﺗﺳا ﻊﻧﻣ impermissible device for enforcement دودﺣﻣﻟا ذﯾﻔﻧﺗﻠﻟ ﺔﻠﯾﺳوﻛ ﻲﻣﻟﺎﻌﻟا 11. Article 13(14) of the Amended Founding Law لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ نﻣ (14 )13 مﻗر ةدﺎﻣﻟا لوﺎﻧﺗﺗ .11 deals with what some members of the legal ﺔﻠﯾﺻوﻟا" نوﻧﺎﻘﻟا ﻲﻓ نﯾﺻﺗﺧﻣﻟا ضﻌﺑ هوﻋدﯾ ﺎﻣ profession refer to as the “conduit route” for ةردﺎﺻﻟا ("مﺎﻛﺣﻷا") رﻣاوﻷاو مﺎﻛﺣﻷا ذﯾﻔﻧﺗﻟ "ﺔﯾﺋﺎﺿﻗ the enforcement of judgments and orders قوﺳ جرﺎﺧ ةردﺎﺻﻟا مﯾﻛﺣﺗﻟا مﺎﻛﺣأو ةرﺎﻣﻹا جرﺎﺧ (“judgments”) that originated outside the عازﻧﻟا فارطﻷ نﻛﻣﯾ ﻻ ،ﺔطﺎﺳﺑﺑ .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ Emirate and awards made outside ADGM. Put مﺎﻛﺣأو مﺎﻛﺣﻷا ذﯾﻔﻧﺗﻟ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مادﺧﺗﺳا simply, parties cannot use ADGM for the ﻲﻓو ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑا قوﺳ جرﺎﺧ ةردﺎﺻﻟا مﯾﻛﺣﺗﻟا enforcement of non-ADGM judgments and وھ دودﺣﻣ ءﺎﻧﺛﺗﺳا ﻊﻣ ،ىرﺧأ صﺎﺻﺗﺧا ﻖطﺎﻧﻣ awards in other jurisdictions – the limited .ةرﺎﻣﻹا ﻲﻓ ىرﺧأ ﺔﻣﻛﺣﻣ نﻋ مﻛﺣ رودﺻ exception being where the originating judgment comes from another court within the Emirate. 5 12. As a matter of principle, it has always been ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ فﻗوﻣ نﺈﻓ ،أدﺑﻣﻟا ثﯾﺣ نﻣ .12 ADGM Courts’ position that parties should go ﺔﻟﺎﺣ ﻲﻓ فارطﻷا عوﺟر ةرورﺿ وھ ًﺎﻣﺋاد ﻲﻣﻟﺎﻌﻟا to the place where the relevant assets are لﺧد دﻗو 6.لوﺻﻷا ﮫﯾﻓ ﻊﻘﺗ يذﻟا نﺎﻛﻣﻟا ﻰﻟا ذﯾﻔﻧﺗﻟا located for the purpose of enforcement.5 This نوﻧﺎﻘﻟا ﻰﻠﻋ تﻼﯾدﻌﺗ لﻼﺧ نﻣ ذﺎﻔﻧﻟا زﯾﺣ أدﺑﻣﻟا اذھ principle has now been given effect through the .ﻲﺳﯾﺳﺄﺗﻟا amendments to the Founding Law. 13. What that means is that if parties wish to take نﻣ ةدﺎﻔﺗﺳﻻا فارطﻷا بﻏر لﺎﺣ ﻲﻓ ﮫﻧأ ﻲﻧﻌﯾ اذھو .13 advantage of the favourable enforcement ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ ﮫﻘﺑطﺗ يذﻟا ززﻌﻣُ ﻟا لﻣﻌﻟا رﺎطإ framework that ADGM Courts have in place ىرﺧأ صﺎﺻﺗﺧا ﻖطﺎﻧﻣ ﻊﻣ مﺎﻛﺣأ ذﯾﻔﻧﺗﻟ ﻲﻣﻟﺎﻌﻟا with other jurisdictions (including with Abu فارطﻷا ﻰﻠﻋ نﯾﻌﺗﯾ ،(ﻲﺑظوﺑأ ءﺎﺿﻘﻟا ةرﺋاد ﺎﮭﻧﻣو) Dhabi Judicial Department), they must submit ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ مﺎﻣأ ﻲﻠﺻﻷا عازﻧﻟا مﯾدﻘﺗ their original dispute for determination by مﻟ اذإ .ﮫﯾﻓ تﺑﻠﻟ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ ﻲﻓ مﯾﻛﺣﺗﻟا وأ ADGM Courts or by arbitration in ADGM. If نﯾدﻣﻟا لوﺻأ ﻰﻠﻋ ذﯾﻔﻧﺗﻟا نﺎﻛو ،كﻟذﺑ فارطﻷا مﻘﯾ parties do not do this, and execution against ﻲﺑظوﺑأ قوﺳ جرﺎﺧ صﺎﺻﺗﺧا ﺔﻘطﻧﻣ ﻲﻓ ىرﺟﯾﺳ debtor assets is to take place in a jurisdiction مﻛﺣﻟا ﻲﻓ ﮫﻟ موﻛﺣﻣﻟا ﻰﻠﻋ بﺟﯾ ذﺋدﻧﻋ ،ﻲﻣﻟﺎﻌﻟا other than ADGM, then the judgment or award ﺔﻘطﻧﻣ ﻲﻓ ذﯾﻔﻧﺗ بﻠط مﯾدﻘﺗ مﯾﻛﺣﺗﻟا مﻛﺣ ﻲﻓ وأ ﻲﺋﺎﺿﻘﻟا creditor must bring an enforcement application .ﺔﯾﻧﻌﻣﻟا ىرﺧﻷا ﻲﺋﺎﺿﻘﻟا صﺎﺻﺗﺧﻻا in that other jurisdiction. 14. In practice, parties are still able to apply to مﻛﺎﺣﻣﻟ بﻠط مﯾدﻘﺗ فارطﻸﻟ حﺎﺗﯾ ،ﻲﻠﻣﻌﻟا ﻖﯾﺑطﺗﻟا ﻲﻓ .14 ADGM Courts for the recognition and ﺔﯾﺋﺎﺿﻘﻟا مﺎﻛﺣﻷﺎﺑ فارﺗﻋﻼﻟ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ enforcement of non-ADGM judgments and ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ جرﺎﺧ ةردﺎﺻﻟا مﯾﻛﺣﺗﻟا مﺎﻛﺣأو awards even if there are no relevant assets in ﻲﻓ ﺔﻠﺻ تاذ لوﺻأ دوﺟو مدﻋ لﺎﺣ ﻲﻓ ﻰﺗﺣ ﺎھذﯾﻔﻧﺗو ADGM. But, save for the limited exception ﻲﻓ ﮫﯾﻟإ رﺎﺷﻣﻟا ءﺎﻧﺛﺗﺳﻻﺎﺑ ،نﻛﻟو .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ referred to in paragraph 11, the Registry of قوﺳ مﻛﺎﺣﻣ ىدﻟ لﺟﺳﻟا بﺗﻛﻣ لﯾذﯾ نﻟ ،11 ةرﻘﻔﻟا ADGM Courts will not affix the “executory رﻣأ وأ مﻛﺣ يﺄﺑ "ﺔﯾذﯾﻔﻧﺗﻟا ﺔﻐﯾﺻﻟا" ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ formula” to any subsequent ADGM Courts ضرﻐﺑ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ نﻋ ًﺎﻘﺣﻻ ردﺎﺻ judgment or order for the purpose of .ىرﺧأ صﺎﺻﺗﺧا ﻖطﺎﻧﻣ ﺔﯾأ ﻲﻓ هذﯾﻔﻧﺗ enforcement (including execution) in other jurisdictions. Enhanced enforcement framework between ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ نﯾﺑ مﺎﻛﺣﻷا ذﯾﻔﻧﺗ لﻣﻋ رﺎطإ زﯾزﻌﺗ ADGM Courts and Abu Dhabi Judicial ﻲﺑظوﺑأ ءﺎﺿﻘﻟا ةرﺋادو Department 15. Articles 13(15) and (16) of the Amended نﻣ (16)13 مﻗر ةدﺎﻣﻟاو (15)13 مﻗر ةدﺎﻣﻟا ﺞﻣدﺗ .15 Founding Law codify into law the enforcement ةرﻛذﻣ ﻲﻓ نﯾﺑﻣﻟا لﻣﻌﻟا رﺎطإ لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ framework that is set out in the Memorandum ةرﺋادو ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ نﯾﺑ ﺔﻣرﺑﻣﻟا مھﺎﻔﺗﻟا of Understanding between ADGM Courts and ﺔﻐﯾﺻﺑ 2018 رﯾارﺑﻓ 11 ﺦﯾرﺎﺗﺑ ﻲﺑظوﺑا ءﺎﺿﻘﻟا Abu Dhabi Judicial Department dated 11 ﻲﻓ ﺔﻘﯾﻘﺷﻟا مﻛﺎﺣﻣﻟا نﯾﺑ ًﻻدﺎﺑﺗﻣ ًاذﯾﻔﻧﺗ رﻓوﯾ اذھو .نوﻧﺎﻗ February 2018. This provides for the mutual ىرﺧﻸﻟ ﺎﻣﮭﻧﻣ لﻛ نﻋ ةردﺎﺻﻟا مﺎﻛﺣﻸﻟ ﻲﺑظوﺑأ enforcement by the Abu Dhabi sister courts of ﺔﻌﺟارﻣ نود ﺔﻗدﺻﻣﻟا وأ ﺎﮭﺑ فرﺗﻌﻣﻟا مﯾﻛﺣﺗﻟا مﺎﻛﺣﻷو each other’s judgments and recognised or دﻛؤﯾ ﺎﻣﻛ .ةذﻔﻧﻣﻟا ﺔﻣﻛﺣﻣﻟا لﺑﻗ نﻣ ﺔﻋوﺿوﻣﻟا سﺳﻷا 5 This is reflected in Memorandum of Understanding entered into by ADGM Courts with Abu Dhabi Judicial Department on 11 February 2018, Ras Al Khaimah Courts on 5 May 2019 and Ministry of Justice on 4 November 2019. مﻛﺎﺣﻣو ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ نﯾﺑ ﺔﻣرﺑﻣﻟا مھﺎﻔﺗﻟا ةرﻛذﻣو ،2018 رﯾارﺑﻓ 11 ﺦﯾرﺎﺗﺑ ﻲﺑظوﺑأ ءﺎﺿﻘﻟا ةرﺋادو ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ نﯾﺑ ﺔﻣرﺑﻣﻟا مھﺎﻔﺗﻟا ةرﻛذﻣ ﻲﻓ كﻟذ نﺎﯾﺑ مﺗ دﻗو 5 .2019 رﺑﻣﻓوﻧ 4 ﺦﯾرﺎﺗﺑ لدﻌﻟا ةرازوو ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ نﯾﺑ ﺔﻣرﺑﻣﻟا مھﺎﻔﺗﻟا ةرﻛذﻣو ،2019 وﯾﺎﻣ 5 ﺦﯾرﺎﺗﺑ ﺔﻣﯾﺧﻟا سأر 6 ratified arbitral awards – without any review on مﮭﻟ موﻛﺣﻣﻠﻟ نﯾﺣﺎﺗﻣﻟا نﯾﻘﯾرطﻟا لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ the merits being undertaken by the enforcing :ﺎﻣھو ،ذﯾﻔﻧﺗﻠﻟ court. The Amended Founding Law also confirms the two routes that are available to judgment creditors for enforcement, being: (a) the “direct route”, whereby the judgment ﮫﻟ موﻛﺣﻣﻟا مدﻘﯾ ثﯾﺣ ،"رﺷﺎﺑﻣﻟا ﻖﯾرطﻟا" . أ creditor applies directly to the execution و ؛ةرﺷﺎﺑﻣ ذﯾﻔﻧﺗﻟا ﺔﻣﻛﺣﻣ ﻰﻟا ذﯾﻔﻧﺗﻟا بﻠط court for enforcement; and (b) the “deputisation route”, whereby the ذﯾﻔﻧﺗﻟا بﻠط ﮫﻟ موﻛﺣﻣﻟا مدﻘﯾ ثﯾﺣ "ﺔﺑﺎﻧﻹا" .ب judgment creditor applies to the original مﻛﺣﻟا تردﺻأ ﻲﺗﻟا ﺔﯾﻠﺻﻷا ﺔﻣﻛﺣﻣﻟا ﻰﻟإ court that delivered the judgment and ﺔﻣﻛﺣﻣ ﻲﻓ ذﯾﻔﻧﺗﻟا ﻲﺿﺎﻗ ﺔﺑﺎﻧإ ﺎﮭﻧﻣ بﻠطﯾو requests that court to deputise an .ذﯾﻔﻧﺗﻟا ضارﻏﻷ ذﯾﻔﻧﺗﻟا enforcement judge in the execution court for the purposes of enforcement. 16. To date, there have been 19 judgments that ﻰﻟإ حﺎﺟﻧﺑ ًﺎﯾﺋﺎﺿﻗ ًﺎﻣﻛﺣ 16 ﺔﻟﺎﺣإ تﻣﺗ ،ﮫﺧﯾرﺎﺗ ﻰﺗﺣ .16 have successfully been referred to Abu Dhabi "رﺷﺎﺑﻣﻟا ﻖﯾرطﻠﻟ" ًﺎﻘﻓو ﻲﺑظوﺑأ ءﺎﺿﻘﻟا ةرﺋاد Judicial Department under the “direct route” ﺎﯾﺎﺿﻗ تﻠﺻو دﻗو ،مھﺎﻔﺗﻟا ةرﻛذﻣ ﻲﻓ ﮫﯾﻠﻋ صوﺻﻧﻣﻟا provided for in the Memorandum of تاءارﺟإ نﻣ ﺔﻔﻠﺗﺧﻣ لﺣارﻣ ﻰﻟإ ةروﻛذﻣﻟا ذﯾﻔﻧﺗﻟا Understanding – with these enforcement cases ًاروطﺗ سﯾﺳﺄﺗﻟا نوﻧﺎﻗ ﻰﻠﻋ تﻼﯾدﻌﺗﻟا رﺑﺗﻌﺗ .ذﯾﻔﻧﺗﻟا in various stages of the enforcement process. ةرﻛذﻣ ﻲﻓ ﺎﮭﯾﻠﻋ ﻖﻔﺗﻣﻟا ذﯾﻔﻧﺗﻟا ﺔﯾﻟآ تﻠﻌﺟ ﺎﮭﻧﻷ ًﺎﻣﺎھ These amendments to the Founding Law are an ﺔﻘﺛﻟا نﻣ ًادﯾزﻣ فارطﻷا ﻲطﻌﯾ ﺎﻣﻣ ،ًﺎﻧوﻧﺎﻗ مھﺎﻔﺗﻟا important development because it elevates the ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ نﻋ ةردﺎﺻﻟا مﺎﻛﺣﻷا ذﯾﻔﻧﺗ ﺔﯾﻧﺎﻛﻣﺈﺑ enforcement mechanism contained in the ﺎﮭﺗﻣﻛﺣﻣ لﺑﻗ نﻣ ﺎﮭﺑ فرﺗﻌﻣﻟا مﯾﻛﺣﺗﻟا مﺎﻛﺣأو ﻲﻣﻟﺎﻌﻟا Memorandum of Understanding to a matter of . ﻲﺑظوﺑأ ءﺎﺿﻘﻟا ةرﺋاد ﺔﻘﯾﻘﺷﻟا law – and should provide parties with increased confidence that ADGM Courts’ judgments and recognised awards will be enforced by its sister court, Abu Dhabi Judicial Department. ADGM Courts confirmed as courts of the Emirate ةرﺎﻣﻺﻟ مﻛﺎﺣﻣﻛ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ ﺔﻧﺎﻛﻣ ﻰﻠﻋ دﯾﻛﺄﺗ 17. Article 13(1) of the Amended Founding Law ﻰﻠﻋ لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ نﻣ (1 )13 مﻗر ةدﺎﻣﻟا دﻛؤﺗ.17 confirms ADGM Courts’ status as “courts of the ."ةرﺎﻣﻺﻟ مﻛﺎﺣﻣﻛ" ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ ﺔﻧﺎﻛﻣ Emirate”. This was never in doubt because بﺟوﻣﺑ ﮫﻧﻷ ،قﻼطﻹا ﻰﻠﻋ كﻟذ ﻲﻓ كﺷ كﺎﻧھ نﻛﯾ مﻟو constitutionally ADGM is a part of Abu Dhabi. ةرﺎﻣإ نﻣ ءزﺟ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ رﺑﺗﻌﯾ روﺗﺳدﻟا However, it provides useful clarification for فارطﻸﻟ دﯾﻔﻣ لﻛﺷﺑ ﺢﺿوﯾ لﯾدﻌﺗﻟا نأ رﯾﻏ .ﻲﺑظوﺑأ parties and courts from other jurisdictions who ﻻ دﻗ نﯾذﻟا ىرﺧﻷا صﺎﺻﺗﺧﻻا ﻖطﺎﻧﻣ مﻛﺎﺣﻣو may not be familiar with ADGM and how, ،ﮫﻧوﻛﺑو ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳﺑ ﺔﯾارد ﻰﻠﻋ نوﻧوﻛﯾ constitutionally, it fits into the jurisdictional ﻲﻓ صﺎﺻﺗﺧﻻا ﻖطﺎﻧﻣ ططﺧﻣ نﻣ ءزﺟ ،روﺗﺳدﻠﻟ ًﺎﻘﻓو landscape of the United Arab Emirates. Article 13(2) of the Amended Founding Law لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ نﻣ (2)13 مﻗر ةدﺎﻣﻟا ﻲﺿﻘﺗ .18 mandates that judgments made by ADGM وﻣﺳ مﺳﺎﺑ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ مﻛﺎﺣﻣ مﺎﻛﺣأ رودﺻﺑ Courts shall be issued in the name of the Ruler سﻔﻧﻟ لﯾدﻌﺗﻟا اذھ جاردإ مﺗ دﻗو .ﻲﺑظوﺑأ ةرﺎﻣإ مﻛﺎﺣ of Abu Dhabi. This amendment was introduced مھﺎﺳﯾ نأ ﻲﻐﺑﻧﯾو ،17 ةرﻘﻔﻟا ﻲﻓ ﺔﻧﯾﺑﻣﻟا بﺎﺑﺳﻷا for similar reasons to those set out in paragraph قوﺳ مﻛﺎﺣﻣ نﻋ ةردﺎﺻﻟا مﺎﻛﺣﻷا ﺔﻧﺎﻛﻣ ﺢﯾﺿوﺗﺑ 17 and should assist with clarifying the status .ﻲﻟودﻟا ىوﺗﺳﻣﻟا ﻰﻠﻋ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ of ADGM Courts’ judgments on the international stage. Protection of ‘Netting Agreements’ in the تارارﻘﻟاو مﺎﻛﺣﻷا ذﯾﻔﻧﺗ ﻲﻓ "ﺔﺻﺎﻘﻣﻟا تﺎﯾﻗﺎﻔﺗا" ﺔﯾﺎﻣﺣ enforcement of non-ADGM judgments, orders, ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ جرﺎﺧ ةردﺎﺻﻟا مﯾﻛﺣﺗﻟا مﺎﻛﺣأو رﻣاوﻷاو decisions and awards. 19. Article 13(17) of the Amended Founding Law لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ نﻣ (17)13 مﻗر ةدﺎﻣﻟا صﻧﺗ .19 gives effect to any provisions for the protection دﻧﻋ ﺔﺻﺎﻘﻣﻟا تﺎﯾﻗﺎﻔﺗا ﺔﯾﺎﻣﺣﺑ ﻖﻠﻌﺗﺗ مﺎﻛﺣأ ﺔﯾأ ذﯾﻔﻧﺗ ﻰﻠﻋ of Netting Agreements under the ADGM مﯾﻛﺣﺗﻟا مﺎﻛﺣأو رﻣاوﻷاو تارارﻘﻟاو مﺎﻛﺣﻷا ذﯾﻔﻧﺗ Regulations in relation to the enforcement of مﺎظﻧ بﺟوﻣﺑ ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑا قوﺳ جرﺎﺧ ةردﺎﺻﻟا non-ADGM judgments, orders, decisions and ﺔﺻﺎﻘﻣﻟا ﺔﯾﻗﺎﻔﺗا فﯾرﻌﺗ مﺗ دﻗو .ﻲﻣﻟﺎﻌﻟا ﻲﺑظوﺑأ قوﺳ awards. Netting Agreement is defined in the ﺔﯾﻗﺎﻔﺗا وأ ﺔﯾﻗﺎﻔﺗا ﺔﯾأ" ﺎﮭﻧﺄﺑ لدﻌﻣﻟا سﯾﺳﺄﺗﻟا نوﻧﺎﻗ ﻲﻓ amended Founding Law as “any agreement or ﺔﯾﻟﺎﺣ ﺔﻌﻓد ﺔﯾأ ﺔﺻﺎﻘﻣ تﺎﯾﺎﻐﻟ نﯾﻓرط نﯾﺑ مرﺑﺗ ﺔﯾﺳﯾﺋر master agreement between two parties which ﺔﯾأو تﺎﻘﺣﺗﺳﻣ وأ تﺎﻣازﺗﻟا مﯾﻠﺳﺗ وأ ﺔﯾﻠﺑﻘﺗﺳﻣ وأ provides for the netting of present or future ،ﺎﮭﺑ ﺔﻘﻠﻌﺗﻣ نﯾﻣﺄﺗ وأ نﺎﻣﺿ وأ شﻣﺎھ تﺎﺑﯾﺗرﺗ payment or delivery obligations or entitlements ﻲﺗﻟا ﺔﻠھؤﻣﻟا ﺔﯾﻟﺎﻣﻟا دوﻘﻌﻟا نﻣ عاوﻧﻷا كﻠﺗ صوﺻﺧﺑ and any related margin, collateral or security ".ةرادﻹا سﻠﺟﻣ ﺎھددﺣﯾ arrangements, in connection with those types of qualified financial contracts as the Board of Directors may designate.” Conclusion ﺔﻣﺗﺎﺧ 20.
