ONTARIO TOURISM MARKETING PARTNERSHIP CORPORATION

0.1 In this Regulation, “Minister” means the Minister of Tourism, Culture and Sport or the minister of the Crown to whom the powers and duties under this Regulation are assigned or transferred under the Executive Council Act. The corporation without share capital established under the name Ontario Tourism Marketing Partnership Corporation by this section, as it read immediately before the day Ontario Regulation 553/17 came into force, and formerly continued under the name Ontario Tourism Marketing Partnership Corporation in English and Société du Partenariat ontarien de marketing touristique in French, is continued under the name Destination Ontario in English and in French. O. Reg. 231/24, s. 2. 2. Destination Ontario is for all its purposes an agent of the Crown within the meaning of the Crown Agency Act and its powers may be exercised only as an agent of the Crown. O. The objects of Destination Ontario are, (a) to market Ontario as a travel destination; (b) to undertake joint marketing initiatives with the tourism industry; (c) to support and assist the marketing efforts of the tourism industry; and (d) in co-operation with the tourism industry, the Government of Ontario, other governments and other agencies of governments, to promote Ontario as a travel destination. O. Reg. 618/98, s. 3; O. Reg. 231/24, s. 1. 4. (1) Destination Ontario shall consist of as many members, not fewer than three, as the Lieutenant Governor in Council may appoint. O. (2) The members shall be appointed for such term, not exceeding three years, as may be determined by the Lieutenant Governor in Council. O. Reg. 618/98, s. 4 (2). (4) Destination Ontario shall pay its members who are not employed under Part III of the Public Service of Ontario Act, 2006 the remuneration and expenses that the Lieutenant Governor in Council determines. (5) The Lieutenant Governor in Council shall designate one of the members to be chair of the board of directors and one of the members to be vice-chair of the board of directors. O. (7) In the case of the absence or illness of the chair or there being a vacancy in the office of chair, the vice-chair or, if there is no vice-chair available, the director designated by the board of directors for the purpose, shall act as and have all the powers of the chair. (1) The affairs of Destination Ontario are under the management and control of its board of directors. O. Reg. 618/98, s. 5 (1); O. Reg. 231/24, s. 1. (2) The board of directors may pass by-laws and resolutions regulating its proceedings and generally for the conduct and management of the affairs of Destination Ontario. O. Reg. 618/98, s. 5 (2); O. (3) Without limiting the generality of subsection (2), the board of directors of Destination Ontario may pass by-laws or resolutions to, (a) appoint officers and assign to them such powers and duties as the board of directors determines to be appropriate; (b) make banking arrangements; (c) establish committees of the board of directors; and (d) effect the orderly transaction of the business of Destination Ontario. (1) Except as limited by this Regulation and by section 11.0.1 of the Ministry of Infrastructure Act, 2011, Destination Ontario has the capacity, rights, powers and privileges of a natural person for carrying out its objects. (2) Destination Ontario shall not, except with the approval of the Lieutenant Governor in Council, (a) acquire, hold or dispose of any interest in any real property; (b) borrow money; or (c) pledge the assets of Destination Ontario. (1) In this section, “revenue” includes all money or money’s worth received by Destination Ontario, whether by grant, gift, contribution, profit or otherwise. O. Reg. 618/98, s. 8 (1); O. (1) Such employees may be appointed under Part III of the Public Service of Ontario Act, 2006 as are considered necessary from time to time for the proper conduct of the business of Destination Ontario. (2) In accordance with Government of Ontario policy, Destination Ontario may employ or otherwise engage persons other than those appointed under subsection (1) to provide professional, technical or other assistance to it or on its behalf, and may prescribe their duties and other terms of engagement and provide for payment of the remuneration and expenses of such persons. The Minister may issue policy directions to the board of directors and, where the Minister issues such a direction the board of directors shall carry it out. O. Reg. 618/98, s. 11. 12. Revoked: O. Reg. 553/17, s. 6. 13. The accounts and financial transactions of Destination Ontario shall be audited annually and the audit is subject to the review of the Auditor General. O. Reg. 618/98, s. 13; O. Reg. 553/17, s. 7; O. Reg. 231/24, s. 1. 14. (1) Destination Ontario shall prepare an annual report, provide it to the Minister and make it available to the public. O. (2) Destination Ontario shall comply with such directives as may be issued by the Management Board of Cabinet with respect to, (a) the form and content of the annual report; (b) when to provide it to the Minister; and (c) when and how to make it available to the public. The Minister shall table Destination Ontario’s annual report in the Assembly and shall comply with such directives as may be issued by the Management Board of Cabinet with respect to when to table it. (1) No cause of action arises against a director of Destination Ontario as a result of any act done in good faith in the performance or intended performance of his or her duties or any alleged neglect or default in the performance in good faith of his or her duties. (2) No proceeding, including but not limited to a proceeding for a remedy in contract, restitution, tort or trust, shall be instituted against a director of Destination Ontario by a person who has suffered any damages, injury or other loss based on or related to any cause of action described in subsection (1).
