Incorporation 2 The Canadian Institute of Management (Saskatchewan Division), hereinafter called the institute, is hereby continued as a body corporate and politic. 1973‑74, c 7, s 2; RSS 1978, c C‑1, s 2. Head office 3 The head office of the institute shall be at Saskatoon or at such other place in the province as may be determined by bylaw. 1973‑74, c 7, s 3; RSS 1978, c C‑1, s 3. Power to establish branches 4 The institute may establish chapters or branches in various centres within the province for the social and educational welfare of its members, with such powers as may, from time to time, be determined by bylaw. 1973‑74, c 7, s 4; RSS 1978, c C‑1, s 4. Power to hold land 5 The institute may acquire, hold and dispose of such real and personal property or any interest therein as is required for its purposes. 1973‑74, c 7, s 5; RSS 1978, c C‑1, s 5. Power to borrow 6 The institute may borrow money for the purposes of the institute and give security for any money so borrowed on any of the real or personal property of the institute by way of mortgage, pledge, charge or in any other manner. 1973‑74, c 7, s 6; RSS 1978, c C‑1, s 6. Objects 7 The general objects of the institute shall be to promote and encourage the advancement of knowledge in the field of management and administration and to maintain and improve the standards of achievement in the field of management and administration by means including educational courses, research, periodical conferences and publications. 1973‑74, c 7, s 7; RSS 1978, c C‑1, s 7. 4 CANADIAN INSTITUTE OF MANAGEMENT c C-1 (SASKATCHEWAN DIVISION) Power to establish lectures and classes 8 The institute may establish lectures and classes for students, or may enter into agreements with the governing body of any university or college in Saskatchewan for the participation of students in such lectures and classes and in correspondence courses, as may come within the ambit of subjects prescribed by the bylaws. 1973‑74, c 7, s 8; RSS 1978, c C‑1, s 8. Benevolent fund 9 The institute may establish and administer a benevolent fund for the benefit of any members or the families of members who may require financial assistance, and for that purpose may make and receive contributions and donations. 1973‑74, c 7, s 9; RSS 1978, c C‑1, s 9. Power to affiliate 10 The institute may enter into contracts, in accordance with the bylaws, to affiliate with any body or bodies of managers or administrators incorporated by or under any Act of the Government of Canada or of any province thereof for the mutual benefit of its members and the establishment of uniform qualifications and examinations. 1973‑74, c 7, s 10; RSS 1978, c C‑1, s 10. Membership 11(1) The membership of the institute shall be classified as general members and registered members, with such other classification of members as may be authorized by the bylaws. (2) General membership shall be available to anyone eighteen years of age or over who is engaged or interested in management and administration and complies with the bylaws. (3) Registered members shall consist of those general members who pass examinations of the institute as prescribed under section 16 or otherwise fulfil the requirements of the bylaws. 1973‑74, c 7, s 11; RSS 1978, c C‑1, s 11. Record and register of members 12(1) A record should be kept at the head office containing the names of all general members. (2) A register shall be kept at the head office in which shall be registered the names and addresses of all registered members. (3) The record and register shall be open for inspection by the public at all reasonable times. (4) The register mentioned in subsection (2) may be made available in any other manner acceptable to the board, including an electronic format. 1973‑74, c 7, s 12; RSS 1978, c C‑1, s 12; 2020, c 9, s 7. 5 CANADIAN INSTITUTE OF MANAGEMENT (SASKATCHEWAN DIVISION) c C-1 Officers and Board of Directors 13(1) The officers of the institute shall consist of a president, first vice-president, second vice‑president and third vice‑president, secretary and a treasurer, who shall be directors, and who shall perform such duties as may be assigned to them from time to time by the bylaws. (2) The affairs and business of the institute shall be administered by a Board of Directors, hereinafter called the board, consisting of at least ten members, including the officers, five of whom shall constitute a quorum and who shall hold office for a term of one year or until their successors are elected; and any member of the board may be re‑elected. 1973‑74, c 7, s 13; RSS 1978, c C‑1, s 13. Meetings, annual and special 14(1) A general meeting of the members of the institute shall be held annually at such time and place and upon such notice as is provided in the bylaws for the purpose of electing the board and officers and for such other business as may be brought before the meeting. (2) Special general meetings of the members may also be called and held in accordance with the bylaws of the institute. 1973‑74, c 7, s 14; RSS 1978, c C‑1, s 14. Institute to have powers of a society 15 In addition to the powers by law vested in a corporation the institute shall have all the powers given to societies incorporated under The Societies Act. 1973‑74, c 7, s 15; RSS 1978, c C‑1, s 15. Power to pass bylaws 16(1) The board may pass bylaws and from time to time pass amendments to bylaws but no such bylaw or amendment thereto shall come into force until approved by an annual general meeting of the institute, or at a special general meeting thereof, called for the purpose of considering the bylaw or amendment. (2) Any bylaw passed by the board may be repealed, amended, varied or otherwise dealt with by the institute at any annual general meeting or at a special general meeting called for the purpose. (3) Without limiting the generality of its powers, the board may pass bylaws: (a) to prescribe a curriculum and the courses of studies to be pursued by members of the institute in management and administration and all matters, conditions and requirements respecting examinations and the subjects upon which candidates for admission to registered membership shall be examined and for granting certificates to registered members; (b) to establish and to collaborate with educational institutions in establishing lectures, classes and examinations for members of the institute in the field of management and administration; 6 CANADIAN INSTITUTE OF MANAGEMENT c C-1 (SASKATCHEWAN DIVISION) (c) to authorize agreements between the institute and any university, college or school for the establishment of lecturers, classes and examinations; (d) to prescribe the rights and obligations of its various classes of membership; (e) to regulate the admission, the qualification, the conduct, the suspension and the expulsion of members of the institute; (f) to fix the admission and annual fees to be paid by the members and the examination fee to be paid by applicants for the institute’s examinations; (g) to provide for the appointment, functions, duties, remuneration and removal of officers and employees of the institute; (h) to establish chapters of the institute within Saskatchewan and to enrol members of the institute; (i) to affiliate with any other body, corporate or unincorporate, having objects similar to those of the institute; (j) to govern the election of members of the board and the officers; (k) to regulate the calling and holding of meetings of members of the institute and of its board and the procedure in all things at such meetings; and (l) generally to carry out the purposes of this Act. (4) The secretary of the institute shall send a copy of every bylaw to the Registrar of Corporations within one week after the passing thereof. 1973‑74, c 7, s 16; RSS 1978, c C‑1, s 16; 1980‑81, c 21, s 8; 2010, c B‑12, s 17; 2021, c 6, s 23‑26. Right to use designation “Certified Industrial Manager” 17(1) A registered member of the institute in good standing has the right to use the designation “Certified Industrial Manager” and may use after his name the letters “C.I.M.”, indicating that he is a certified industrial manager. (2) Every person who is not a registered member of the institute in good standing and who: (a) uses or makes use of the designation “Certified Industrial Manager” or the letters “C.I.M.”; or (b) uses or makes use of any name, title or description that implies that he is a registered member of the institute; is guilty of an offence and is liable on summary conviction to a penalty not exceeding twenty-five dollars. 1973‑74, c 7, s 17; RSS 1978, c C‑1, s 17. 7 CANADIAN INSTITUTE OF MANAGEMENT (SASKATCHEWAN DIVISION) c C-1 Right to practise as manager or administrator not affected 18 This Act does not affect or interfere with the right of any person to act or to carry on the business in Saskatchewan as a manager or administrator or to designate himself as such. 1973‑74, c 7, s 18; RSS 1978, c C‑1, s 18. Profits to be retained by institute 19 Subject to the provisions of section 8, any profits derived from carrying on the affairs and business of the institute shall be devoted and applied solely in promoting and carrying out the objects and purposes of the institute and shall not be divided among its members. 1973‑74, c 7, s 19; RSS 1978, c C‑1, s 19. 20 Repealed. 1979, c 69, s 5.
