Statute overview

About this statute

Administrators of the economic interest group must call the assembly, either on their own initiative or when any partner requests it. If a partner requests it, the call must be made within 30 days, and the notice is generally sent by registered letter with acknowledgment of receipt at least 15 days before the meeting. The Agrupación must be managed by one or more persons appointed in the incorporation deed or by the partners. A legal person may act as administrator unless the deed says otherwise, but then a natural person must be appointed as its representative. Being a partner is not required unless the deed says otherwise. Administrators represent the Association, and each administrator may act alone unless the founding deed requires joint action. Limits on their representative powers do not affect third parties, and the Association is bound even by acts outside its object unless it proves the third party knew or could not ignore that fact.
