Charter for Zetech University

Section 1. Short title Section This Charter ("the Zetech University Charter;") shall be cited as the Zetech University ("Zetech University established under paragraph 3 of this Charter;") Charter ("the Zetech University Charter;") , 2022.

Section 2. Interpretation Section In this Charter ("the Zetech University Charter;") , unless the context otherwise requires— "academic staff" means any person appointed to teach, train or to do research at a university and any other employee designated as such by the Council ("the Council of the University established under paragraph 17 of this Charter;") ; "academic year" means a continuous period of teaching examination and study, organised on a full year mode, semester mode, trimester mode and quarter mode and extending over not less than thirty weeks in a calendar year; "Act" means the Universities Act, 2012 ( No. 42 of 2012 ); "administrative staff" means the employees of the University ("Zetech University established under paragraph 3 of this Charter;") who are not directly engaged in teaching or research as the Council ("the Council of the University established under paragraph 17 of this Charter;") may from time to time determine; "affiliated institution" means an institution which has an academic linkage with the University ("Zetech University established under paragraph 3 of this Charter;") for the purpose of granting of degrees and award of diplomas and certificate in a...

Section 3. Establishment of theUniversity Section 3(1) There is established a University ("Zetech University established under paragraph 3 of this Charter;") to be known as Zetech University ("Zetech University established under paragraph 3 of this Charter;") . Section 3(2)(a) suing and being sued; Section 3(2)(b) taking, purchasing or otherwise acquiring, holding, charging and disposing of movable and immovable property; Section 3(2)(c) receiving, investing, borrowing or lending money; and Section 3(2)(d) doing or performing any such other things or acts, including entering into such contracts as may be necessary or expedient, for the furtherance of the provision of this Charter ("the Zetech University Charter;") which may be done by a corporate body. Section 3(3) The University ("Zetech University established under paragraph 3 of this Charter;") is the successor of the Zetech University ("Zetech University established under paragraph 3 of this Charter;") constituted in accordance with the Letter of Interim Authority dated 26th August, 2014. Section 4. Vision, Mission, philosophy and Core values Section 4(1) Vision: A leading University ("Zetech University established under paragraph 3 of this Charter;") in Research, Innovation, Knowledge Creation and Dissemination. Section 4(2) Mission: To Promote Excellence in Education and Research by Integrating Innovation, Entrepreneurship and Technology to Impact Society. Section 4(3) Philosophy: Nurturing and Inspiring an Intellectually Curious, Adaptable and Innovative Generation that is guided by its Core Values. Section 4(4)(a) integrity; Section 4(4)(b) commitment to excellence; Section 4(4)(c) innovation; Section 4(4)(d) customer focus; and Section 4(4)(e) teamwork.

Section 5. Objectives and functions of theUniversity Section 5(1) The University ("Zetech University established under paragraph 3 of this Charter;") ’s objective is to provide high quality education in training, research, innovation, knowledge dissemination which leverage on information technology, business and entrepreneurship consistent with the Vision, Mission, Philosophy and Core values of the University ("Zetech University established under paragraph 3 of this Charter;") . Section 5(2)(a) provide directly, or in collaboration, with other institutions of higher learning, facilities for technological, professional, and scientific education; Section 5(2)(b) advance knowledge and its practical application by research and other means; Section 5(2)(c) disseminate the outcomes of research by various means, and commercially exploit the results of such research; Section 5(2)(d) participate in technological innovation as well as in the discovery, transmission and enhancement of knowledge and stimulating the intellectual life in the economic, social, cultural, scientific, and technological development; Section 5(2)(e) contribute to industrial and technological development of society in...

Section 6. Powers of theUniversity Section 6(1) The University ("Zetech University established under paragraph 3 of this Charter;") shall do all lawful acts and things necessary or convenient to be done in connection with the performance of the objects of the University ("Zetech University established under paragraph 3 of this Charter;") . Section 6(2)(a) impose, demand and receive fees, subscriptions and deposits and impose charges and act on behalf of the University ("Zetech University established under paragraph 3 of this Charter;") such as property, legacy, endowment, bequest or gift for the purpose of education or research or otherwise for the furtherance of the work of the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 6(2)(b) the promotion and preservation of equality of opportunity and access; and Section 6(2)(b)(i) the promotion and preservation of equality of opportunity and access; and Section 6(2)(b)(ii) effective and efficient use of resources. Section 7. Establishment of Constituent Colleges Section The Cabinet Secretary ("the Cabinet Secretary for the time being responsible for University Education;") may, on the recommendation of the Council ("the Council of the University established under paragraph 17 of this Charter;") , and on the advice of the Commission ("the Commission for University Education established under the Act;") for University ("Zetech University established under paragraph 3 of this Charter;") Education, by order published in the Gazette , establish or declare an institution of learning or higher education or any training establishment to be a Constituent College ("a College established by the University pursuant to the recommendation made under paragraph 8 of this Charter but does not include a Constituent College;") of the University ("Zetech University established under paragraph 3 of this Charter;") .

Section 8. Establishment of Colleges, Campuses, Schools and Institutions Section 8(1) The Council ("the Council of the University established under paragraph 17 of this Charter;") may, on the advice of the Senate ("the Senate of the University established under paragraph 25 of this Charter;") , establish Colleges or Campuses, to offer training and courses of instruction consistent with its mission and objects whose functions and powers shall be as provided by the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 8(2) A College ("a College established by the University pursuant to the recommendation made under paragraph 8 of this Charter but does not include a Constituent College;") or Campus ("a Campus established in the University pursuant to Paragraph 8 of this Charter;") which is established under this paragraph shall consist of such faculties, schools, institutes or centres as may be provided by the Statutes ("Statutes of the University made by the Council under this Charter;") .

Section 9. Conferment of Degrees, Diplomas, Certificates and other Awards Section 9(1)(a) grant degrees Bachelors’, Masters’, Doctorate and other awards, diplomas, certificates and other academic awards as may be provided for by the Statutes ("Statutes of the University made by the Council under this Charter;") ; Section 9(1)(b) confer honorary degrees or any other academic distinction to a person who has rendered distinguished service to the advancement of any branch of learning or who has otherwise rendered service in any field of human endeavor worthy of such a degree or academic distinction. Section 9(2) Subject to this Charter ("the Zetech University Charter;") , the University ("Zetech University established under paragraph 3 of this Charter;") may award fellowships, scholarships, bursaries and prizes and make other awards as may be provided for in the Statutes ("Statutes of the University made by the Council under this Charter;") .

Section 10. Convocation Section 10(1) There shall be Convocation of the University ("Zetech University established under paragraph 3 of this Charter;") , which shall consist of such members as prescribed by the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 10(2) The convocation shall be convened for purposes of conferment of awards and for such other functions as may be outlined in the Statutes ("Statutes of the University made by the Council under this Charter;") .

Section 11. Withdrawal of Degrees, Diplomas, Certificates and other Awards Section Subject to this Charter ("the Zetech University Charter;") , the Council ("the Council of the University established under paragraph 17 of this Charter;") may on the recommendation of the Senate ("the Senate of the University established under paragraph 25 of this Charter;") , for good cause cancel or withdraw such certificates, diplomas, degrees, including honorary degrees, or any other awards or recognitions as may be provided for in the Statutes ("Statutes of the University made by the Council under this Charter;") .

Membership of theUniversity Section 12(1)(a) the Sponsor ("Zetech University Limited incorporated under the Companies Act;") ; Section 12(1)(b) the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") ; Section 12(1)(c) the Chancellor ("the Chancellor of Zetech University appointed under paragraph 16 of this Charter;") ; Section 12(1)(d) the Council ("the Council of the University established under paragraph 17 of this Charter;") ; Section 12(1)(e) the Vice-Chancellor ; Section 12(1)(f) the Deputy Vice-Chancellors; Section 12(1)(g) the Chief Operations Officer; Section 12(1)(h) the Principals of Constituent Colleges; Section 12(1)(i) the Principals of Colleges within the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 12(1)(j) the Deans, Directors of Faculties, Schools or Institutes; Section 12(1)(k) the Senate ("the Senate of the University established under paragraph 25 of this Charter;") ; Section 12(1)(l) the University ("Zetech University established under paragraph 3 of this Charter;") Faculty; Section 12(1)(m) the Registrar...

Section 14.Sponsor Section 14(1) The Sponsor ("Zetech University Limited incorporated under the Companies Act;") of the University ("Zetech University established under paragraph 3 of this Charter;") is Zetech University ("Zetech University established under paragraph 3 of this Charter;") Limited. Section 14(2)(a) appoint members of the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") ; Section 14(2)(b) raise funds for the benefit of the University ("Zetech University established under paragraph 3 of this Charter;") ; and Section 14(2)(c) promote the objects of the University ("Zetech University established under paragraph 3 of this Charter;") ;

Section 15.Board of Trustees Section to appoint members of the Council ("the Council of the University established under paragraph 17 of this Charter;") ;

Section 16. TheChancellor Section 16(1) There shall be a Chancellor ("the Chancellor of Zetech University appointed under paragraph 16 of this Charter;") of the University ("Zetech University established under paragraph 3 of this Charter;") who shall be appointed by the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") in accordance with the provisions of this Charter ("the Zetech University Charter;") and the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 17. TheCouncil Section 17(1)(a) the Chairperson who shall have at least a master’s degree and who shall be appointed by the Sponsor ("Zetech University Limited incorporated under the Companies Act;") ; Section 17(1)(b) five persons with distinguished qualifications and experience in management one of whom has at least ten years’ experience in university management; Section 17(1)(c) one person of integrity and wide experience in finance and who should be a member in good standing of the relevant professional body; and Section 17(1)(d) the Vice-Chancellor , who shall be the Secretary and an ex-officio member of the Council ("the Council of the University established under paragraph 17 of this Charter;") . Section 18. Functions of theCouncil Section 18(1)(a) formulate the policies of the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 18(1)(b) recruit, promote or remove staff of the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 18(1)(c) with the approval of the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") , receive donations, endowments, gifts, grants or other monies and authorise disbursements; Section 18(1)(d) provide for the welfare of staff and students of the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 18(1)(e) make and approve the Statutes ("Statutes of the University made by the Council under this Charter;") of the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 18(1)(f) support the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") in resource mobilisation for the development of the University ("Zet...

Section 19. Students’ association Section 19(1) There shall be the Students’ Association whose members shall be elected in accordance with procedures prescribed in the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 19(2)(a) be the main forum through which students may express their views; Section 19(2)(b) operate under the general direction of the Senate ("the Senate of the University established under paragraph 25 of this Charter;") in the manner prescribed by the Statutes ("Statutes of the University made by the Council under this Charter;") ; Section 19(2)(c) oversee and plan, in consultation with the Senate ("the Senate of the University established under paragraph 25 of this Charter;") , students’ activities for the promotion of academic, spiritual, moral, harmonious communal life and social well-being; Section 19(2)(d) draw the attention of the appropriate authorities, where necessary, to the special needs of the students; and Section 19(2)(e) undertake other functions as provided in its governance instruments approved by the Senate ("the Senate of the University established under paragraph 25 of this Charter;") .

Section 20.Alumni Association Section 20(1) There shall be an Alumni Association ("the organisation of all graduates and former students of the University as defined under paragraph 20 of this Charter;") of the University ("Zetech University established under paragraph 3 of this Charter;") to be known as Zetech University ("Zetech University established under paragraph 3 of this Charter;") Alumni Association ("the organisation of all graduates and former students of the University as defined under paragraph 20 of this Charter;") or any other name approved by the University ("Zetech University established under paragraph 3 of this Charter;") . Section 23. TheVice-Chancellor Section 23(1) There shall be a Vice-Chancellor of the University ("Zetech University established under paragraph 3 of this Charter;") who shall be appointed by the Council ("the Council of the University established under paragraph 17 of this Charter;") . Section 24. TheSenate Section 24(1) There is established a Senate ("the Senate of the University established under paragraph 25 of this Charter;") of the University ("Zetech University established under paragraph 3 of this Charter;") which shall be responsible for all academic matters of the University ("Zetech University established under paragraph 3 of this Charter;") . Section 25. Functions of theSenate Section 25(1)(a) to satisfy itself regarding the content and academic standard of any course of study in respect of any degree, diploma, certificate or other award of the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 25(1)(b) to propose Statutes ("Statutes of the University made by the Council under this Charter;") to be made by the Council ("the Council of the University established under paragraph 17 of this Charter;") regarding the eligibility of persons for admission to degree, diploma and certificate programmes; Section 25(1)(c) to propose Statutes ("Statutes of the University made by the Council under this Charter;") to be made by the Council ("the Council of the University established under paragraph 17 of this Charter;") regarding the standard of proficiency to be gained in each examination for a degree, diploma, certificates or other awards of the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 25(1)(d) decide which persons have attained prescribed standards of proficiency and are otherwise fit to be granted a degree, diploma, certificate or other awards...

Section 26.University Management Board Section 26(1)(a) the Vice-Chancellor , who shall be the Chairperson; Section 26(1)(b) the Deputy Vice-Chancellors; Section 26(1)(c) the Chief Operations Officer; Section 26(1)(d) the Principals of Constituent Colleges and Colleges within the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 26(1)(e) the Registrars and Directors; and Section 26(1)(f) such other member of the Senior Management as the Council ("the Council of the University established under paragraph 17 of this Charter;") may determine in accordance with the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 27. The Deputy Vice-Chancellors Section 27(1) The Council ("the Council of the University established under paragraph 17 of this Charter;") shall appoint such Deputy Vice-Chancellors as may be necessary to assist the Vice– Chancellor ("the Chancellor of Zetech University appointed under paragraph 16 of this Charter;") in matters prescribed in the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 27(2) A Deputy Vice-Chancellor shall be responsible to the Vice-Chancellor and shall exercise such powers and perform such duties as may be specified by the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 27(3) A Deputy Vice-Chancellor shall hold office for a term of four years and shall be eligible for re-appointment for one further term. Section 27(4) The provisions of this paragraph shall, with the necessary modifications, apply to the Principals of a Constituent College ("a College established by the University pursuant to the recommendation made under paragraph 8 of this Charter but does not include a Constituent College;") .

Section 28. Principals of Colleges within theUniversity Section The principals of Colleges within the University ("Zetech University established under paragraph 3 of this Charter;") shall be appointed in accordance with the Statutes ("Statutes of the University made by the Council under this Charter;") .

Section 29. Chief Operations Officer Section 29(1) There shall be a Chief Operations Officer or any other designated title appointed by the Council ("the Council of the University established under paragraph 17 of this Charter;") who shall be the head of the Administration, Finance, Planning and Development Division of the University ("Zetech University established under paragraph 3 of this Charter;") . Section 29(2) The procedure for appointment of the Chief Operations Officer and his functions shall be specified in the Statutes ("Statutes of the University made by the Council under this Charter;") .

Section 30. Staff of theUniversity Section 30(1) The teaching staff of the University ("Zetech University established under paragraph 3 of this Charter;") shall consist of the Vice-Chancellor , the Deputy Vice-Chancellors, the Principals of Colleges of the University ("Zetech University established under paragraph 3 of this Charter;") , the Librarian and all members of staff who are engaged in teaching and research. Section 30(2) The administrative staff ("the employees of the University who are not directly engaged in teaching or research as the Council may from time to time determine;") of the University ("Zetech University established under paragraph 3 of this Charter;") shall consist of the Registrars, the Directors, Finance Officer and such other members of staff not being engaged in teaching or research, as the Council ("the Council of the University established under paragraph 17 of this Charter;") may determine from time to time. Section 30(3) The technical staff of the University ("Zetech University established under paragraph 3 of this Charter;") shall consist of those staff engaged in laboratory, field instruction, workshops and such similar environs in the teaching depa...

Section 31. Performance of functions in absence of an office-holder Section 31(1) In the event of the incapacity or absence of the Vice-Chancellor , the Chairperson of the Council ("the Chairperson of Zetech University Council appointed under paragraph 17 of this Charter;") may, in consultation with the Board, appoint one of the Deputy Vice-Chancellors to carry out the functions of the Vice-Chancellor during the period of incapacity. Section 31(2) In the event of the simultaneous incapacity of the Vice-Chancellor and the Deputy Vice-Chancellors, the Chairman of Council ("the Council of the University established under paragraph 17 of this Charter;") may appoint any member of the academic staff ("any person appointed to teach, train or to do research at a university and any other employee designated as such by the Council;") at the rank of at least a senior lecturer to perform the functions of the Vice-Chancellor during the period of absence. Section 31(3) In the event of the incapacity of any other member of the University Management Board ("the University Management Board established under paragraph 26 of this Charter;") , the Vice-Chancellor may appoint a suitable person to perfo...

Section 32. Financial year and budget Section 32(1) The financial year of the University ("Zetech University established under paragraph 3 of this Charter;") shall be the period of twelve months commencing the 1st January and ending the 31st December of each year or such other period as may be prescribed by the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 32(2) In the event of any change in the financial year, and for the purposes of the transition from the old financial year to the new financial year, because of this change, the transitional period, whether more or less than twelve months, shall be regarded as a financial year for the purposes of this Charter ("the Zetech University Charter;") . Section 32(3) The University Management Board ("the University Management Board established under paragraph 26 of this Charter;") shall propose and submit annual estimates to the Council ("the Council of the University established under paragraph 17 of this Charter;") two months before the commencement of the financial year for its approval in consultation with the Board of Trustees ("the Board of Trustees established under the Trust Deed incorp...

Section 33.UniversityFunds and resources Section 33(1)(a) tuition and other fees; Section 33(1)(b) donations and grants made to the University ("Zetech University established under paragraph 3 of this Charter;") ; Section 33(1)(c) endowments; Section 33(1)(d) gifts, bequests and trusts; Section 33(1)(e) income from auxiliary activities such as consultancy; and Section 33(1)(f) other sources as the University ("Zetech University established under paragraph 3 of this Charter;") may identify from time to time. Section 33(2) Any funds received by the University ("Zetech University established under paragraph 3 of this Charter;") from any donor shall, unless otherwise approved by the University ("Zetech University established under paragraph 3 of this Charter;") , be used or channeled exclusively for the intended purpose as agreed between such donor and the University ("Zetech University established under paragraph 3 of this Charter;") . Section 33(3) The University ("Zetech University established under paragraph 3 of this Charter;") shall not accept funds which may limit or compromise its freedom or integrity.

Internal Audit Unit Section 34(1) The University Management Board ("the University Management Board established under paragraph 26 of this Charter;") shall establish an Internal Audit Unit, which shall be responsible for internal control and assurance regarding the achievement of the objectives of the University ("Zetech University established under paragraph 3 of this Charter;") and which shall be responsible to the Council ("the Council of the University established under paragraph 17 of this Charter;") . Section 35. Investment of Funds Section 35(1) The Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") may invest any of its funds not immediately required for its purposes, as the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") may determine. Section 35(2) All investments made under this paragraph shall be held in the name of the University ("Zetech University established under paragraph 3 of this Charter;") .

Section 36. Accounts and audit Section 36(1) The Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") shall in consultation with the Council ("the Council of the University established under paragraph 17 of this Charter;") cause to be kept proper books and records of accounts of the income, expenditure, assets and liabilities. Section 36(2) A firm of external auditors appointed by the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") shall audit the accounts of the University ("Zetech University established under paragraph 3 of this Charter;") . Section 37. Instruments and symbols of Governance Section 37(1) The University ("Zetech University established under paragraph 3 of this Charter;") shall be governed as guided by the Act ("the Universities Act, 2012 ();") , this Charter ("the Zetech University Charter;") and the Statutes ("Statutes of the University made by the Council under this Charter;") . Section 37(2) The symbols of authority shall be the seal, the mace, and the logo. Section 37(3) The University ("Zetech University established under paragraph 3 of this Charter;") shall conspicuously display all its instruments of accreditation in its key premises. Section 37(4) Where any instrument of accreditation is revoked under the Act ("the Universities Act, 2012 ();") , the instruments shall be returned to the accrediting authority within fourteen days of the revocation.

Section 38. Instruments of Authority Section Subject to this Charter ("the Zetech University Charter;") , the University ("Zetech University established under paragraph 3 of this Charter;") shall possess the University ("Zetech University established under paragraph 3 of this Charter;") Mace, the Common Seal for signification of documents and the University ("Zetech University established under paragraph 3 of this Charter;") Logo as its instruments of Authority.

Section 39. Common Seal Section 39(1) The Common Seal of the University ("Zetech University established under paragraph 3 of this Charter;") shall be kept in such custody and used only as the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") or Council ("the Council of the University established under paragraph 17 of this Charter;") shall direct, as specified in the Statutes ("Statutes of the University made by the Council under this Charter;") . A document or an instrument duly sealed by authorised officers of the University ("Zetech University established under paragraph 3 of this Charter;") shall be binding and considered as properly executed by the University ("Zetech University established under paragraph 3 of this Charter;") . Section 41. Protection of name Section 41(1) Notwithstanding the provisions of any other written law, a public officer performing functions relating to the registration of companies, business, trust or societies shall not accept for registration an entity that includes the name "Zetech" and "University" together in any order, unless the application for the registration is accompanied by the written consent of the Board of Trustees ("the Board of Trustees established under the Trust Deed incorporated and registered under the Trustees (Perpetual Succession) Act,;") .
