Henri â ANNEXES : Groupement européen de coopération territoriale à responsabilité limitée Euro Contrôle Route CONVENTION Les entités signataires (ci-après dénommées « membres  »), - se référant au règlement (UE) n° 1302/2013 du Parlement européen et du Conseil du 17 décembre 2013, modifiant le règlement (CE) n° 1082/2006 relatif à un groupement européen de coopération territoriale (GECT) en ce qui concerne la clarification, la simplification et l'amélioration de la constitution et du fonctionnement de groupements de ce type (ci-après dénommé « règlement»), - se référant à lâarticle 19 de la directive 2014/47/UE du 3 avril 2014, - se référant à la loi du 26 novembre 2009 (Pays-Bas) (loi dâapplication du règlement relatif aux GECT, NL), (la législation de lâÃtat membre où le Groupement européen de coopération territoriale à responsabilité limitée Euro Contrôle Route a son siège statutaire), - tenant compte des dispositions relatives aux GECT des autres Ãtats membres concernés où le Groupement européen de coopération territoriale à responsabilité limitée Euro Contrôle Route nâa pas son siège statutaire et des dispositions nationales des pays tiers concernés, - considérant lâarrangement administratif créant Euro Contrôle Route (ECR), conclu précédemment et signé le 5 octobre 1999 par les pays du Benelux et la France, puis élargi à lâAllemagne, au Royaume-Uni, à lâIrlande, à lâAutriche, à la Pologne, à la Hongrie, à la Bulgarie, à la Roumanie, à la Lituanie et à la Croatie, sur la base de lâarrangement administratif et signé le 22 mars 2007, - reconnaissant quâun Groupement européen de coopération territoriale, en tant que personnalité juridique, offre la solution la plus efficace pour développer la coopération entre les membres, conviennent à lâunanimité, afin dâadhérer à la présente convention (ci-après dénommée « convention  ») et de constituer le Groupement européen de coopération territoriale à responsabilité limitée Euro Contrôle Route, des points suivants : Article I ÃNONCà DE MISSION Le Groupement européen de coopération territoriale à responsabilité limitée Euro Contrôle Route (ci-après dénommé « groupement  ») résulte de la coopération dâorganismes de lâUnion européenne et de pays tiers mentionnés à lâarticle VII chargés de contrôler le respect de la réglementation en matière de transport routier, afin de rendre ce secteur sûr, équitable et socialement et écologiquement durable. Article II NOM, SIÃGE STATUTAIRE ET ÃTENDUE TERRITORIALE DU GROUPEMENT 1. Le nom complet - le nom complet en Croatie est : Europska grupacija za teritorijalnu suradnju Euro Contrôle Route OgraniÄen, abrégé en : ECR EGTS ; - le nom complet aux Pays-Bas est : Euro Contrôle Route Europese groepering voor territoriale samenwerking beperkt, abrégé en : ECR EGTS ; - le nom complet en France est : Groupement Européen de Coopération Territoriale Euro Contrôle Route à responsabilité limitée, abrégé en : ECR GECT ; - le nom complet en Allemagne est : Euro Contrôle Route Europäischer Verbund für Territoriale Zusammenarbeit mit beschränkter Haftung, abrégé en : ECR EVTZ ; - le nom complet en Irlande est : Euro Contrôle Route Grúpáil Eorpach um Chomhar CrÃochach Teoranta, abrégé en : ECR EGTC ; - le nom complet au Luxembourg est : Groupement Européen de Coopération Territoriale Euro Contrôle Route à responsabilité limitée, abrégé en : ECR GECT ; - le nom complet en Pologne est : Euro Contrôle Route Europejskie Ugrupowanie WspóÅpracy Terytorialnej z ograniczonÄ odpowiedzialnoÅciÄ , abrégé en : ECR EUWT ; 2. Le siège statutaire du groupement est sis au Veraartlaan 10, 2288 GM Rijswijk (ZH), Pays-Bas. Article III STATUT JURIDIQUE 1. Le groupement est une personnalité juridique gérée de façon indépendante, agissant en tant quâentité juridique de droit public à but non lucratif. Il acquiert sa personnalité juridique lors de son enregistrement et, en tant que tel, conformément à la législation des Pays-Bas. 2. Le groupement possède la capacité juridique la plus large et peut, en particulier, obtenir des droits, assumer des obligations, acquérir des biens meubles ou immeubles et être partie dans une procédure devant un tribunal. Article IV OBJECTIF ET TÃCHES 1. Lâobjectif du groupement est dâaméliorer les normes de contrôle de lâapplication de la réglementation relative aux véhicules de transport de marchandises et de personnes, afin de renforcer la sécurité routière ainsi que la cohésion économique, sociale et territoriale. 2. Les tâches spécifiques du groupement sont les suivantes : a) planifier des activités conjointes de contrôle du respect de la réglementation au moyen de technologies existantes, nouvelles ou en développement, afin de garantir une efficacité maximale ; b) promouvoir chez les membres lâutilisation dâoutils de contrôle du respect de la réglementation communs ou totalement interopérables, au moyen de technologies existantes, nouvelles ou en développement, afin dâen garantir lâefficacité maximale ; c) fournir un point focal pour la coordination des activités transfrontalières de contrôle du respect de la réglementation en Europe, en analysant leurs résultats et en rapportant leurs enseignements ; d) établir des programmes de formation communs et promouvoir les échanges transfrontaliers dâexpériences ; e) tenir des consultations permanentes sur le développement des positions communes relatives à la politique de contrôle du respect de la réglementation dans le but dâétablir des pratiques claires et uniformes ainsi quâune législation univoque et dont lâapplication est contrôlable. f) partager les meilleures pratiques et lâexpertise concernant lâéquipement utilisé pour effectuer les contrôles, en incluant, lorsque cela est possible, la promotion de développements technologiques communs ; g) garantir lâéchange régulier et fiable dâinformations relatives au contrôle du respect de la réglementation avec pour objectif de contribuer aux systèmes de classification par niveau de risque nationaux et européens. 3. La mise en Åuvre de ces tâches peut être cofinancée par lâUnion européenne ainsi que par dâautres mécanismes financiers disponibles dans la zone dâopération des membres. 4. Le groupement sâacquitte de ses tâches, projets et programmes avec ou sans contribution financière des membres sur la base des dispositions de lâUnion européenne applicables aux membres. 5. En conséquence de ses tâches, le groupement peut se livrer à des activités économiques telles que des services à caractère intellectuel, des documents et des publications ou octroyer le droit dâutiliser sa propriété intellectuelle, puis affecter les revenus à ses activités, à condition que cette participation soit conforme aux dispositions légales applicables et ne présente pas de danger pour ses objectifs. Article V ORGANES ET RESPONSABLES 1. Les organes du groupement sont : â lâassemblée générale ; â le conseil de surveillance ; â le directeur. 2. Les responsables du groupement sont : â le président de lâassemblée générale ; â le vice-président de lâassemblée générale ; â les membres élus du conseil de surveillance. Article VI COMPÃTENCES ET TÃCHES DES ORGANES ET DES RESPONSABLES 1. Assemblée générale 1.1. Lâassemblée générale est lâorgane de décision suprême du groupement. Elle exerce sa compétence exclusive au travers de toutes les personnes physiques représentant les personnalités juridiques des membres. Compétences 1.2. Lâassemblée générale a une compétence exclusive pour : a) lâapprobation de la présente convention et des statuts et des modifications qui y sont apportées ; b) lâadoption du plan de travail et du budget annuels, du projet de budget quinquennal et de la stratégie générale ; c) lâapprobation et la décharge des comptes annuels et des rapports financiers ; d) décider de lâadmission de nouveaux membres, de lâexclusion et du retrait des membres ; e) décider lâapprobation ou la dénonciation dâun protocole dâaccord avec un partenaire associé ; f) lâapprobation du montant de la contribution annuelle pour une période de trois ans ; g) la désignation, la révocation, la rémunération ou lâindemnisation des responsables ; h) décider de lâordre de la présidence tournante ; i) lâélection ou la désignation, la rémunération ou lâindemnisation du directeur ; j) la définition des conditions dâemploi du personnel du groupement ; k) lâapprobation de la création de groupes de travail ; l) lâapprobation des engagements financiers du directeur, sous réserve du point 4.3 c) du présent article ; m) lâapprobation du contrat de travail du directeur ; n) lâapprobation des contrats établis entre le groupement et le directeur, ses responsables, leurs proches tels que définis par le droit national civil des Pays-Bas ; o) lâexercice des demandes de dédommagement dans les rapports juridiques internes et externes du groupement ; p) décider la dissolution du groupement sans successeur légal ; q) décider de toutes les autres questions légalement confiées à la compétence exclusive de lâassemblée générale par le règlement et les autres dispositions de la présente convention, par dâautres décisions de lâassemblée générale ou dâautres règles en vigueur. 2. Président et vice-président de lâassemblée générale 2.1. Le président et le vice-président de lâassemblée générale sont les hauts représentants du groupement. 2.2. La présidence de lâassemblée générale est occupée par chaque membre selon un ordre de rotation établi par lâassemblée générale. Le précédent vice-président de lâassemblée générale occupe automatiquement la présidence lors de la période suivante. 2.3. Le vice-président de lâassemblée générale remplace le président conformément aux statuts. Tâches 2.4. Les tâches du président de lâassemblée générale sont les suivantes : a) préparer et présider les réunions de lâassemblée générale et du conseil de surveillance ; b) signer le procès-verbal de lâassemblée générale après son adoption par celle-ci ; c) représenter le groupement à titre protocolaire en concertation avec le directeur ; d) effectuer les tâches confiées légalement à sa compétence exclusive par la présente convention, les statuts, une décision de lâassemblée générale ou dâautres règles en vigueur relatives au groupement. â 3. Conseil de surveillance 3.1. Le conseil de surveillance est composé du président, du vice-président et de trois autres membres élus parmi les membres de lâassemblée générale disposant du droit de vote. Le directeur assiste aux réunions du conseil de surveillance sans droit de vote. Responsabilités 3.2. Le conseil de surveillance est chargé de : a) surveiller le fonctionnement et la gestion du groupement ; à cette fin, il peut demander des rapports au directeur ou à lâauditeur externe et lâaccès aux dossiers et documents économiques, financiers et techniques ; b) garantir que le groupement travaille conformément aux lois applicables aux Pays-Bas et, dans certains cas, conformément aux règles applicables dans les Ãtats membres et pays tiers concernés, ainsi quâà la présente convention, aux statuts et aux règles internes du groupement ; c) donner son opinion concernant le rapport et le budget annuels du groupement et collaborer à cet égard avec lâauditeur externe du groupement ; d) donner son accord préalable aux engagements financiers du directeur, correspondant aux limites énoncées dans les règles internes ; e) informer lâassemblée générale et le directeur, afin de convoquer une réunion de lâassemblée générale sâil a connaissance des problèmes suivants : â une violation du droit pendant lâexercice du groupement ou un évènement portant sérieusement préjudice à ses intérêts (inaction) pour lequel la prévention ou lâatténuation des conséquences requiert la décision de lâassemblée générale ; â une violation de la présente convention, des statuts ou des règles internes par des responsables ou du personnel du groupement. f) prendre toutes les décisions découlant de ses tâches et concernant les affaires urgentes lorsquâune décision ne peut être repoussée à la réunion suivante de lâassemblée générale. 4. Directeur 4.1. Le directeur est désigné par lâassemblée générale pour une durée maximum de trois ans, qui peut être renouvelée dâun commun accord et est directement employé par le groupement sur la base dâun contrat de travail ou détaché par son employeur au profit du groupement. 4.2. Le directeur dispose des compétences exclusives de direction juridique, professionnelle, financière et administrative pour le groupement, en conformité avec la législation applicable, les statuts, les décisions de lâassemblée générale, les autres réglementations et règles professionnelles applicables. Le directeur crée et maintient les conditions nécessaires à un fonctionnement efficace. Tâches 4.3. Les tâches du directeur sont les suivantes : a) représenter légalement le groupement ; b) représenter le groupement à lâextérieur en concertation avec le président ; c) exercer le pouvoir de signature et de paiement ainsi que lâautorité sur les comptes bancaires du groupement, en tenant compte du plafond des sommes déterminé par lâassemblée générale, comme détaillé dans les règles internes ; d) contrôler et assumer la responsabilité pour les questions relatives aux revenus et dépenses du groupement ; e) coordonner le fonctionnement interne du groupement ; f) coordonner les groupes de travail ; g) effectuer les tâches relevant de la compétence du directeur selon dâautres règles applicables ; h) prendre les décisions concernant toutes les questions ne relevant pas de la compétence des autres organes ou responsables. 4.4. Les responsabilités du directeur sont les suivantes : a) mettre en Åuvre et exécuter les tâches et objectifs du groupement, approuvés par lâassemblée générale ; b) élaborer la stratégie générale du groupement ; c) coopérer avec les membres de lâassemblée générale ainsi quâavec les autres organes et responsables du groupement ; d) assurer la préparation des réunions de lâassemblée générale et du conseil de surveillance en étroite coopération avec le président de lâassemblée générale ; e) rendre compte à lâassemblée générale concernant le travail accompli par le groupement ; f) préparer le rapport et le budget annuels, le budget quinquennal et les autres comptes financiers et de gestion ; g) collaborer avec le conseil de surveillance et les autorités néerlandaises dans les processus de surveillance et de contrôle du groupement ; h) respecter les obligations de notification et de publication, définies par le règlement applicable en vigueur pour le groupement ; i) lancer, développer et maintenir des partenariats ; j) effectuer les tâches réputées relever de la responsabilité du directeur selon la législation ou dâautres règles applicables. 4.5. Le directeur est le chef du secrétariat. Les tâches et responsabilités du secrétariat sont définies dans les règles internes. Article VII STATUTS DE MEMBRE ET DE PARTENAIRE ASSOCIà 1. Le groupement est une entité constituée de membres et de partenaires associés. 2. Statut de membre 2.1. La durée de lâadhésion est indéfinie. 2.2. Sont admissibles en tant que membres : 2.2.1. les Ãtats membres de lâUnion européenne (UE) ; 2.2.2. les entités des pays tiers limitrophes dâau moins un des Ãtats membres cités au point 2.2.1, y compris leurs régions ultrapériphériques où les Ãtats membres et les pays tiers effectuent conjointement des actions de coopération territoriale ou mettent en Åuvre des programmes avec ou sans le soutien de lâUnion européenne, conformément à lâarticle 3 paragraphe 1 point f), lâarticle 3 bis et lâarticle 7 paragraphe 3 du règlement. 2.3. Les membres sont représentés dans le groupement par des entités publiques actives dans le contrôle du respect de la réglementation relative au transport professionnel de marchandises et de personnes par route provenant des Ãtats membres de lâUnion européenne ou des pays tiers concernés. 2.4. Adhésion Lâadhésion au groupement est possible pour une entité publique, à condition que le futur membre satisfasse à toutes les spécifications convenues pour lâadhésion, adopte la convention et les statuts du groupement et que lâassemblée générale ait voté en faveur de son adhésion au groupement. 3. Statut de partenaire associé Les institutions européennes, publiques ou privées, concernées par lâacquis en matière de transport routier, après la conclusion dâun protocole dâaccord reflétant lâobjectif et les tâches du groupement et sous réserve dâun vote favorable de lâassemblée générale. 4. Les droits et devoirs respectifs des membres et des partenaires associés qui sont invités à la réunion de lâassemblée générale sont détaillés dans les statuts et les règles internes. 5. La liste des membres du groupement est jointe en annexe à la présente convention. Article VIII RESPONSABILITà DU GROUPEMENT ET DE SES MEMBRES 1. Le groupement a une responsabilité limitée. La responsabilité limitée signifie que la responsabilité dâun membre ne peut aller au-delà de sa contribution financière annuelle. Si les actifs du groupement sont insuffisants pour couvrir ses engagements, ses membres nâassument aucune autre responsabilité. 2. Eu égard au point 1, lâexpression « responsabilité limitée » a été ajoutée au nom complet du groupement. 3. La responsabilité des membres est maintenue, même après quâils ont cessé dâêtre membres, pour les obligations découlant des activités du groupement durant leur adhésion. 4. Le groupement est responsable des actes de ses organes à lâégard des tiers, même si ces actes ne sont pas énoncés dans les tâches du groupement. Article IX ENREGISTREMENT, DURÃE ET DISSOLUTION 1. Le groupement peut commencer à opérer après la décision définitive concernant son enregistrement selon lâarticle 5 du règlement. 2. Le groupement sâassure que dans un délai de 10 jours calendaires suivant lâenregistrement ou la publication de la convention et des statuts, a) une demande est envoyée au Comité des régions sur le modèle fourni en annexe du règlement. Le Comité des régions transmet alors cette demande à lâOffice des publications de lâUnion européenne en vue de la publication dâun avis annonçant la création du groupement ; b) les membres en informent les Ãtats membres et les pays tiers. 3. Le groupement est mis en place pour une durée indéfinie, à compter de la date de son enregistrement légal. 4. Selon lâarticle 14 du règlement, sur la base dâune demande effectuée par toute autorité compétente ayant un intérêt légitime, les Pays-Bas, en tant quâautorité compétente, dissolvent le GECT sâils constatent que celui-ci ne satisfait plus aux exigences énoncées dans le règlement ou quâil outrepasse les tâches qui y sont énoncées et si le GECT ne corrige pas son activité irrégulière dans les délais fixés par le tribunal ou lâautorité compétents. Nonobstant les dispositions relatives à la dissolution, prévues à lâarticle 14 du règlement, la dissolution peut également résulter dâune décision prise par lâassemblée générale du GECT. Le GECT est dissous par lâassemblée générale si une décision à cet effet est prise à lâunanimité par tous les Ãtats membres. Article X RÃGLEMENT, GESTION ET RECRUTEMENT DU PERSONNEL 1. Les questions relatives au personnel du groupement sont gérées en vertu de la législation de lâUnion européenne, du règlement, de la convention, des statuts, des règles internes ainsi que du droit du travail et du droit privé applicables des Pays-Bas et des Ãtats membres et pays tiers concernés. 2. Le groupement peut employer directement du personnel ou avoir recours à du personnel détaché. 3. Lâadministration du personnel, les procédures de recrutement et les contrats de travail relèvent de la responsabilité du directeur. 4. Lâassemblée générale instaure des règles relatives à la gestion et au recrutement du personnel. 5. Les principes de recrutement du personnel dans le groupement sont les suivants : a) lâefficacité pour le but recherché ; b) lâéthique professionnelle, le travail objectif et impartial ; c) lâégalité des chances, câest-à -dire un traitement égal sans distinction de race, dâidées politiques, philosophiques ou religieuses, de sexe ou dâorientation sexuelle, ce qui inclut le bien-fondé du principe de lâUnion européenne de libre circulation des personnes. Article XI MODALITÃS DE RECONNAISSANCE MUTUELLE, CONTRÃLE FINANCIER DE LA GESTION DES FONDS PUBLICS 1. Les membres reconnaissent mutuellement les autorités compétentes comme autorités principales ainsi que la primauté du droit national selon les lois des Pays-Bas. Parallèlement, les membres prennent acte du devoir dâinformation des autorités compétentes des Pays-Bas envers les autorités compétentes des Ãtats membres et des pays tiers concernés où le groupement nâa pas son siège statutaire. 2. Les membres reconnaissent lâapplication de la législation de lâUnion européenne ainsi que celle des Pays-Bas, relatives aux systèmes de contrôle des fonds de lâUnion européenne en relation avec des activités du groupement cofinancées par celle-ci. 3. Il convient de mettre à disposition en anglais toute la documentation nécessaire pour un contrôle financier indépendant. Article XII LOI APPLICABLE 1. Les membres se conformeront au règlement, à la présente convention, aux statuts et aux règles internes régissant le groupement ainsi quâaux dispositions nationales des Pays-Bas et des Ãtats membres et pays tiers concernés. 2. La loi néerlandaise est applicable à toutes les procédures administratives et règles comptables et budgétaires ainsi quâaux contrats de travail. Toute entité ou institution légale créée par le groupement dans un Ãtat membre ou pays tiers concerné applique les règles nationales du pays où elle a été créée. 3. La loi néerlandaise est applicable à lâinterprétation, à la mise en Åuvre et à lâapplication de la présente convention. Article XIII PROCÃDURE DâAMENDEMENT DE LA CONVENTION 1. Tout membre dispose du droit de proposer des modifications à la présente convention. 2. Les membres statuent sur lâacceptation de la modification proposée par décision unanime de lâassemblée générale. 3. Il convient dâapporter les amendements à la présente convention conformément aux articles 4 et 5 du règlement. 4. La proposition dâune modification de la présente convention aux autorités compétentes est présentée conformément au règlement et les réglementations des membres concernés y ayant trait sont appliquées. Article XIV RÃGLEMENT DES LITIGES 1. En cas de litige concernant lâinterprétation ou la mise en Åuvre de la présente convention, les membres font tous les efforts possibles pour régler celui-ci à lâamiable et par le dialogue. 2. Si une action en justice est nécessaire pour régler un litige, la législation nationale des Pays-Bas et, dans la mesure du possible et si cela s'avère nécessaire, la législation du membre concerné sâappliquent en vertu de lâarticle 15 du règlement. Article XV APPROBATION ET SIGNATURE 1. Le libellé de la présente convention et des statuts est approuvé par lâassemblée générale. 2. Suite à lâapprobation mentionnée au point 1, les mandataires des membres signent la présente convention en vertu des règles de leur pouvoir de signature. Article XVI DISPOSITIONS FINALES 1. Les règles de procédure conformes au règlement sâappliquent à compter du jour où la présente convention entre en vigueur et lorsque ses dispositions deviennent applicables. 2. Lâinterprétation de la présente convention est régie, mutatis mutandis , par le règlement, les statuts du groupement, ses règles internes et les règles nationales applicables des Pays-Bas ainsi que par les décisions de lâassemblée générale, sur proposition du directeur en vertu des règles concernées. 3. Le texte de la présente convention, qui comprend dix-neuf pages incluant lâannexe, est disponible dans la ou les langues officielles des membres et les autres versions linguistiques nécessaires au sein du groupement. 4. Au moins une des versions en langue originale est déposée au siège statutaire du groupement. Des copies originales supplémentaires sont remises à chaque représentant des membres et services des Ãtats membres et pays tiers concernés, le cas échéant. Les membres ont lu, interprété et parfaitement compris lâobjet de la présente convention. Par la suite, par lâentremise de leurs représentants, ils ont signé cette convention qui reflète fidèlement leur volonté. STATUTS du Groupement européen de coopération territoriale à responsabilité limitée Euro Contrôle Route Les membres signataires (ci-après dénommés « membres »), conformément à la convention (ci-après dénommée « convention ») du Groupement européen de coopération territoriale à responsabilité limitée Euro Contrôle Route (ci-après dénommé « groupement »), conviennent à lâunanimité des points suivants : Article I DROITS, DEVOIRS ET RÃGLES DE PROCÃDURE CONCERNANT LES MEMBRES ET LES PARTENAIRES ASSOCIÃS Les règles du présent article sâappliquent, mutatis mutandis , aux membres du groupement (ci-après dénommés « membres ») ainsi quâaux partenaires associés du groupement (ci-après dénommés « partenaires associés »). 1. Droits et obligations 1.1. Les membres et les partenaires associés ont des droits et des obligations découlant soit de leur statut de membre du groupement, soit de leur statut de partenaire associé fondé sur un protocole dâaccord signé entre le groupement et le partenaire associé concerné. 1.2. Les droits et obligations sont les suivants : 1.2.1. Membres Droits a) assister aux réunions de lâassemblée générale et à toutes les autres réunions du groupement avec en particulier des droits : droit dâinitiative, droit de discussion, droit de consultation, droit de vote, droit dâaccès ; b) exercer les fonctions de président ou de vice-président ou être membre du conseil de surveillance ; c) sâimpliquer dans lâélaboration des positions et politiques du groupement ; d) participer aux événements organisés par le groupement. Obligations a) participation et engagement complets dans les activités du groupement ; b) paiement de la contribution annuelle au groupement. 1.2.2. Partenaires associés Droits a) participer sans droit de vote aux réunions de lâassemblée générale ainsi quâà toutes les autres réunions dâECR, mais avec les droits de consultation et de discussion (sur invitation uniquement). Le groupement se réserve le droit dâorganiser des réunions uniquement destinées aux membres ; b) assistance et coopération mutuelle (lorsque cela est possible) sous forme écrite avec les membres. Obligations a) contribuer financièrement au fonctionnement du GECT, comme convenu dans le protocole dâaccord ; b) répondre aux demandes dâassistance et de coopération mutuelle émanant des membres et des partenaires associés du groupement ; c) participer activement aux activités du groupement. 2. Règles de procédure Statut de membre 2.1. Adhésion 2.1.1. Les nouveaux membres doivent approuver les mesures et procédures énoncées dans la convention, les présents statuts et les règles internes avant leur adhésion. 2.1.2. à cette fin, la demande dâadhésion dâun futur membre, avec lâaccord de son principal organe de décision et la signature de son représentant habilité, doit être soumise au président de lâassemblée générale conformément à lâarticle VI point 2.4 d) de la convention. 2.2. Cessation dâadhésion 2.2.1. Lâadhésion en tant que membre cesse en cas de : a) retrait du groupement de la part dâun membre ; b) exclusion par lâassemblée générale ; c) décision légale dâune autorité ; d) dissolution du groupement. 2.2.2. Si un membre décide de se retirer, le préavis doit être envoyé au président de lâassemblée générale avant le 30 juin de lâannée au cours de laquelle le membre souhaite se retirer, par courrier recommandé, avec une notification écrite signée par le représentant national habilité. 2.2.3. Le retrait du statut de membre prend effet à compter du 31 décembre de lâannée en cours. 2.2.4. Les obligations en cours du membre doivent être assumées jusquâau jour de son retrait effectif. Dans des cas exceptionnels, lâassemblée générale peut décider de le dispenser de ses obligations par le biais dâune résolution. 2.2.5. constitue un motif dâexclusion le fait pour un membre de ne pas participer au travail du groupement, ne pas remplir ses obligations telles quâénoncées dans la convention, les présents statuts et les règles internes, en particulier si le membre : a) omet de sâacquitter de sa contribution annuelle ou ne sâen acquitte pas conformément aux règles internes, omet de répondre ou ne répond pas clairement à la question contenue dans la notification écrite du directeur concernant les paiements précédents, actuels et futurs effectués par celui-ci ; ou b) ne participe pas activement au travail du groupement pendant 12 mois et omet de répondre ou ne répond pas clairement à la question contenue dans la notification écrite du directeur concernant le désir de celui-ci de conserver son statut de membre ; ou c) ne participe pas aux activités du groupement, compromettant ainsi la réalisation de ses objectifs, exerce une influence nuisible sur le groupement ou nuit à sa réputation. Dans le cas 2.2.5 a) ou b), à lâinitiative du directeur ou, dans le cas 2.2.5 c), à lâinitiative de nâimporte quel membre détenant des preuves, le directeur peut présenter une proposition dâexclusion dâun membre lors de la réunion suivante de lâassemblée générale. 2.2.6. La décision dâexclusion est prise par lâassemblée générale sous forme de résolution. Le membre peut disposer dâun recours juridique en vertu de lâarticle X point 2 des présents statuts. 2.2.7. Lorsque la procédure de résiliation du statut de membre a abouti, lâannexe de la convention est mise à jour. Les informations relatives à ce membre sont supprimées conformément à la procédure énoncée dans les règles internes. Statut de partenaires associés 2.3 Résiliation du statut de partenaire associé Le statut de partenaire associé est résilié sur décision de lâassemblée générale lorsque : a) le partenaire associé ne remplit pas les termes du protocole dâaccord ; b) lâassemblée générale estime quâil nâest plus dans lâintérêt du groupement de maintenir la coopération avec le partenaire associé. Article II DESCRIPTION DÃTAILLÃE DU FONCTIONNEMENT DES ORGANES, DES RÃGLES DE COMPÃTENCE ET DES PROCÃDURES DÃCISIONNELLES DU GROUPEMENT 1. Dispositions générales 1.1. Les organes du groupement sont : a) lâassemblée générale ; b) le conseil de surveillance ; c) le directeur. 1.2. Responsables du groupement : a) le président ; b) le vice-président ; c) les autres membres du conseil de surveillance. 1.3. Les activités des organes et des responsables du groupement sont définies par leurs compétences et les règles internes. 1.4. Les règles détaillées et les procédures décisionnelles des organes ainsi que la détermination du nombre de représentants des membres dans lesdits organes sont décrites dans les présents statuts et dans les règles internes. 2. Lâassemblée générale Composition 2.1. Lâassemblée générale se compose des membres et des partenaires associés invités. Le président de lâassemblée générale peut inviter des tierces parties à assister aux réunions de lâassemblée générale conformément aux règles internes. Les membres exercent leurs droits et sâacquittent de leurs obligations par lâintermédiaire de représentants, ou de personnes autorisées en cas dâempêchement. Fréquence des réunions 2.2. Au cours des trois premières années suivant la date dâenregistrement du groupement, lâassemblée générale se réunit au moins deux fois par an. Par la suite, lâassemblée générale définit la fréquence des réunions de lâassemblée générale. Principes de prise de décision / vote 2.3. Chaque membre dispose dâune voix et chaque voix a une valeur identique. Si deux ou plus de membres représentent le même Ãtat Membre ou pays tiers, les procédures décisionnelles fonctionnent selon le principe « un pays, un vote ». Les représentants du pays concerné sont invités à identifier le membre disposant du droit de vote au début de la réunion de lâassemblée générale. 2.4. Les procédures décisionnelles visent à atteindre un consensus, mais nâexcluent pas les votes à la majorité qualifiée ou à lâunanimité, conformément aux conditions énoncées ci-après. 2.5. Lâassemblée générale prend ses décisions par vote à main levée sauf pour les questions de personnel ou dâautres questions déterminées par celle-ci. La méthode de vote à bulletin secret est définie dans les règles internes. 2.6. Le droit de vote doit sâexercer lors de la réunion de lâassemblée générale. Le vote électronique nâest pas permis. Les membres ne pouvant pas participer à la réunion peuvent exercer leur droit de vote par procuration. 2.7. Les membres tirant un avantage de toute nature ou ayant un intérêt dans lâopération juridique devant être effectuée ne peuvent pas participer à la procédure de prise de décision de lâassemblée générale portant sur cette opération. Les services offerts par le groupement conformément à ses buts et objectifs initiaux, disponibles à tous sans restrictions, ne sont pas considérés comme un avantage. 2.8. Pour les décisions prises à lâunanimité, tel que mentionné à lâarticle 2.10, lâassemblée générale voit son quorum atteint si au moins deux tiers de lâensemble des membres disposant du droit de vote sont présents ou exercent leur droit de vote par procuration. Pour toute autre décision, lâassemblée générale voit son quorum atteint lorsque la moitié de lâensemble des membres disposant du droit de vote sont présents ou représentés par un mandataire. 2.9. Lâassemblée générale prend ses décisions à la majorité absolue des membres présents (procurations comprises) sauf pour les questions visées aux points 2.10 et 2.11. Le calcul de la majorité absolue sâeffectue sur la base des suffrages exprimés. 2.10. Une décision unanime (calculée sur la base des suffrages exprimés) des membres disposant du droit de vote est nécessaire pour : a) lâadoption de la convention et des présents statuts durant le processus de création du groupement ; b) les amendements apportés à la convention et aux présents statuts ; c) lâadmission de membres. 2.11. Une majorité qualifiée des deux tiers (calculée sur la base des suffrages exprimés) des membres est nécessaire pour : a) les amendements aux règles internes ; b) les décisions concernant la contribution annuelle, les rapports et comptes annuels, les budgets annuels et quinquennaux ; c) lâadoption ou la dénonciation dâun protocole dâaccord avec des partenaires associés ; d) lâexclusion dâun membre e) les décisions relatives aux questions nécessitant un vote à bulletin secret. 2.12. Si une proposition ne parvient pas à être adoptée lors du vote, elle doit être considérée comme rejetée. Cette question peut néanmoins faire lâobjet dâautres votes, avec un contenu amendé, lors dâune même réunion de lâassemblée générale si tous les membres disposant du droit de vote sont physiquement présents dans la salle. Dans le cas contraire, le vote peut sâeffectuer par écrit ou placé à lâordre du jour de la réunion suivante de lâassemblée générale. Procès-verbaux et publication 2.13. Les procès-verbaux de lâassemblée générale suivent les règles généralement acceptées aux Pays-Bas. 2.14. Les procès-verbaux sont signés par le président de lâassemblée générale après leur adoption par celle-ci. 2.15. Le rapport annuel du groupement est rendu public. Le lieu et la date de sa publication sont définis par la réglementation applicable aux Pays-Bas, mais il doit être également au moins publié sur la page internet du groupement. 3. Président et vice-président de lâassemblée générale 3.1. Si le membre désigné comme président de lâassemblée générale se trouve dans lâimpossibilité de remplir ses missions, le vice-président assume les tâches et responsabilités de la présidence jusquâà ce que le membre soit à nouveau capable de remplir son rôle. 3.2. Le président de lâassemblée générale reprend les tâches du directeur et se voit confier les pleins pouvoirs sur le fonctionnement du groupement lorsque le directeur se trouve dans lâincapacité dâeffectuer ses tâches ou voit ses activités suspendues par lâassemblée générale jusquâà ce quâun nouveau directeur reprenne ses fonctions. 4. Conseil de surveillance 4.1. Le conseil de surveillance est convoqué par le président de lâassemblée générale. 4.2. Le conseil de surveillance se réunit chaque fois que nécessaire, mais au moins deux fois par an. Les procès-verbaux des réunions sont disponibles pour les autres membres. 4.3. Le conseil de surveillance voit son quorum atteint si le président ou le vice-président de lâassemblée générale et au moins deux des autres membres disposant du droit de vote sont présents. 4.4. Les décisions du conseil de surveillance sont prises à la majorité simple. En cas de partage égal des voix, la proposition doit être considérée comme rejetée. Il est possible de voter à nouveau sur cette question, avec un contenu amendé, durant la même réunion du conseil de surveillance et, en cas de nouvel échec de la proposition lors du vote, la question peut être inscrite à lâordre du jour des prochaines réunions du conseil de surveillance. 4.5. Le mandat dâun membre élu expire : a) si un membre élu remet une démission écrite au président de lâassemblée générale, le jour même de la réunion de lâassemblée générale suivant sa démission ; b) si un membre élu est retiré de son poste par lâassemblée générale lorsque celui-ci a délibérément et sérieusement menacé les intérêts du groupement. 4.6. Le conseil de surveillance peut définir ses propres règles de procédure. 5. Directeur Le directeur gère les activités du groupement avec la diligence attendue dâune personne assumant un tel poste, en prenant, avant tout, en compte les intérêts du groupement. Désignation/sélection/cessation 5.1. Le directeur est désigné par lâassemblée générale pour une durée maximale de trois ans, renouvelables dâun commun accord, et directement employé par le groupement sur la base dâun contrat de travail, ou détaché par son employeur au profit du groupement. 5.2. La procédure de sélection du directeur relève de la responsabilité de lâassemblée générale en vertu des modalités spécifiées dans les règles internes. 5.3. Lâemploi du directeur cesse dans les cas suivants : a) expiration du terme prévu de son contrat de travail ou de détachement ; b) démission du poste de directeur en vertu des dispositions de son contrat ; c) licenciement du directeur du fait dâune perte de confiance ; d) cessation des activités du groupement. 5.4. La démission du directeur est approuvée par lâassemblée générale soit avec effet immédiat, soit après lâexpiration dâune période de préavis préalablement définie. Dans les cas visés aux points c) et d) de lâarticle 5.3, le contrat de travail est résilié avec effet immédiat à lâinitiative de tout membre de lâassemblée générale ou sur proposition du président, en se fondant sur les preuves présentées et les motifs découverts. Responsabilité 5.5. Le directeur est tenu pour responsable des préjudices quâil cause au groupement selon le droit du travail régissant son contrat. 5.6. Le directeur signe officiellement les documents du groupement en vertu de lâarticle VI 4.3 c) de la convention. Conflit dâintérêt 5.7. Le directeur ou ses proches ne peuvent pas être élus membres de lâassemblée générale, du conseil de surveillance ou auditeurs externes du groupement. 5.8. Le directeur ou ses proches ne peuvent pas recevoir dâavantages de la part du groupement, sauf si ces avantages sont déjà pleinement disponibles à toute autre personne. Les avantages peuvent revêtir la forme de services financiers ou non financiers offerts par le groupement. 5.9. Le directeur est tenu de déclarer dans son contrat de travail quâil nâa aucun conflit dâintérêt avec son poste dans le groupement. Article III LOI APPLICABLE Le fonctionnement du groupement est régi par le règlement (UE) n° 1302/2013 du Parlement européen et du Conseil du 17 décembre 2013 modifiant le règlement (CE) n° 1082/2006 relatif à un groupement européen de coopération territoriale (GECT) en ce qui concerne la clarification, la simplification et l'amélioration de la constitution et du fonctionnement de groupements de ce type , la convention, les présents statuts, les règles internes ainsi que par les règles du droit national applicable des Pays-Bas et des autres Ãtats membres et pays tiers concernés. Article IV QUESTIONS DE PERSONNEL ET PROCÃDURES EN MATIÃRE DâEMPLOI 1. Les questions de personnel relèvent de la compétence du directeur. 2. Le directeur est habilité à décider quel candidat employer, en se fondant sur une procédure de sélection objective suivie par une procédure décisionnelle telle quâétablie dans les règles internes. Le conseil de surveillance vérifie si ladite procédure a été correctement suivie et approuve la décision prise par le directeur. Les membres du conseil de surveillance sont habilités à participer à la procédure de sélection. Article V LANGUE DE TRAVAIL DU GROUPEMENT 1. La langue de travail du groupement est lâanglais. Une exception est faite en cas de procédure judiciaire auprès des autorités dâun autre Ãtat membre ou pays tiers si la langue offcielle nâest pas de lâanglais. 2. En cas de litige résultant de textes en langues différentes, les langues de référence sont les suivantes : a) documents fondateurs : langue officielle dâenregistrement appliquée aux Pays-Bas ; b) autres documents officiels : langue officielle de lâÃtat membre ou pays tiers où le document a été publié ; c) autres documents : version anglaise ou, en lâabsence de version anglaise, dans la langue acceptée par les membres. Article VI CONTRIBUTION FINANCIÃRE DES MEMBRES, AUTRES RESSOURCES FINANCIÃRES 1. La contribution dâadhésion en tant que membre est identique pour tous les membres, sauf si lâassemblée générale en décide autrement. 2. Le montant de la contribution annuelle est défini par lâassemblée générale. Aucune modification de la contribution annuelle ne peut prendre effet avant un délai de trois ans suivant la décision, de manière à faciliter les cycles budgétaires des membres. 3. Durant leur année dâadmission, les nouveaux membres paient une contribution dâadhésion, calculée en mensualités. 4. Les contributions dâadhésion doivent être versées sur le compte bancaire du groupement, 90 jours calendaires après lâenregistrement légal du groupement. à compter de lâannée suivante, la contribution annuelle doit être versée avant le 31 mars. Dans des cas particuliers, provisoires et dûment justifiés, lâassemblée générale peut déroger à cette règle. 5. En plus de la contribution annuelle, les membres peuvent offrir dâautres contributions financières au groupement ou fournir un soutien logistique. Ces contributions ne peuvent cependant pas remplacer la contribution annuelle en tant que membre. 6. En cas de dissolution, le budget restant sera redistribué à tous les membres en fonction de leur contribution, à la condition que tous les débiteurs extérieurs aient été remboursés. Les Pays-Bas désigneront un liquidateur dans les conditions convenues par lâassemblée générale. Concernant les actifs restants cofinancés par lâUnion, la législation relative au contrôle des fonds fournis par lâUnion sâapplique. 7. Les membres appliquent les règles comptables et budgétaires des Pays-Bas. Dans le cas dâune entité ou institution légale créée par le groupement dans un autre Ãtat membre ou pays tiers, les règles applicables à ces activités dans lâÃtat membre et pays tiers concernés doivent également être respectées. 8. Dans le cadre de ses opérations financières, a) tout revenu résultant des activités du groupement doit être utilisé pour financer des activités définies dans ses documents fondateurs ; b) le groupement peut recevoir un soutien financier provenant de budgets nationaux, mais uniquement sur la base de contrats écrits, tenus dâénoncer les conditions et modalités dâemploi ; c) le groupement ne peut pas contracter dâemprunts dont le volume pourrait mettre en péril son sain fonctionnement pour lâavenir. 9. Le premier exercice comptable du groupement débute lâannée de son enregistrement et se poursuit jusquâau 31 décembre de cette même année. Les années suivantes, lâexercice comptable correspond à lâannée civile, sauf dispositions contraires. 10. Le groupement rédige un rapport annuel lors de chaque exercice comptable, avant le 1 er juillet. Le rapport annuel expose la réalisation des missions et la politique suivie. Le rapport annuel est transmis à lâautorité compétente. 11. Parallèlement au rapport annuel, le groupement soumet ses comptes annuels pour approbation à lâautorité compétente. 12. Les comptes annuels du groupement - sont établis en application du titre 9 du livre 2 du code civil néerlandais ; - sont fournis avec une déclaration dâexactitude, délivrée par un auditeur externe indépendant, en application de lâarticle 393, point 1 du livre 2 du code civil néerlandais. 13. Les autorités compétentes selon les points 9 et 10 peuvent être désignées et la publication du rapport du groupement est régie par la loi du 26 novembre 2009 (loi dâapplication du règlement relatif aux GECT, NL). Article VII AUDITEUR EXTERNE INDÃPENDANT 1. Un auditeur externe indépendant, immatriculé à la Chambre dâaudit des Pays-Bas, doit être missionné pour vérifier les documents financiers du groupement, au moins pour la procédure dâapprobation des comptes annuels. Dans le cadre de ce processus, lâauditeur externe indépendant inspecte les documents comptables des clients et exprime son opinion quant à la conformité de la présentation des états financiers avec les normes comptables applicables du groupement. 2. Lâauditeur externe indépendant joint également à sa déclaration un rapport répertoriant ses conclusions quant à la conformité de la gestion et de lâorganisation du groupement avec les exigences dâefficacité financière. Sur demande, lâauditeur externe indépendant fournit un aperçu des procédures dâaudit. 3. Le directeur est responsable de la désignation dâun auditeur externe indépendant. 4. Le contrat avec lâauditeur externe indépendant est régi par les règles applicables de lâUnion européenne et des Pays-Bas. 5. Le groupement a pour responsabilité de continuellement sâassurer que tous les documents requis par le contrôle financier indépendant soient également mis à disposition en anglais. Article VIII PROCÃDURE DâAMENDEMENT DES STATUTS 1. Tout membre dispose du droit de proposer des modifications aux présents statuts. 2. Les membres statuent sur la modification proposée par décision unanime de lâassemblée générale. 3. Les amendements aux présents statuts devront être effectués conformément aux articles 4 et 5 du règlement. 4. La proposition dâune modification des présents statuts aux autorités compétentes se conforme au règlement et les réglementations des membres concernés y ayant trait sont appliquées. Article IX CONTRÃLE ET SURVEILLANCE RÃGLEMENTAIRES 1. Le contrôle des opérations financières et commerciales du groupement ainsi que la surveillance réglementaire sont effectués par lâautorité compétente des Pays-Bas. Les personnes désignées par lâautorité compétente sont chargées de la surveillance et de lâapplication du règlement ainsi que de la loi du 26 novembre 2009 (loi dâapplication du règlement relatif aux GECT, NL). 2. Indépendamment du point 1, lâorgane de contrôle des Pays-Bas visé à lâarticle 12 de la loi dâapplication du règlement relatif aux GECT est habilité à effectuer le contrôle juridique des opérations financières du groupement, conformément à la réglementation néerlandaise applicable. 3. Le contrôle fiscal du groupement est effectué par les autorités fiscales des Pays-Bas. En cas dâautres organes du groupement, créés sous obligation fiscale dâun autre Ãtat membre ou pays tiers concerné, lâinspection est menée par les autorités fiscales dudit Ãtat membre ou pays tiers. Par ailleurs, la vérification de lâusage des subventions accordées par lâUE, un Ãtat membre, un pays tiers ou dâautres fonds financiers est effectuée par des organismes de contrôle, définis par des règles distinctes. 4. Les autorités compétentes en vertu du point 1 peuvent être désignées par la loi du 26 novembre 2009 (loi dâapplication du règlement relatif aux GECT, NL). 5. Toute décision au sens des points 1 et 2 est annoncée par publication dans le « Staatscourant/Staatsblad ». Article X RÃGLEMENT DES LITIGES 1. En cas de litige concernant lâinterprétation ou la mise en Åuvre des présents statuts, les membres font tous les efforts possibles pour régler celui-ci à lâamiable et par le dialogue. 2. Si les droits ou les intérêts légitimes dâun membre sont lésés par une décision approuvée par lâassemblée générale, ce membre est habilité à demander un recours juridique conformément à lâarticle 15 du règlement. Article XI APPROBATION La formulation des présents statuts est approuvée par lâorgane décisionnel principal des membres, au moment de la création du groupement. Leurs amendements, après lâenregistrement légal du groupement, sont approuvés par lâassemblée générale. Article XII DISPOSITIONS FINALES 1. Les règles de procédure conformes au règlement sâappliquent à compter du jour auquel les présents statuts entrent en vigueur et leurs dispositions deviennent applicables. 2. Lâinterprétation des présents statuts est régie, mutatis mutandis , par le règlement, la convention du groupement, ses règles internes et les règles nationales applicables des Pays-Bas ainsi que par les décisions de lâassemblée générale sur proposition du directeur au regard des règles concernées. 3. Le texte des présents statuts, qui comprend dix-neuf pages, a été préparé dans la ou les langues officielles des membres aussi bien que dans la langue de travail du groupement. 4. Au moins une copie originale préparée dans chacune des différentes langues est conservée au siège statutaire du groupement ; les autres copies sont remises aux représentants des membres et bureaux des Ãtats membres et pays tiers concernés, le cas échéant. Les membres ont lu, interprété et parfaitement compris lâobjet des présents statuts. Par la suite, par lâentremise de leurs représentants, ils ont officiellement signé ces statuts qui reflètent fidèlement leur volonté. â â Euro Contrôle Route European Grouping of Territorial Cooperation Limited CONVENTION The undersigned entities (hereinafter referred to as the â Members â), - by reference to the Regulation (EU) No. 1302/2013 of the European Parliament and of the Council of 17 December 2013 amending Regulation (EC) No. 1082/2006 on a European grouping of territorial cooperation (EGTC) as regards the clarification, simplification and improvement of the establishment and functioning of such groupings (hereinafter referred to as the â Regulation â); - by reference to Art.19 of Directive 2014/47/EU of 03 April 2014; - by reference to  the Act of 26 November 2009 (The Netherlands) (EGTC Regulation Implementation Act, NL), (the legislation of the Member State where the Euro Contrôle Route European Grouping of Territorial Cooperation Limited has its registered office); - taking into account the EGTC provisions of the other affected Member States where the Euro Contrôle Route European Grouping of Territorial Cooperation Limited does not have its registered office and the national provisions of the third countries concerned; - considering the administrative arrangement creating Euro Contrôle Route (ECR) concluded earlier and signed on 5 October 1999 by the Benelux countries and France, later enlarged to Germany, The United Kingdom, Ireland, Austria, Poland, Hungary, Bulgaria, Romania, Lithuania and Croatia based later on the administrative arrangement and signed on 22 March 2007; - recognising that a European Grouping of Territorial Cooperation, as a legal entity, offers the most effective solution to developing the cooperation between the members; in order to join this present convention (hereinafter referred to as the â Convention â) and to establish the Euro Contrôle Route European Grouping of Territorial Cooperation Limited hereby unanimously agree upon the following: Article I MISSION STATEMENT Euro Contrôle Route European Grouping of Territorial Cooperation Limited (hereinafter: Grouping ) is a cooperation of European Road Transport Enforcement bodies of the European Union and third countries as mentioned in Article VII working together for a safe, fair, social and environmentally sustainable road transport sector. Article II NAME, REGISTERED OFFICE AND TERRITORIAL SCOPE OF THE GROUPING 1. The Groupingâs - full Croatian name is: Europska grupacija za teritorijalnu suradnju Euro Contrôle Route OgraniÄen, abbreviated Croatian name is: ECR EGTS; - full Dutch name is, Euro Contrôle Route Europese groepering voor territoriale samenwerking beperkt; abbreviated Dutch name is: ECR EGTS; - full French name is: Groupement Européen de Coopération Territoriale Euro Contrôle Route à responsabilité limitée, abbreviated French name is: ECR GECT; - full German name is: Euro Contrôle Route Europäischer Verbund für Territoriale Zusammenarbeit mit beschränkter Haftung, abbreviated German name is: ECR EVTZ; - full Irish name is: Euro Contrôle Route Grúpáil Eorpach um Chomhar CrÃochach Teoranta; abbreviated Irish name is: ECR EGTC; - full Luxembourgish name is: Groupement Européen de Cooperation Territoriale Euro Contrôle Route à responsabilité limitée, abbreviated Luxembourgish name is: ECR GECT; - full Polish name is: Euro Contrôle Route Europejskie Ugrupowanie WspóÅpracy Terytorialnej z ograniczonÄ odpowiedzialnoÅciÄ ; abbreviated Polish name is: ECR EUWT; 2. The registered office of the Grouping is Veraartlaan 10, 2288 GM Rijswijk (ZH) The Netherlands. Article III LEGAL STATUS 1. The Grouping is an independently managed legal person which operates under public law as a non-profit legal entity. It acquires legal personality upon its registration and, as such, according to the legislation of the Netherlands. 2. The Grouping shall have the most extensive legal capacity and, in particular, can obtain rights and undertake obligations, acquire movable or immovable property as well as be a party in a proceeding before a court. Article IV OBJECTIVE AND TASKS 1. The objective of the Grouping is to improve the standards of goods and passenger vehicle enforcement in order to increase road safety and strengthen economic, social and territorial cohesion. 2. The specific tasks of the Grouping are the following: a) planning common enforcement activities using existing, new or developing technologies to ensure maximum efficiency; b) promoting the use of common or fully interoperable enforcement tools by the members using existing, new or developing technologies to ensure maximum efficiency of enforcement; c) providing a focal point for the coordination of European cross-border enforcement activities, analysing the results of these activities and reporting on the outcome; d) implementing joint training programmes and promoting cross-border exchanges of experiences; e) holding continuous consultations on the development of common positions with regard to enforcement policy with the aim of clear uniform enforcement practices and unambiguous and enforceable legislation; f) sharing best practices and expertise regarding the equipment used to carry out controls, including, where possible, the promotion of joint technological developments; g) ensuring the regular and reliable exchange of enforcement information with the aim to contribute to national and European risk rating systems. 3. The implementation of these tasks can be co-financed by the European Union as well as other financial mechanisms available on the operating area of the Members. 4. The Grouping shall carry out its tasks, projects or programmes with or without a financial contribution from the Members on the basis of the European Union provisions applicable to the Members. 5. As a result of its tasks, the Grouping can engage in economic activity such as intellectual services, documents, publications or confer the right to use its intellectual property, and redirect the incomes into the activities of the Grouping, provided the participation is in accordance with the applicable legal provisions and it does not endanger the goals of the Grouping. Article V ORGANS AND OFFICIALS 1. Organs of the Grouping are: â the General Assembly; â the Monitoring Board; â the Director. 2. Officials of the Grouping are: â the President of the General Assembly; â the Vice-President of the General Assembly; â the elected members of the Monitoring Board. Article VI COMPETENCES AND TASKS OF THE ORGANS AND OFFICIALS 1. General Assembly 1.1. The General Assembly is the highest decision-making body of the Grouping. It exercises its exclusive competence through all natural persons representing the membersâ legal personalities. Competences 1.2. The General Assembly has exclusive competence for: a) approval of and amendments to the Convention and the Statutes; b) adoption of the annual work plan, annual budget, five-year budget plan and the general strategy; c) approval and discharge of the annual statement of accounts and financial reporting; d) decision on the admission of new Members, exclusion and withdrawal of members; e) decision on the approval and termination of a Memorandum of Understanding with an Associate Partner f) agreement on the amount of the annual contribution for a three-year period; g) designation, recall, remuneration or compensation of Officials; h) decision on the rotating order of the Presidency; i) election or appointment, remuneration or compensation of the Director; j) determination of the terms and conditions of employment of the Groupingâs staff; k) approval of the establishment of working groups; l) approval of the Directorâs financial commitments, subject to point 4.3 c) of this Article; m) approval of the employment contract of the Director; n) approval of contracts made by the Grouping with the Director, its Officials, their relatives as defined by the national civil law of the Netherlands; o) assertion of claims for damages in the internal and external legal relationships of the Grouping; p) decision on the dissolution of the Grouping without legal successor; q) decision on all other matters legally referred to the exclusive competence of the General Assembly by the Regulation and other provisions of the Convention, by other decisions of the General Assembly, or other rules in force. 2. President and Vice-President of the General Assembly 2.1. The President and Vice-President of the General Assembly are high level representatives of the Grouping. 2.2. The position of President of the General Assembly is assumed by each member in a rotating order established by the General Assembly. The former Vice-President of the General Assembly shall automatically assume the position of President of the General Assembly for the following period. 2.3. The Vice-President of the General Assembly substitutes the President as described in the Statutes Tasks 2.4. The tasks of the President of the General Assembly are the following: a) preparing and chairing the meetings of the General Assembly and Monitoring Board; b) signing the minutes of the General Assembly after adoption by the General Assembly; c) representing the Grouping in a ceremonial role in consultation with the Director; d) performing tasks which are legally referred to the exclusive competence of the President of the General Assembly by the Convention, the Statutes, a decision of the General Assembly, or other rules in force related to the Grouping. 3. Monitoring Board 3.1. The Monitoring Board consists of the President and the Vice- President and three further elected members from among the General Assembly members with voting rights. The Director shall attend the Monitoring Board´s meetings without the right to vote. Responsibilities 3.2. The Monitoring Board is responsible for: a) monitoring the operation and the management of the Grouping; to this end, it can request reports from the Director or the external auditor as well as access to the economic, financial or technical files and documentation; b) ensuring that the Grouping works in compliance with the applicable laws according to the Netherlands, and in certain cases in accordance with rules of the other Member States and third countries concerned, as well as with respect to the Convention, the Statutes and Internal Rules of the Grouping; c) giving its opinion on the annual report and the annual budget of the Grouping, and cooperating with the external auditor of the Grouping in this respect; d) giving its prior approval to the financial commitments of the Director, corresponding to the limits that are mentioned in the internal rules. e) informing the General Assembly and the Director, in order to convene a meeting of the General Assembly if it becomes aware of the following: â a breach of law during the operation of the Grouping or an event seriously damaging the interests of the Grouping (failure to act) where the prevention or mitigation of the consequences requires the decision of the General Assembly; a breach of the Convention, Statutes or Internal Rules by Officials or staff of the Grouping. f) making all the decisions resorting from its tasks and on urgent matters when a decision cannot be postponed to the next meeting of the General Assembly 4. Director 4.1. The Director is appointed by the General Assembly for a maximum of three years, which can be renewed by mutual agreement, and is directly employed by the Grouping based on an employment contract, or is seconded by his employer to the benefit of the Grouping. 4.2. The Director has exclusive competences in providing legal, professional, financial and administrative leadership for the Grouping in accordance with the governing legislation, the Statutes, the decisions of the General Assembly, other relevant regulation and professional rules. The Director creates and maintains the conditions necessary for effective operation. Tasks 4.3. The tasks of the Director, are : a) representing the Grouping in law; b) representing the Grouping in the external presentation in consultation with the President; c) exercising the power of signature and remittance as well as authority over the bank accounts of the Grouping in consideration of the ceiling of the amounts determined by the General Assembly as detailed in the Internal Rules; d) controlling and bearing accountability for issues related to the incomes and expenditures of the Grouping; e) coordinating the Groupingâs internal functioning; f) coordinating the Working Groups; g) performing the tasks which fall within the competences of the Director by other rules concerned; h) making decisions in all matters which do not fall within the competence of other organs or Officials. 4.4. The responsibilities of the Director are: a) implementing and carrying out the tasks and objectives of the Grouping as approved by the General Assembly; b) developing the general strategy of the Grouping; c) cooperating with the members of the General Assembly as well as the other Organs and Officials of the Grouping; d) supporting the preparation of the meetings of the General Assembly and Monitoring Board in close cooperation with the President of the General Assembly; e) reporting to the General Assembly on the work completed by the Grouping f) preparing the annual report, annual and five-year budgets and other financial and management accounts; g) collaborating with the Monitoring Board and Dutch authorities on the monitoring and control processes of the Grouping; h) fulfilling the obligation of notification and disclosure as determined by the Regulation in force applicable to the Grouping; i) initiating, developing and maintaining partnerships; j) performing the tasks referred to be the responsibility of the Director by legislation or other applicable rules; 4.5. The Director is the head of the secretariat. The tasks and responsibilities of the secretariat are defined in the Internal Rules. Article VII MEMBERSHIP AND ASSOCIATE PARTNERSHIP 1. The Grouping is an entity involving Members and Associate Partners. 2. Membership 2.1. The duration of the membership is indefinite. 2.2. Eligible for membership are: 2.2.1. Member States of the European Union (EU) 2.2.2. Entities of third countries neighbouring at least one of those Member States mentioned in 2.2.1, including its outermost regions, where those Member States and third countries jointly carry out territorial cooperation actions or implement programmes with or without the financial support from the European Union, in accordance with Article 3 (1) f) point, Article (3a) and Article 7 (3) of the Regulation. 2.3. Members shall be represented in the Grouping by public entities engaged in enforcement of professional transport of goods and passengers by road from the Member States of the European Union and third countries concerned. 2.4. Accession Accession to the Grouping is possible for a public entity provided that the prospective member fulfills all the agreed requirements of accession and adopts the Convention and Statutes of the Grouping and the General Assembly voted for its membership in the Grouping. 3. Associate partnership Public or private European and international institutions involved in the road transport acquis after concluding a Memorandum of Understanding reflecting the Groupingâs objective and tasks and subject to a vote of approval by the General Assembly. 4. The rights and duties of the members and Associate Partners who are invited to the meeting of the General Assembly are detailed in the Statutes and Internal Rules. 5. The list of the Groupingâs members is attached in the Annex to the Convention. Article VIII LIABILITY OF THE GROUPING AND ITS MEMBERS 1. The Grouping has limited liability. The limited liability means that the liability of a Member may not exceed his yearly financial contribution. Where the assets of the Grouping are insufficient to meet its liabilities, the Members shall not be further liable. 2. With consideration to point 1, the expression âlimited liabilityâ has been displayed in the full name of the Grouping. 3. Liability of the members is maintained even after they have ceased to be members, for obligations arising out of activities of the Grouping during their membership. 4. The Grouping shall be liable for the acts of its organs as regards third parties, even if these acts are not stated as the Groupingâs tasks Article IX REGISTRATION, DURATION, DISSOLUTION 1. The operation of the Grouping may start after the decision on its registration becomes final according to Article 5 of the Regulation. 2. The Grouping shall ensure that within 10 calendar days of the registration or publication of the Convention and the Statutes, a) a request is sent to the European Committee of the Regions following the template set out in the Annex to the Regulation. The Committee of the Regions shall then transfer that request to the Publications Office of the European Union for the publication of a notice, announcing the establishment of the Grouping; b) the members shall inform the Member States and third countries accordingly. 3. The Grouping is set up for an indefinite duration starting from the date of lawful registration. 4. According to Article 14 of the Regulation, upon an application by any competent authority with a legitimate interest, the Netherlands as competent authority, winds up the EGTC if it finds that the EGTC no longer complies with the requirements laid down in the Regulation or that the EGTC is acting outside the confines of the tasks laid down in the Regulation, and if the EGTC fails to rectify its irregular activity within the time set by the competent court or authority. Notwithstanding the provisions on dissolution contained in Article 14 of the Regulation, dissolution can also be the result of a decision by the General Assembly of the EGTC. The EGTC shall be dissolved by the General Assembly if a unanimous decision to this effect is made by all its Members. Article X STAFF RULES, PERSONNEL MANAGEMENT AND RECRUITMENT 1. Staff matters of the Grouping shall be managed in line with European Union legislation, the Regulation, the Convention, the Statutes, the Internal Rules as well as the applicable labour law and private law of the Netherlands and other Member States and third countries concerned. 2. The Grouping can employ personnel directly or make use of seconded personnel. 3. Personnel administration, recruitment procedures and working contracts are the responsibility of the Director. 4. The General Assembly shall introduce rules on personnel management and recruitment. 5. The principles of personnel recruitment in the Grouping are the following: a) efficiency for the purpose; b) professional ethics, objective and impartial work; c) equal opportunities, that is equal treatment without distinction as to race, political, philosophical or religious beliefs, sex or sexual orientation, including the validity of the European Unionâs principle on the free movement of persons. Article XI ARRANGEMENTS FOR MUTUAL RECOGNITION, FINANCIAL CONTROL OF THE MANAGEMENT OF PUBLIC FUNDS 1. Members mutually recognise the primary authority of competent authorities and the primacy of the national law according to the laws of the Netherlands. At the same time, the Members note the information obligations of the competent authorities of the Netherlands towards the competent authorities of the other Member States and third countries concerned where the Grouping does not have its registered office. 2. Members recognise the application of European Union legislation as well as the legislation of the Netherlands related to the control systems for European Union funds in connection with Groupingâs activities co-financed by the European Union. 3. All documentation required for independent financial control should be made available in English. Article XII APPLICABLE LAW 1. Members will comply with the Regulation, the Convention the Statutes, the Internal Rules governing the Grouping as well as with the national provisions of the Netherlands and other Member States and third countries concerned. 2. Dutch law is applicable to all administrative procedures, accounting and budgetary rules, as well as staff contracts. Any legal entity or institution established by the Grouping in another Member States and third countries concerned shall apply the national rules of the country where the establishment took place. 3. Dutch law is applicable to the interpretation, implementation and enforcement of the Convention. Article XIII PROCEDURE FOR AMENDING THE CONVENTION 1. Any Member has the right to propose modifications to the Convention. 2. Members shall decide on acceptance of the proposed modification by unanimous decision of the General Assembly. 3. Amendments of the Convention should be made in accordance with Article 4 and 5 of the Regulation. 4. The submission of modification of the Convention to the competent authorities shall be in compliance with the Regulation and the related rules of the Members concerned shall be applied. Article XIV SETTLEMENT OF DISPUTES 1. In case a dispute arises in connection with the interpretation or the implementation of the Convention, Members shall make every effort to settle the dispute by amiable means and dialogue. 2. In case legal action is required to settle any disputes, the national legislation of the Netherlands and wherever possible and necessary the legislation of the Member concerned, shall be applied, in accordance with article 15 of the Regulation. Article XV APPROVAL AND SIGNATURE 1. The wording of the Convention and the Statutes is approved by the General Assembly. 2. Following the approval referred to in point 1, authorised representatives of Members sign the Convention according to the rules of their signing authority. Article XVI FINAL PROVISIONS 1. The rules of procedure according to the Regulation shall be applied as of the date when this Convention enters into force and when its provisions become applicable. 2. The interpretation of the Convention is governed, mutatis mutandis, by the Regulation, the Statutes of the Grouping, its Internal Rules and the relevant national rules of the Netherlands, by the decisions of the General Assembly upon proposal of the Director in light of the rules concerned. 3. The text of this present Convention which contains nineteen pages including the Annex is available in the official language(s) of the members and other language versions needed in the Grouping. 4. At least one of the original language versions shall be deposited at the registered office of the Grouping. Additional original copies shall be given to each representative of the members and offices of the Member States and third countries concerned where required. Members have read, interpreted and fully understand the contents of the Convention. Thereafter, through their representatives, they formally signed the Convention which completely reflects their will. â â Euro Contrôle route European Grouping of Territorial Cooperation Limited STATUTES The undersigned members (hereinafter referred to as âMembersâ) in line with the Convention (hereinafter âConventionâ) of the Euro Contrôle Route European Grouping of Territorial Cooperation Limited (hereinafter referred to as the âGroupingâ) hereby unanimously agree upon the following: Article I RIGHTS, OBLIGATIONS AND RULES OF PROCEDURE REGARDING THE MEMBERS AND ASSOCIATE PARTNERS The rules of this Article shall be applied mutatis mutandis to members of the Grouping (hereinafter âMembersâ) and Associate Partners of the Grouping (hereinafter âAssociate Partnersâ). 1. Rights and obligations 1.1. Members and Associate Partners have rights and obligations, resulting either from their membership status in the Grouping or their associated partnership status based on the Memorandum of Understanding signed between the Grouping and the Associate Partner concerned. 1.2. Rights and obligations are as follows: 1.2.1. Members Rights a) attending the meetings of the General Assembly and any other meeting of the Grouping with rights in particular: right of initiative, right of discussion, right of consultation, voting right, right of access; b) holding the office of President, Vice-President and the right to be a member of the Monitoring Board; c) being involved in the formulation of the Groupingâs positions and policies; d) participating in the events organised by the Grouping. Obligations a) full participation and engagement in the Groupingâs activities; b) payment of the annual contribution to the Grouping. 1.2.2. Associate Partners Rights a) participating without voting rights in the meeting of the General Assembly and any other ECR meetings without voting rights but with the right of consultation and discussion (based on invitation only). The right to hold closed meetings for Members is retained; b) assistance and mutual cooperation (where possible) in written form with the Members. Obligations a) financially contributing to the operation of the EGTC as agreed in the Memorandum of Understanding; b) responding to the requests for mutual assistance and cooperation from Members and Associate Partners of the Grouping; c) participating actively in the Groupingâs activities. 2. Rules of procedures Membership 2.1. Accession 2.1.1. New members must agree to the measures and procedures described in the Convention, Statutes and Internal Rules before Accession. 2.1.2. To this end an application by the prospective member, including the approval by its main decision-making body and signature by the authorised representative has to be submitted to the President of the General Assembly in accordance with Article VI point 2.4 d) of the Convention. â 2.2. Termination of membership 2.2.1. Membership is terminated through: a) Withdrawal by a Member from the Grouping; b) Exclusion by the General Assembly; c) Lawful decision by an authority; d) Dissolution of the Grouping. 2.2.2. In case a Member decides on the withdrawal of membership, the notification must be sent to the President of the General Assembly by 30 June of the given year in which the Member wishes to withdraw by registered mail, together with the written notice signed by the national authorised representative. 2.2.3. The withdrawal of membership takes effect on 31 December of the given year. 2.2.4. The current obligations of the Member shall be completed until the day of the actual withdrawal. In exceptional cases, the General Assembly may decide to remove the obligation through a resolution. 2.2.5. It is grounds for exclusion if the Member does not participate in the work of the Grouping, does not fulfil its obligations laid down in the Convention, Statutes and Internal Rules, in particular if the Member: a) fails to pay the annual contribution or does not pay it in accordance with the Internal Rules, fails to respond or does not respond clearly to the question in the Directorâs written notice about previous, current and future payments by the Member or b) fails to actively participate in the work of the Grouping for 12 months, and fails to respond or does not respond clearly to the question in the Directorâs written notice on whether the Member would like to maintain its membership; or c) fails to participate in the Groupingâs activities thus jeopardises the achievement of the Groupingâs goals, adversely affects the Grouping, or damages the reputation of the Grouping. In case of 2.2.5 a)-b), upon the Directorâs initiative, while in the case of 2.2.5 c), upon the initiative of any member in possession of evidence, the Director may present a proposal relating to the exclusion of the Member to the next meeting of the General Assembly. 2.2.6. The decision on exclusion is made by the General Assembly in the form of a resolution. The Member may seek legal remedy according to Article X point 2 of the Statutes. 2.2.7. When the procedure for termination of membership has been concluded the Annex of Convention is updated. Information about the Member shall be removed in accordance with the procedure in the Internal Rules Associate partnership 2.3 Termination of Associate partnership Associate partnership is terminated after a decision by the General Assembly when: a) The Associate Partner does not fulfil the terms of the MOU b) The GA judges that the cooperation with the Associate Partner is no longer in the interest of the Grouping Article II DETAILED DESCRIPTION OF THE OPERATION OF ORGANS, THE RULES OF COMPETENCE AND DECISION-MAKING PROCEDURES OF THE GROUPING 1. General provisions 1.1. Organs of the Grouping are: a) The General Assembly; b) The Monitoring Board; c) The Director. 1.2. Officials of the Grouping: a) President; b) Vice-President; c) Other members of the Monitoring Board. 1.3. The activities of the organs and the Officials of the Grouping are defined by their competence and the Internal Rules. 1.4. Detailed rules and the decision-making procedures of the organs as well as the determination of the number of the Membersâ representatives in the given organs are described in the Statutes and the Internal Rules. 2. General Assembly Composition 2.1. The General Assembly is composed of the Members and the invited Associate Partners. The President of the General Assembly may invite external parties to attend meetings of the General Assembly in accordance with the Internal Rules. Members exercise their rights and perform their obligations through representatives, or authorised persons in case of inability. Frequency of the meeting 2.2. In the first three years following the registration date of the Grouping, the General Assembly meets at least twice a year. Afterwards, the General Assembly sets the frequency of General Assembly meetings. Decision-making/ voting principles 2.3. Each member has one vote and each vote is of identical value. If two or more members represent the same Member State or third country, the decision-making system should operate on âone country, one voteâ principle. The representatives of the given country are invited to identify the member with voting right at the beginning of the meeting of the General Assembly. 2.4. Decision-making procedures are aimed at reaching consensus but this does not rule out votes based on a qualified majority or unanimity in accordance with the conditions laid out hereunder. 2.5. The General Assembly takes its decisions through open voting except for personnel matters and other matters as decided by the General Assembly. The method of secret voting is defined in the Internal Rules. 2.6. The voting rights must be exercised in the meeting of the General Assembly. Electronic voting is not allowed. Members who cannot attend the meeting can exercise their voting rights by proxy. 2.7. The Members who gain advantage of any other kind or have interests in the legal transaction to be performed cannot participate in the decision-making procedure of the General Assembly in respect of that transaction. Services offered by the Grouping in accordance with to its original aims and targets available for anyone without limitations, are not considered as an advantage. 2.8. For unanimous decisions as mentioned in Article 2.10, the General Assembly has a quorum when at least two-thirds of all Members with voting rights are present or exercise their voting rights by proxy. For any other decision, the General Assembly has a quorum when half of all members with voting rights are present or are represented by proxy. 2.9. The General Assembly takes its decisions based on an absolute majority of the present members (proxies included) except for matters referred to in points 2.10 and 2.11. The calculation of the absolute majority is done on the basis of the expressed vote. 2.10. A unanimous decision (calculated on the basis of the expressed vote) of the members with voting rights is required for: a) adoption of the text of the Convention and Statutes during the establishment process of the Grouping; b) amendment to the Convention and Statutes; c) admission of Members. 2.11. A qualified vote by two-thirds majority (calculated on the basis of the expressed vote) of the members is required for: a) amendments to the Internal Rules; b) decisions on the annual contribution, annual report and account, annual of five-year budgets; c) adoption and termination of MOUâs with Associate Partners; d) exclusion of a Member; e) decisions on which matters require secret voting. 2.12. In case of an unsuccessful vote, the proposal is to be considered rejected. This matter can be voted on, with modified content, during the same meeting of the General Assembly if all members with voting rights are physically present in the room. If not the vote can be referred to a written vote or put on the agenda for the next meeting of the General Assembly. Minutes and publication 2.13. Minutes of meetings of the General Assembly follow the rules generally accepted in the Netherlands. 2.14. The minutes are signed by the President of the General Assembly, after the adoption of the text by the General Assembly. 2.15. The annual report of the Grouping is available to the public. The place and date of its publication is determined by the rules applied in the Netherlands but it must also be published at least on the webpage of the Grouping. 3. President and Vice-President of the General Assembly 3.1. If the Member, from which the President of the General Assembly was appointed, is unable to carry out their tasks, the Vice-President of the General Assembly takes over the tasks and responsibilities of the Presidency until the Member is able to fulfil their tasks again. 3.2. The tasks of the Director are taken over, and the operations of the grouping are managed with full powers, by the President of the General Assembly during the period when the Director is unable to perform their tasks or suspended by the General Assembly in performing their activities until the new Director takes their position. 4. Monitoring Board 4.1. The Monitoring Board is convened by the President of the General Assembly. 4.2. The Monitoring Board meets when necessary but at least twice a year. The minutes of the meetings are available to other Members. 4.3. The Monitoring Board has a quorum if at least the President or Vice-President of the General Assembly and two of the further members with voting rights are present. 4.4. The decisions of the Monitoring Board are taken with simple majority . In case of a tied vote, the proposal is to be considered rejected. There is a possibility to vote on this matter, with modified content, during the same meeting of the Monitoring Board and, in case of an unsuccessful vote, this matter can be put on the agenda of the subsequent meetings of the Monitoring Board. 4.5. The mandate of elected members expires: a) if an elected member submits a written resignation to the President of the General Assembly, on the day of the next General Assembly meeting following the resignation; b) if an elected member is recalled from their position by the General Assembly when the interests of the Grouping have been deliberately and severely threatened by the elected member concerned. 4.6. The Monitoring Board may decide about its own procedural rules. 5. Director The Director shall manage the activities of the Grouping with a care that is expected from a person fulfilling such a position, taking into primary consideration the interests of the Grouping. Appointment /selection/termination 5.1. The Director is appointed by the General Assembly for a maximum of three years, which can be renewed by mutual agreement; and is directly employed by the Grouping based on an employment contract, or is seconded by his employer to the benefit of the Grouping. 5.2. The selection procedure of the Director is the responsibility of the General Assembly according to the modalities specified in the Internal Rules. 5.3. The employment of the Director is terminated in the following cases: a) expiration of the fixed term of his/her employment or (secondment) contract; b) resignation from the Directorâs position in line with the provisions of their contract; c) dismissal from the Directorâs position due to a loss of confidence; d) termination of the activities of the Grouping. 5.4. The resignation of the Director is approved by the General Assembly either with immediate effect or after the expiration of a previously determined period. In cases referred to in points c) and d) of 5.3, their employment contract is terminated, on the initiative of any member of the General Assembly or upon the proposal of the President of the General Assembly, based on the evidence presented and reasons discovered, with immediate effect. Liability 5.5. The Director shall be liable for the harm caused by them to the Grouping according to the labour rules governing their employment contract. 5.6. The Director officially signs the documents of the Grouping in line with Article VI 4.3 c) of the Convention. Conflict of interest 5.7. The Director or his/her relatives cannot be elected as a member of the General Assembly, Monitoring Board or as the External Auditor of the Grouping. 5.8. The Director or their relatives cannot receive benefit from the Grouping except where that benefit is already freely available to any other person. Benefits may be in the form of financial or non-financial services offered by the Grouping. 5.9. The Director is obliged to declare in their employment contract that they have no conflict of interest for their position in the Grouping. Article III APPLICABLE LAW The operation of the Grouping is governed by the Regulation (EU) No. 1302/2013 of the European Parliament and of the Council of 17 December 2013 amending Regulation (EC) No. 1082/2006 on a European grouping of territorial cooperation (EGTC) as regards the clarification, simplification and improvement of the establishment and functioning of such groupings, the Convention, the Statutes, the Internal Rules and the rules of the relevant national legislation of the Netherlands, other Member States and third countries concerned. Article IV STAFF MATTERS AND EMPLOYMENT PROCEDURES 1. Staff matters fall under the competence of the Director. 2. The Director is entitled to decide on which candidate to employ based on an objective selection procedure that shall be followed by a decision-making procedure as established in the Internal Rules. The Monitoring Board shall verify whether said procedure was followed correctly and approve the decision made by the Director. Members of the Monitoring Board are entitled to attend the selection procedure. Article V WORKING LANGUAGE OF THE GROUPING 1. The working language is English. An exception is made in case of legal procedures at the authorities of a different Member State or a third country if the official language used is not English. 2. In case of disputes resulting from having texts in different languages, the governing languages are as follows: a) founding documents: official language of registration applied in the Netherlands; b) other official documents: official language applied by the Member State or third country where the document was issued; c) other documents: version in English, or in the absence of an English version, in the language accepted by the Members. Article VI FINANCIAL CONTRIBUTION OF THE MEMBERS, OTHER FINANCIAL RESOURCES 1. The membership contribution represents an equal share for all members unless the GA decides otherwise. 2. The amount of the annual contribution is set by the General Assembly. Any change to the annual contribution cannot enter into effect until three years following the decision in order to facilitate the Membersâ budget cycles. 3. New Members shall pay membership contribution in the year of entry calculated in monthly shares. 4. Membership contributions are to be paid to the bank account of the Grouping 90 calendar days after the legal registration of the Grouping. From the following year onwards, the annual contribution should be paid not later than 31 March. In individual, temporary and justified cases, the General Assembly can deviate from this rule. 5. In addition to the annual contribution Members may make financial contributions to the Grouping or give logistical support. These contributions cannot replace the Memberâs annual contribution. 6. In case of dissolution, the remaining budget will be redistributed to all the members based on their contribution, on the condition that all the external debtors have been paid. The Netherlands will appoint a liquidator, subject to the conditions agreed upon by the General Assembly. Regarding the remaining asset co-financed by the Union, the relevant legislation concerning the control of funds provided by the Union shall apply. 7. Members shall apply the accounting and budget rules of the Netherlands. In case a legal entity or institution established by the Grouping in another Member State or third country, the relevant rules applied to these activities in the other Member States and third countries concerned must also be respected. 8. In the framework of its financial operations, a) any income received as result of the Groupingâs activities must be used to finance activities determined in its founding documents; b) the Grouping can receive support from state budgets only based on contracts in writing and said contract must contain the conditions and modalities of use; c) the Grouping cannot take out loans, which size might endanger its sound future operations. 9. The first business year of the Grouping starts in the year of registration, and lasts until 31 December of the same year. In the years that follow, the business year coincides with the calendar year unless relevant provisions rule otherwise. 10. The Grouping shall draw up an annual report every business year before 1 July. The annual report describes the performance of duties and the upheld policy. The annual report is transmitted to the competent authority. 11. Simultaneously with the annual report, the Grouping shall submit the annual account to the competent authority for approval. 12. The annual account of the Grouping - is drawn up with corresponding application of title 9 of Book 2 of the Dutch Civil Code; - is supplied along with a statement regarding accuracy, delivered by an independent external auditor with corresponding application of Article 393, point 1, of Book 2 of the Dutch Civil Code. 13. The competent authorities, according to points 9 and 10, may be designated, and the publication of the report of the Grouping is governed by the Act of 26 November 2009 (EGTC Regulation Implementation Act, NL). Article VII INDEPENDENT EXTERNAL AUDITOR 1. An independent external auditor, registered at the Chamber of Auditors of the Netherlands, must be contracted for at least the approval procedure of the annual account for auditing the financial documents of the Grouping. Within this process, the independent external auditor inspects clientsâ accounting records, and expresses their opinion about whether financial statements are presented properly in accordance with the applicable accounting standards of the Grouping. 2. The independent external auditor also encloses to the statement a report of their findings on whether the management and organization of the Grouping meet the requirements for financial efficiency. When asked, the independent external auditor offers an insight into the audit procedures. 3. The Director is responsible for designating the independent external auditor. 4. The contract with the independent external auditor is governed by the relevant rules of the European Union and of the Netherlands. 5. The Grouping has the on-going responsibility of ensuring that all the documents needed for independent financial control are also made available in English. Article VIII PROCEDURE FOR AMENDING THE STATUTES 1. Any Member has the right to suggest modifications to the Statutes. 2. Members shall decide on the proposed modification by unanimous decision of the General Assembly. 3. Amendments of the Statutes should be made in accordance with Articles 4 and 5 of the Regulation. 4. The submission of modification of the Statutes to the competent authorities shall be in compliance with the Regulation and the related rules of the Members shall be applied Article IX REGULATORY CONTROL AND SUPERVISION 1. The control of the Groupingâs financial and business operations and legal supervision is carried out by the competent authority of the Netherlands. The persons appointed by the competent authority are in charge with the supervision and enforcement of the Regulation and the Act of 26 November 2009 (EGTC Regulation Implementation Act, NL). 2. Regardless point 1, the controlling body of the Netherlands, as referred to in Article 12 of the implementing law of the EGTC Regulation, is entitled to carry out the legal control of the Groupingâs financial operations in accordance with the relevant Dutch rules. 3. The tax inspection of the Grouping is carried out by the tax authorities of the Netherlands. In the case of the Groupingâs other bodies established under tax obligations in other Member State or third county concerned the inspection is carried out by the tax authorities of the given Member State or third country. Furthermore, the inspection of the use of subsidies from the EU, a Member State, a third country and other financial funds is carried out by controlling organisations determined by separate rules. 4. The competent authorities in line with point 1 may be designated by the Act of 26 November 2009 (EGTC Regulation Implementation Act, NL). 5. Any decision as intended in points 1 and 2 is announced by publication in the âStaatscourant/Staatsbladâ. Article X SETTLEMENT OF DISPUTES 1. In case of a dispute between the Members concerning the interpretation and application of the Statutes, Members shall make every effort to settle the dispute by amiable means and dialogue. 2. If the rights or rightful interests of a Member are violated by a decision approved by the General Assembly, this Member is entitled to apply for legal remedy in accordance with Article 15 of the Regulation. Article XI APPROVAL The wording of the Statutes is approved by the main decision-making body of the Members upon the establishment of the Grouping. Its amendments following the legal registration of the Grouping are approved by the General Assembly. Article XII FINAL PROVISIONS 1. The rules of procedures according to the Regulation shall be applied as of the date when these Statutes enter into force and when their provisions become applicable. 2. The interpretation of the Statutes is governed, mutatis mutandis, by the Regulation, the Convention the Internal Rules of the Grouping, and the relevant national rules of the Netherlands, by the decisions of the General Assembly upon proposal of the Director in light of the rules concerned. 3. The present Statutes text, consisting of nineteen pages, has been prepared in the official language(s) of the Members as well as the working language of the Grouping. 4. At least one of each original copy prepared in the various languages shall be kept at the registered office of the Grouping, and additional original copies shall be given to the representatives of the Members and offices of the Member States and third countries concerned where required. Members have read, interpreted and fully understood the content of the Statutes. Thereafter, through their representatives, they formally signed the Statutes, which completely reflect their will.
