Statute overview

About this statute

This law amends civil code rules on the transfer of claims and pledge, and begins by repealing and replacing specified civil code articles. A claim, right, or action is transferred between the transferor and transferee by mutual consent. Le cessionnaire n’est opposable aux tiers que par notification au débiteur, ou aussi par acceptation du transport par le débiteur. If the debtor pays the assignor before notice of the transfer, the debtor is validly discharged unless it is proven the debtor knew of the assignment. When a claim is assigned, the debtor may set off a claim against the assignor against the assignee if the counterclaim arose before the assignment became enforceable against the debtor and falls due before, or at the same time as, the assigned claim.
