Repeal 5 LAWS OF MALAYSIA Act 36 SYNOD OF THE DIOCESE OF WEST MALAYSIA (INCORPORATION) ACT 1971 An Act to incorporate the Synod of the Diocese of West Malaysia. [Peninsular Malaysia—3 September 1971] WHEREAS there was constituted and established in Malaysia on 8 April 1970 a Synod of the Diocese of West Malaysia on the authority of the Archbishop of Canterbury as the Metropolitan having jurisdiction over the Anglican Church in that territory: AND WHEREAS the Synod of the Diocese of West Malaysia is beneficially entitled to certain movable and immovable properties in Peninsular Malaysia which are at present vested in the Secretary of the Synod of the Diocese of Singapore as incorporated under the Synod of the Diocese of Singapore Ordinance 1958 [Ord. 67 of 1958]: AND WHEREAS it is expedient to incorporate the Synod of the Diocese of West Malaysia and their successors: BE IT ENACTED by the Seri Paduka Baginda Yang di-Pertuan Agong with the advice and consent of the Dewan Negara and Dewan Rakyat in Parliament assembled, and by the authority of the same, as follows: Short title 1. This Act may be cited as the Synod of the Diocese of West Malaysia (Incorporation) Act 1971. Incorporation, etc. 2. (1) The Synod of the Diocese of West Malaysia, and its 6 Laws of Malaysia ACT 36 successors shall be a body corporate and shall have perpetual succession under the name “The Synod of the Diocese of West Malaysia” hereinafter called the Corporation and shall be the governing body of the Anglican Church in Peninsular Malaysia. (2) The Corporation may enter into contracts, and may acquire, purchase, take, hold and enjoy movable and immovable property of every description and may convey, transfer, assign, surrender and yield up, charge, mortgage, demise, reassign or otherwise dispose of, or deal with, any movable or immovable property vested in the Corporation and may lend or borrow money upon such terms as to the Standing Committee of the Corporation, hereafter referred to as the Standing Committee, may seem fit, and the minutes of the Standing Committee shall be sufficient evidence of such terms. (3) The Corporation may sue and be sued in respect of its property and otherwise in all courts of justice and in all matters and suits. Common seal of Corporation, etc. 3. (1) The Corporation shall have a common seal, and such seal may from time to time be broken, changed, altered and made anew as to the Standing Committee seems fit. (2) The seal of the Corporation shall not be affixed to any deed, document or other instrument except by authority of a resolution of the Standing Committee and in the presence of two members of the Standing Committee one of whom shall be the Bishop of the Diocese of West Malaysia or the Vicar-General appointed by the Bishop or by the Archbishop of the Province of the Anglican Church in South-east Asia during a vacancy in the See of West Malaysia or the Chancellor, Treasurer, or Secretary of the Corporation. (3) All deeds, documents and other instruments requiring the seal of the Corporation shall be sealed with the seal of the Corporation and shall also be signed by the two witnesses referred to in subsection (2). Synod of the Diocese of West Malaysia (Incorporation) 7 (4) Such signing shall be sufficient evidence that the said seal was duly and properly affixed and that the said seal is the lawful seal of the Corporation. (5) A certificate purporting to be signed by the Bishop of the Diocese of West Malaysia or in his absence the Vicar-General appointed by the Bishop or by the Archbishop of the Province of the Anglican Church in South-east Asia during a vacancy in the See of West Malaysia shall be sufficient evidence as to the persons who from time to time are members of the Standing Committee and who are the Chancellor, Treasurer and Secretary of the Corporation. Transfer of certain properties 4. (1) The Secretary of the Synod of the Diocese of Singapore as incorporated under the Synod of the Diocese of Singapore Ordinance 1958 in whom is vested all movable and immovable property situated in Peninsular Malaysia belonging to the Corporation immediately before the commencement of this Act is hereby divested of all such movable and immovable property and all estates, rights and interests therein. (2) All movable and immovable property referred to in subsection (1) and all estates, rights and interests therein are hereby vested in the Corporation for the respective estates, rights and interests for which the same are held and the Corporation shall have full power to deal with the said property as provided in subsection 2(2). (3) The appropriate Land Administrator or Registrar of Titles, as the case may be, shall substitute the name of the Corporation in place of that of the registered holder in the case of any registered interest in immovable property in Peninsular Malaysia formerly vested in the Secretary of the Synod of the Diocese of Singapore. Repeal 5.
