Article I ARTICLE I DEFINITIONS For the purpose of this agreement the following expressions and terms shall have meaning assigned to them as hereunder: "Laws of the Host State" includes the constitution of Rwanda, organic laws, international treaties and agreements ratified by Rwanda, ordinary laws, orders, rules and regulations of any Government Authority; "Host State" means the Republic of Rwanda; "AFD" means Agence Frangaise de D6veloppement or French Development Agency; "Organization" means the French Development Agenry country office in Rwanda; "Official Development Assistance" means government aid that promotes and specifically targets the economic development and welfare of developing countries, as defined by the OECD Development Assistance Committee IDACJ. "Officials of the French Development Agency'', means all internationally recruited professional staff appointed and designated by the French Development Agency, as members of staff of the French Development Agency country office in Rwanda, provided that persons employed on local terms shall not be considered as officials of the French Development Agency; ?, V Official Gazette n° 23 of 21/06/202113 "Dependent'' means a man or a woman who is legally married to an Official of the French Development Agenry, and the legally recognised children who are under eighteen (18) years old or aged between eighteen (1BJ and twenty- five (25) years if they are still pursuing full-time education and are unmarried; "Parties" means the Government ofthe Republic of Rwanda and the French Development Agency.

Article IV ARTICLE IV TEGAL CAPACITY OF THE FRENCH DEVELOPMENT AGENCY COUNTRY OFFICE IN RWANDA The Government recognizes the French Development Agency is a French public institution headquartered in Paris, France. Erh Official Gazette n° 23 of 21/06/202114 The French Development Agency country office in Rwanda shall possess a legal personality in the Republic of Rwanda. It shall have such legal capacity as may be necessary for the exercise of its functions and the fulfilment of its purposes, including the capacity to contract, to acquire and dispose of movable and immovable property and to institute and participate in legal proceedings. The Government agrees to apply to the French Development Agency country office in Rwanda, its staff and properties and assets, international legal instruments applied to other similar international organizations including the Convention on Privileges and Immunities of the Specialized Agencies adopted by the United Nations General Assembly on 21 Novembet 1947.ln the case of inconsistenry betvveen the provisions ofthe Convention and this agreemen! the provisions ofthe Agreement shall prevail. The Government authorizes the Organization, pursuant to the provisions of this Agreement, to accord funds, in euros, US dollars or in any other currency, and any form of financial or technical assistance, including guarantees, listed as Official Development Assistance, in Rwanda, to the Government, public entities and to public financial and banking establishments, as well as to national, foreign or international public or private associations, organizations, and to any legal entity headquartered in Rwanda. The activities and operations ofthe Organization are cross-border operations that are performed from its headquarters situated in France. The Organization and its office shall not have the status of a bank or any other financial institution in Rwanda. It shall therefore not be subiect to the provisions of the banking regulations applicable to banks and financial institutions present or operating in the territory of Rwanda.

Article V ARTICLE V PRIVILEGES OF THE ORGANIZATION The Organization, its assets, income and other property within Rwanda shall be exempt in accordance with Rwandan laws; 6 R, \4 Official Gazette n° 23 of 21/06/202115 '),. 2. From all direct taxes provided that such exemptions shall not extend to levies or charges which are in fact no more than charges for public utility services, business and investments income and indirect taxes which constitute part of the costs of good purchases or services rendered; From custom duties and for Value added Tax (VATJ and any other tax on goods and services including but not limited to equipment, motor vehicles materials and other items imported or purchased for official use; 3. In the event of any such exempted items being sold in the Republic of Rwanda to a person other than a person or organization with similar privileges, duties and taxes shall be payable. The Organization's operations in Rwanda qualiffing as Official Development Assistance and the associated revenues shall be exempt from duties and taxes, direct or indirect, from any contribution ofany nature, from any withholdings or any charges ofany nature.

Article VI ARTICLE VI UNDERTAKINGS OF THE GOVERNMENT WITH REGARD TO THE ORGANIZATION STAFF MEMBERS For Officials of the French Development Agenry, who are in Rwanda solely for the purpose of this Agreement, the Government undertakes, in accordance with Rwandan laws, to: 1. Grant them exemption from all income tax and social security contributions in respect of income, emoluments provided that such income are obtained from foreign source; 2. Exempt them from custom duties for the household and personal effect of any kind imported by the Officials or their dependents including one motor vehicle imported or purchased by the Official prior to clearance through customs within ninety (90) days of their first arrival in Rwanda ?-, u Official Gazette n° 23 of 21/06/202116 @s=,' or for such long period not extending three hundred sixty (360) days from the date ofhis/her arrival as may be approved by the government and grant them the right to replace the vehicle after a period of five years. However, in the event of fire, theft or accident causing major damages to such a vehicle, upon the satisfaction of the Commissioner for customs services at Rwanda Revenue Authority, one motor vehicle may be imported as a replacement of the one originally imported which has been written off due to accident, fire or theft; If any goods or materials imported, in conformity with the preceding paragraph, are disposed of in Rwanda other than to a person or organization with similar privileges, duties and taxes shall be payable thereon; Exempt them and their dependents from national service obligations, alien registration and immigration restrictions and not to restrict employment of relatives dependent on them; Extend to them and their dependents such repatriation facilities in times of crisis and need as are extended by the Government to other personnel for whom similar agreement have been concluded with the Government; Permit them or their dependents to maintain external accounts and bring to Rwanda reasonable amount of foreign currency for personal use, and to withdraw and repatriate such amount from Rwanda under external account facilities in accordance with the prevailing foreign exchange regulations of Rwanda; 3. 4. 5. 6. 7. Inform the Government of Rwanda of the appointment to the French Development Agenry office in Rwanda or elsewhere, of its professional staff whose activities are mainly concerned with operations in Rwanda; 2. Take all reasonable steps to ensure that its staff members in Rwanda are not engaged in activities that are incompatible with the goals and objectives ofthe French Development Agency or in contravention ofthe customs, laws and regulations of Rwanda; 3. Agrees to give consideration to hiring qualified Rwandans to its positions in the French Development Agency Country Office in line with its internal recruitment poliry and in accordance with laws of the Host State; 4. Submit annual return of personnel in employment and their ranks to the Ministry of Foreign Affairs and International Cooperation of the Republic of Rwanda. The first submission to be done within three months of signing of this Agreement and thereafter annually.

Article VIII Waiver of Privileges ARTICLE VIII WAIVER OF PRIVILEGES The privileges accorded under this agreement are solely for the purpose of facilitating the operations of the French Development Agency in Rwanda and not for personal benefit ofthe persons involved; 2. The Organization shall co-operate at all times with the appropriate authorities of the Government of Rwanda to facilitate the proper administration of justice, secure the observance of police regulations t4 Official Gazette n° 23 of 21/06/202118 and prevent the occurrence of any abuse in connection with the privileges, immunities and facilities mentioned in this Agreement; 3. The immunities and privileges accorded under this Agreement are granted in the interests of AFD and not for the personal benefit of the persons involved. The Regional Director or his/her representative shall have the duty to waive the immunity of any such persons in cases where, in his/her opinion, such immunity would impede the course of justice and can be waived without prejudice to the interest of AFD.

Article IX ARTICLE IX ENTRY PERMIT AND RESIDENCY The Government undertakes to: 1. Facilitate issuance and renewal of entry (work) permits and visas for the Country Director of the French Development Agenry office in Rwanda and internationally recruited stafl free of charge. 2. Facilitate issuance and renewal of dependent passes to dependents of Officials of the French Development Agency office in Rwanda and internationally recruited stafi free of charge.

Article X ARTICLE X INTERPRETATION This Agreement shall be construed and interpreted in accordance with laws and regulations of the Republic of Rwanda in light of its primary purpose, which is to facilitate operations of the French Development Agenry country office in Rwanda. The Parties shall exercise their rights and obligations under this agreement consistent with the primary objective. l0 R" t4 Official Gazette n° 23 of 21/06/202119 ARTICTE XI AMENDMENTS Any amendment to this Agreement shall be undertaken after consultation between the two Parties. Any such amendments shall be by mutual consent and in writing. Such amendments shall constitute integral part of this Agreement.

Article XII ARTICLE XII SETTLEMENT OF DISPUTES Any dispute between the Parties relating to the interpretation or implementation of this Agreement shall be resolved amicably without unreasonable delay, by consultations and negotiations between the Parties. In the event a dispute cannot be amicably settled, any party shall be at liberty to terminate this Agreement.

Article XIII ARTICLE XIII TERMINATION This Agreement may be terminated by; 1. Either party giving the other six (5) month written notice of their intent to terminate the Agreement; 2. Closure and./ or relocation ofthe French Development Agenry country office from the Republic of Rwanda; this will be subject to a notice from either party of six months. 3. The termination of this Agreement shall not affect the implementation of programs, projects and other activities initiated by the Parties. 11 R-u Official Gazette n° 23 of 21/06/202120

Article XIV Entry permit and residenry Interpretation Amendments Settlement of Disputes Termination Entry into force 2 4" 14 Official Gazette n° 23 of 21/06/202111 PREAMBLE WHEREAS the Government of the Republic of Rwanda and the French Development Agency, are desirous of entering into an agreement for the opening ofa French Development Agency country office in Rwanda; RECOGNIZING that AFD is developing its activities in the territory of Rwanda; RECALLING that AFD is central to the French official assistance provision for developing countries and that it is active in more than B0 countries thanks to its network of some 60 local representations; RECALLING that AFD, an industrial and commercial public establishment: - fights poverty, supports economic growth and participates in preserving global public goods in developing countries, emerging countries and French overseas territories; - is supervised by the French Ministry of Foreign Affairs and International Development, Ministry for the Economy and Finance, Ministry for Overseas France and Ministry of the Interior; it implements French development assistance poliry and acts under the control of and in close collaboration with these Ministries; - is active primarily in the framework of the priority investment programme ofthe host State through grants, long term loans and guarantees granted to the State, to local government bodies and to public and private financial institutions and businesses; - also offers consultancy, training and technical assistance services; NOTING that the Agence frangaise d'expertise technique internationale ("Expertise France") is in the process to be integrated into AFD Group in order for greater and more effective French cooperation; RECATLING that it is in the common interest of the Parties to conclude this Agreement in order to allow AFD to provide its financial and technical assistance in Rwanda in accordance with the economic and social development goals of Rwanda; CONSIDERING it is necessary to conclude a formal agreement to determine the status ofthe French Development Agency and its staff, to provide for the effective operation thereof; R- V Official Gazette n° 23 of 21/06/202112 WHEREAS the work of the French Development Agency can serve as an effective support to the efforts underway in Rwanda in the fight against poverty and to support economic growth; WHEREAS the Government of the Republic of Rwanda and the French Development Agency intend to strengthen and formalize their cooperation; Now therefore the Government of the Republic of Rwanda and the French Development Agency agree as follows; ARTICLE XIV ENTRYINTO FORCE This Agreement shall be signed by both parties.
