Preamble whereas THE AFRICA ELECTRONIC TMDE GRoup is a public-private enterprise working with the African union commission and African Governments with a mission to support the continental efforts to develop infrastructure and skills in information and communication technologies with a view to facilitating the growth and role of small and medium enterprises (sMEs), women and youth in digital economy, in general and electronic trade, in particular, thereby enabling the creation ofbusiness value in Africa through digital transformation; whereas THE AFRICA ELECTRONIC TMDE GRoup has decided to establish its continental Headquarters (hereinafter referred to as "the office,,J in Kigali/Rwanda; whereas the Government of the Republic of Rwanda is desirous to host the continental Headquarters of THE AFRICA ELECTR0NIC TMDE GRoup in Kigali/Rwanda; whereas THE AFRICA ELECTRONIC TMDE GRoup has accepted the offer by the Government of Rwanda to host the continental Headquarters in accordance with the bid document submitted on 31st May 2027 and the cliriffing note submitted on 18ft lune 2027; whereas, ttre Parties are desirous of regulating through this Host country Agreement the practical modalities for setting.o the office by defining its status, and s-peci$ring , ^iqt 4, Official Gazette n° 12 Bis of 21/03/20229 the legal framework of its activities and facilitatiilg its operatironsat-eduntry regional, continental and global level; Now, therefore, the Parties have agreed as follows: I. DEFINITIONS unless the context shall otherwise require, the following expressions shall have the following meanings: (a) "Agreement" means this Host country Agreement between the Government of the Republic of Rwanda and rHE AFRICA ELECTRONIC TMDE GRoUp; (b) "Applicable Law" means the law, rures, regurations and any other regar instruments having the force of legar provisions in the Republic of Rwanda, as they may be issued and in force from time to time; (c) "competent Authorities" means such national, local or other authority of the Government as may be appropriate in accordance with the Laws of Republic of Rwanda; (d) 'A-eTMDE" or'A-eTrade Group,,means the AFRICA ELECTRONIC TMDE GROUP; (e) (f) (s) (h) "The chief Executive officer" means the chief Executive officer of rHE AFRICA ELECTRONIC TMDE GRoup or any other official dury accredited to act on his/her behalf with prior notice to the Government; "Facilities" include, unless the context requires otherwise, the buildings as well as land, equipment, offices, laboratories, and other buildings from which THE AFRICA ELECTRONIC TMDE GROUP operates in Republic of Rwanda. "Government" means the Government ofthe Republic of Rwanda; "Headquarters" means the main office of THE AFRICA ELECTRONIC rMDE GROUP; (i) "staff'means the officials and employees of THE AFRICA ELECTRONIC rMDE GROUP with the exception to those who are retained',on .edstial or piece rate Co, ?" Some services including but not limited to, cloud computing services, e-government Email services to all member states, application development on civil service transformation, taxation, land manigement, utility management, and other sectors as needed. It provides tecinology services to A-eTrade, assists A-ecDI (see below) with technical backup iL respond to requests from AU Member States. Ar', ?c Official Gazette n° 12 Bis of 21/03/202211 c) A'elogistics is a subsidiary that operates within the framework of A- eTrade. Its objective is to identi$r and connect all African logistics companies that provide the best practices and register them as memberi ofthe A-eTrade logistics network. To empower the logistics companies, A-eTrade prepares best practice education materials and state ofthe art applications. d) A-eBusMedia is another arm of A-eTrade with the objective of creating awareness on e-commerce and success stories about SMEs and the Sokokuu Platform throughout the continent. e) Multi'payment gateway. That branch wilr streamline cross-border transactions including different payment systems to provide consumer choice or interoperability and SME financing. fl A-eCDI is a not-for-profit institution that provides expertise and capacity development on ecommerce preparedness, ryber-security, trade regulatory frameworks, alternative dispute resolution, and other facilities that enhance the growth and success of the digital economy in the African continent. It is intended to collaborate with the AUC to support the implementation of the digital economy concerning awareness raising and transformation in e-commerce and e-governance, including providing publications and responding to Member States, requests. V, Promotion, facilitation, and protection of E-Commerce platform 5.1 The E-commerce Platform ( sokokuu.Africal provided by The A-eTrade Group shall be considered as the public asset of Africa accessible to all AU Member States and their citizens, and operated as a public-private facility. 5.2 The Government shall, in cooperation with other Member states, promote the wider use of the E-commerce platform. It shall promote participation by the private sector, and facilitate the movement of goods and services procured through the E-commerce Platform, by putting in place efficient customs clearance mechanism. %, Official Gazette n° 12 Bis of 21/03/202212 5.3 5.4 5.5 5.6 The Government undertakes to champion, at a Head of state or Head of Government level, in publicizing and supporting the implementation of the E- commerce Platform, and other digital platforms including by participation and chairing the Presidential Advisory council of the A-eTrade Group and championing the digital transformation initiatives within relevant structures of the African Union. The Government shall provide access to public broadcasting in order to enable the A-eTrade Group to disseminate appropriate information to the public about the E-Commerce Platform and related operations. As a public asset containing essential and sensitive data within its jurisdiction, the Government shall provide adequate security to the platform's data and related infrastructure. The devices, equipment and components, as well as technology and application programs, imported by the A-eTrade Group to implement and operate the E- commerce Platform and other digital platforms, shall be exempt from customs duties and other taxation and shall not be sold, transferred or diverted to other purposes without the permission of the Government and under conditions agreed with the Government. VI. Contribution by the A-eTrade Group In close cooperation with the Ministry of Information, communication, Technology and Innovation, in addition to the e-commerce platform, the A-eTrade Group makes available additional components such as a continental cloud computing infrastructure, research and innovation centre, e-Government programmes and various informationand communication driventechnologies. Official Gazette n° 12 Bis of 21/03/202213 6.2 Support in enhancing the establishment of sMEs and providing them with the best available business solutions through the e-commerce platform, and other technological applications. 6.3 Raise awareness about digital trade and associated legal and logistical requirements, using different media, including local broadcasting media. 6.4 contribute to capacity development efforts of the Government in various areas including bridging the digital divide, e-Government, ryber security, information and communication technologies, entrepreneurship skills necessary for digital trade, regional and international standards for processes and products, and in financing micro, small and medium size enterprises. VII. RIGHTS, PRIVILEGES, AND IMMUNITIES FOR THE AFRICA ELECTRONIC TRADE GROUP VII.1 Legal Status: A-eTMDE has international legal status with capacity, amongst other things, to: contract; acquire and dispose of movable and immovable property; and to institute legal proceedings. VIl.2 THEAFRICA ELECTRONIC TRADE GROUP Facitities 1. A-eTMDE has the right to buy, rent or possess rand, buildings, offices or any other facilities under Applicable Laws, in order to carry out its activities. THE AFRICA ELECTRONIc rRADE GRoup has the right to construct, erect, maintain or modifir any buildings or other facilities as may be required to accomplish its mission. 2. A-eTMDE will be authorized to place its emblem/logo on its premises, property, and equipment. 3. The Government shall assist the A-eTrade Group in acquiring suitable premises for official functions, including for the operation of e-commerce platform; for a temporary period of two years. ?. Official Gazette n° 12 Bis of 21/03/202214 4. The Government will host A-eTMDE's data center for a temporary period of two years at premises that are secure, with reliable energy and water. 5. The Government will also allocate a piece of land in Kigali city where A- eTMDE will construct its Headquarters. 5. The Government shall provide a letter of support that can facilitate the acquisition of a mortgage, at the expense of the A-eTrade Group, from local financial institutions and / or international financial institutions, to enable it to build its premises. VII.3 Inviolability of Facilities 1. THE AFRICA ELECTRONIC rRADE GRoup's premises shall be inviolable. Its property and assets, wherever located and by whomsoever held, shall be immune from search, requisition, confiscation, expropriation, and any other form of interference, whether by executive, administrative, judicial or legislative action. 2. All records, correspondence, documents and other materials ofTHE AFRICAN ELECTRONIC TRADE GROUp shall be inviolable. 3. A-eTMDE shall have the power to make regulations applicable within its facilities in order to establish therein the necessary conditions for its operations as long as they do not contravene national laws. 4' without prejudice to the provisions of this agreement, THE AFRICA ELECTRONIC TMDE GRoup shall prevent its premises from becoming a refuge for persons hiding from arrest under applicable national laws or who are required by the Government for extradition to another country or for persons who are endeavoring to avoid services of legal process. VII.4 fudicial Immunity A-eTMDE, its Premises, property and assets, wherever located and by whomsoever held, shall be immune from every form oflegal process except in case where there is national security threat, in case of employment and contractual disputes or in case THE AFRICA ELECTRONIC TMDE GRoup has expressly waived such immunity. e. The Government shall cause to be furnished to THE AFRICA ELECTRoNIC TRADE GROUP necessary public services to its premises on the same basis fincluding cost) as it does to other similar international organizations. 2. In the event of interruption of these services, the competent authorities shall consider THE AFRICA ELECTRONIC TRADE GRoUp's need for these services as equally important as that of comparable international organizations and shall take necessary measures to ensure that A-eTMDE GRoup's operations do not suffer from such an interruption. VII.6. Importation, Transportation, and Use of Material and Equipment without prejudice to existing national laws, THE AFRICA ELECTRONIC rMDE GROUP may, without restriction, import all such materials, equipment, articles, vehicles, machinery and supplies as it shall deem necessary for its operations. VII.7 Tax Exemption 1' THE AFRICA ELECTRONIC TMDE GRoup, its premises, assets and properry used for the functioning of the organization shall be tax exempt from direct taxes; it is understood, however, that THE AFRICA ELECTRONIC TMDE GRoup will not claim exemption from taxes which are, in fac! no more than charges for public utility services. 2. THE AFRICA ELECTRONIC TMDE GRoup shall be exempted from income tax. Value Added rax shall be levied by the E-commerce platform from all eligible vendors in accordance with the laws of Rwanda. 3' THE AFRICA ELECTRONIC rMDE GRoup shall be exempted in accordance with relevant laws, from customs duty, value Added rax (vAT) and/or fiscal charges on all materials, equipment, articles, vehicles, machinery publications, professional services and supplies imported for the purpose of its activities. It is understood, however, that items imported under such exemption will not be sold in the country except under conditions agreed to with the Government. ?M Official Gazette n° 12 Bis of 21/03/202216 4. A-eTMDE shall be exempt from payrnent of stamp duty and other documentary taxes on any transaction to which THE AFRICA ELEcrRoNlc rMDE GRoup is a party. 5. A-eTMDE shall be exempted from the payment of motor vehicle registration fee and road license charges. 6. THE AFRICA ELECTRONIc TRADE GRoup may claim the return of Value Added Tax from the Government with the presentation of the respective documentation and proof of payment. 7. Internationally Recruited staff or Expatriate (ExpatJ Staff (without Rwandan citizenshipJ that THE AFRICAN ELECTRONIC TRADE GRoup requires to station in the Republic of Rwanda shall be exempted from all taxes as per below "Exemption to Foreign Staff in V.3". VII.8 Holding and Transfer of Funds 1. without being restricted by financial controls, regulations or moratoria, THE AFRICA ELECTRONIC TRADE GRoup may reserve and hold funds or currency of any kind and operate bank and similar accounts in any currenry accepted in the Republic of Rwanda. 2. THE AFRICA ELECTRONIC rMDE GRoup may freely transfer its tunds or currencies from one country to another or within the Republic of Rwanda and convert any currencies held by it into any other currenry and undertake any other foreign exchange operation in furtherance of its objectives, in conformity with relevant laws in Rwanda. 3' Righs provided for in sub-section lv.B, paragraphs 1 and 2, cannot be exercised to contravene Rwandan legislation on money laundering and terrorism financing. VIII. THE AFRICA ELECTRONIC TRADE GROUP STAFF AND PERSONNEL VIII.1 Movement of Personnel 1' The Government shall facilitate the movement in and out of the Republic of Rwanda of all officials, staff, trainees, scholars, consultants, visitors and invitees of THE AFRICA ELECTRONIC TMDE GRoup or any other persons discharging official duties for THE AFRICA ELEcTRoNIc TRADE GRoup, as well as their q," Official Gazette n° 12 Bis of 21/03/202217 dependents, and shall provide all necessary facilities to assist in their expeditious clearance for the entry into and exit from the Republic of Rwanda, in conformity with relevant laws. 2' The Government shall facilitate the issuance of visas and/ or permits, as applicable, for THE AFRICA ELECTRONIC TMDE GRoUp,s Internationally Recruited Staff residing in the Republic of Rwanda. 3. The Government shall facilitate the issuance of multiple entry visas to allow entrance into Republic of Rwanda for THE AFRICA ELECTRONIC TRADE GRoup,s Internationally Recruited Staff or Expat members or any other staff based in any of rHE AFRICA ELECTRONIC rMDE GRoup's offices globally who are resident outside Republic of Rwanda, if the proper execution of their duties requires regular visits to Republic of Rwanda. Such visas will be issued on the request of THE AFRICA ELECTRONIC TMDE GRoUp's chief Executive officer, through a Note verbale, providing the names and particulars of the individuals concerned. 4. A-eTMDE may host staff and visitors from affiliated institutes, and the Government shall extend to them and their families the same facilities as those CXtENdEd tO THE AFRICA ELECTRONIC TMDE GROUP'S StAff ANd ViSitOrS collaborating with THE AFRICA ELECTRONIC rMDE GRoup. THE AFRICA ELECTRONIC TMDE GRoup shall communicate to the Government the names and capacities ofthese persons and dependents in due course. VIII.2 Policies and Employment Conditions 1' A-eTMDE shall have the authority to establish employrnent policies and terms and conditions of employment for AFRICA ELECTRONIC rMDE GRoups Internationally Recruited Staff or Expats. 2. A-eTMDE shall have the authority to establish overseas payroll, pension and medical programs for all Internationally Recruited staffor Expats, insofar as such programs provide general benefits which are at least equal to the minimum requirements provided for in Applicable Law. 3. A-eTMDE shall at all times observe and follow the Rwandan labor laws for nationally recruited staff, including immigration requirements for the recruitment of skilled labor. ?, Official Gazette n° 12 Bis of 21/03/202218 VIII.3 Exemption to Foreign Staff The Government shall grant the following privileges to Internationally Recruited Staff of THE AFRICA ELECTRONIC TRADE GRoUP: 1. Exemption from payment of all taxes on salaries, emoluments, benefits, indemnities and other allowances paid to them by THE AFRICA ELECTRONIC TMDE GROUP in relation to their employment; 2. Authorize them to import, free of customs duty, sales tax and value added tax, one vehicle for personar use every 5 years unless the Government and rHE AFRICA ELECTRONIC TMDE GRoup agree in particular cases that replacements may take place at earlier date because of loss, or extensive damage or otherwise. Authorize the sale of such vehicles in Rwanda, after completion of at least 5 years of service, with the payment of ail taxes; 3. Permit them to replace, free of customs duty, sales tax and value added tax, a motor vehicle imported by them for personal use in case of: (i) irretrievable loss in theft or accident; or (ii) beyond repair, malfunctioning, or if a period of five years has elapsed after the importation of the vehicre with proof of payment of all taxes before selling; 4. Permit them to operate personal foreign accounts in accordance with banks poliry established in Republic of Rwanda. 5. Exemption from export duties and other fiscal taxes for their personal effects (for non-commercial use) when departing at the end of their assignment from Republic ofRwanda. 5. The above exceptions concerning the salaries and emoluments stated in this Agreement are not applicable to the internationaily recruited Rwandan staff. VIII.4 Privileges and Immunities for Foreign Staff 1. The Government shall grant to THE AFRICA ELECTRONIC rMDE GRoUp's Internationally Recruited staff and their dependents, privileges and immunities not less favorable than those granted to the staff of comparable rank of other international organizations in Rwanda. without limitation to the foregoing, the Government undertakes: (al to grant to internationally recruited staff immunity from legal process in respect to words spoken or written and acts performed by them in their official capacity and in relation to their scientific and technical work; h, Official Gazette n° 12 Bis of 21/03/202219 (b) to permit such staff freedom of travel, movement and communication necessary for carrying out the obiectives of rHE AFRICA ELECTRoNIC TMDE GROUP; (c) to extend to them and their dependents such repatriation facilities in time of international crisis as are extended by the Government to the staff of comparable rank of other international organizations in Republic of Rwanda; (d) to permit them and their dependents to bring into Republic of Rwanda foreign currency for personal use and to withdraw and repatriate such amounts from Republic of Rwanda, as applicable to other international organizations' staff; (e) to grant them and their dependents exemption from national service obligations, alien registration, immigration restrictions and to provide them and their dependents with re-entry permits, at no charge, and subsequent renewals thereofas provided by Rwandan Laws. The status enjoyed by THE AFRICA ELECTRONIC TMDE GRoup,s chief Executive officer and designated Internationally Recruited staffshall be the same as the status usually accorded by the Government to International staff of similar International Organizations. The Government shall grant to non-resident/non-citizen consultants and other nonresident/non-citizen professionals engaged by THE AFRICA ELECTRONIC TMDE GROUP the privileges and immunities set forth in paragraphs (a), (b), (c), and (d) above. 2. 3. IX. INTELIECTUAL PROPERTY RIGHTS The Government recognizes that: 1. SUbJCCI tO ANY third-P.rty rights, THE AFRICA ELECTRONIC TMDE GROUP will manage alr intellectuar assets in ways that maximize their grobal s, Official Gazette n° 12 Bis of 21/03/202220 3. 4. 5. accessibility and/ or ensure that they read to the broadest impact on target beneficiaries in furtherance of its vision and mission. without prejudice to the laws and regulations of the Republic of Rwanda pertaining to the conservation of nature and the environment, the protection of items that are crassified as historicar monuments and the population, and subject to the laws and regurations on national security, A-eTMDE shalr be authorized to assist its partners to import and export biorogical and genetic materials that are necessary in the context of regional co aboration, provided that there is compriance with the quarantine and inspection raws and regulations in force in the Republic of Rwanda in order to avoid the possible entry ofpests, diseases and parasites in the Country or their export. For the import and export purposes, A-eTMDE shall present only the Bill of Lading to the relevant authorities, and be exempt from any registering obligation of said exportation. Except as required by appropriate quarantine controls in order to prevent the import and export of pests, diseases and pragues, the Government shal not impose any restriction on the exchange and transport ofseeds, so s, plant and other agricultural input sampres for testing purposes which satisf,i the necessary sanitary and phytosanitary requirements, into and out of the Country. X. WAIVER OF IMMUNITIES 1. The immunities and privireges accorded under this Agreement are granted in the interests of THE AFRICA ELECTRONIC TMDE GRoup and not for the personal benefit ofthe persons involved. 2. The chief Executive officer or his/her representative shall have the duty to waive the immunity of any such persons in cases where, in his/her opinion, such immunitywourd impede the course of justice and can be waived without prejudice to the interest of THE AFRICA ELECTRONIC TMDE GROUP. ? Official Gazette n° 12 Bis of 21/03/202221 XI. ABUSE OF PRIVILEGES 1. A-eTMDE, its chief Executive officer and other relevant Directors in the Republic of Rwanda shall co-operate at all times with the Government to facilitate the proper administration of justice, the observance of the laws of the Republic of Rwanda, and avoid abuse of immunities and privileges accorded to THE AFRICA ELECTRONIC TMDE GROUP under this Agreement. The privileges and immunities therein should be accorded on a case-by-case basis upon request by the chief Executive officer of THE AFRICA ELECTRONIC TMDE GRoup to the Government of the Republic of Rwanda. Immunities to consultants shourd be withdrawn in the event they no ronger have contracts with THE AFRICA ELECTRONIC TRADE GROUP. 2. The provisions of this Agreement shall in no way affect the right of the Government to take measures it deems necessary to safeguard Rwanda,s security and public order. 3. without prejudice to the privileges and immunities granted by virtue of this Agreement, THE AFRICA ELECTRONIC TRADE GRoup and all persons enjoying the said privileges and immunities shall respect Rwanda,s Applicable Laws. They shall also have the duty not to interfere in Rwanda's internal affairs. XII. CONFIDENTIALITY The parties shall keep all information related to this agreement confidential and shall not, without the prior written consent of the other party hereto, dirrulgate to any third party any document, data, or other information furnished directly or indirectly by the other Party hereto in connection with the agreemeng whether such information has been furnished during or folrowing compretion or termination of this agreement. XIII. DURATION AND TERMINATION 1. This Agreement shall be signed by both parties. It shall take effect upon its ratification by competent authorities ofthe Republic of Rwanda. 2. It shall remain in force unless it is terminated at any time by mutual agreement or by either party seruing six (06J months written notice to the other of its intention to so terminate the Agreement starting from the date ofits reception. ?. Official Gazette n° 12 Bis of 21/03/202222 3. Upon termination of this Agreement, THE AFRICA ELECTRONIC TMDE GROUP will liquidate its operations in the Republic of Rwanda. THE AFRICA ELECTRONIC TMDE GROUP will have the right to freely dispose of any property or assets remaining after such liquidation. XIV. DISPUTE RESOLUTION Any dispute between A-eTMDE and the Government of the Repubric of Rwanda concerning the interpretation or the application of this Agreemeng incruding any amendments thereto, shall, if it is not settled through negotiation or any other amicable method agreed upon, be referred at the request of either party to the competent courts of Rwanda. XV,AMENDMENT Either party may suggest the amendment of this Agreement to the other. such amendments shall be in writing and shail be effected through exchange of retters between the Parties or by formar amendment of the agreement, as is deemed appropriate by both Parties.
