At its first meeting, the Board must elect one of its members as Vice-Chairman. The Board of Trustee must hold four regular meetings each year, give written notice at least 14 days before a meeting, and have half the members present for quorum. At Board of Trustee meetings, the majority of members present and voting counts as the Board’s decision, and the Chairman gets a casting vote if votes are equal. The Board of Trustee must have meeting minutes recorded and kept, confirm them at the next meeting, and have the Chairman of the meeting sign them. The Board of Trustee may act even if there is a vacancy in its membership.
