The Chairman must convene the first Board meeting, preside over meetings, and may call a special meeting when requested in writing by a majority of members. Board meetings must be held as often as necessary and at least once a month, and written notice must be given to each member at least five days in advance, subject to the urgent-meeting exception. Five members are required to form a quorum for a Board meeting, subject to the stated exception. Board questions are decided by majority vote; if votes are tied, the chair gets a casting vote. The Board may also decide without meeting by circulation and written views, but any member can require the matter to be deferred to a meeting. Board members with a personal interest in a matter must disclose it promptly and stay out of related deliberations and decisions unless the Board decides otherwise.
