About this statute

Provides definitions of terms used in the Act (Interpretation). The Registrar must keep a record called "the Register of Companies." Persons may incorporate a company by filing the registration form; the registrar must register the company, assign a registration number and issue a certificate; from the certificate date the company is a body corporate with powers including holding land; every company must show its registration number on official documents. A company must not issue or cause to be issued a prospectus unless the Capital Markets Authority has approved it and a signed copy has been delivered to the Registrar for registration on or before publication. A company may by special resolution resolve to be wound up voluntarily.
